Sagimet Biosciences is a clinical-stage drug developer with no products for sale. Its lead drug, denifanstat, is a once-daily pill that blocks fatty acid synthase (FASN), an enzyme that drives oil production in the skin and fat build-up in the liver. The company has shifted its focus to moderate-to-severe acne: it received FDA clearance to start a U.S. Phase 3 trial (AURORA, about 800 patients, roughly 450 of them adolescents), plans to begin enrolling in the fourth quarter of 2026, and expects results in 2028. Its liver-disease (MASH) combination program was paused in April 2026 until outside funding is found. A second FASN drug, TVB-3567, is in early testing. In China, Hong Kong, Macau and Taiwan the drug is licensed to Ascletis, which reported a successful Phase 3 acne trial in June 2025 and positive 52-week safety data in January 2026, and whose application for approval was accepted by China's regulator in December 2025. Sagimet is owed high-single-digit to mid-teen percentage royalties on sales there, plus milestones of up to $122 million in total, of which $2 million has been earned so far. The business has never produced cash. After adding back non-cash items and subtracting stock-based pay (a real cost to shareholders), the business used about $31 million in 2022, $28 million in 2023, $47 million in 2024 and $51 million in 2025, with no meaningful capital spending. There is no earnings level to value, so we value the company as what it is today: about $250 million of cash and investments, net of liabilities, after a $175 million share sale in April 2026 (about $4 per share on roughly 62 million shares), which management has committed to spend on its acne programs through 2028. We give no value to a U.S. approval of denifanstat. The Chinese results are encouraging, but the U.S. trial has not started, and a drug that has not yet been approved or sold cannot be counted as future income. The spending on that trial is certain, because the trial is designed, the contract research organization has been hired and the FDA has cleared it, so the cost is counted while the possible payoff is not. That is why every case comes out well below the cash on hand. Cash burn is already rising: quarterly research spending went from $7.0 million in the first quarter of 2026 to $11.5 million in the second. Base case ($1.24 per share): the acne programs spend about $187 million from mid-2026 through 2028, partly offset by interest on the cash. China approval is still pending, so no royalties are counted. About $75 million is left at the end of 2028, less roughly $10 million to wind down or restructure if nothing succeeds. Bear case ($0.39 per share): the 800-patient, 52-week trial and the TVB-3567 and topical programs cost more, using up nearly all the cash by the end of 2028, which is what the company's own guidance that the money lasts "through 2028" allows. China does not approve the drug, and only a small amount of cash remains after wind-down costs. Bull case ($1.84 per share): spending follows the base-case plan, China approves the drug in 2027 on the strength of Ascletis's completed Phase 3 program, and Sagimet earns roughly 10% royalties on Chinese sales. We assume those sales grow to about $50 million a year, which is our own judgement since no sales data exist, and the royalties run until the main denifanstat patent expires around 2032, plus a possible patent extension, to about 2037. We did not count any China approval milestone because its size has not been disclosed. What could make this wrong: a positive U.S. Phase 3 result in 2028 would create value that none of these cases include. Denifanstat would be the first new oral acne medicine in decades, and the Chinese trial met every main and secondary goal. On the other side, the company will probably need to sell more shares to take the drug to market, which would reduce each current share's portion of any success. The cases are values today, discounted at 6% a year. A price near the bear case would be far below the cash in the bank; any value from a trial whose result nobody can yet know is not included in that figure.
