Business condition attached to the margin of safety Positive confirmatory data from the ongoing MAESTRO-NASH confirmatory trial (supporting full, non-accelerated FDA approval) and/or the MAESTRO-NASH OUTCOMES trial in compensated cirrhosis, both expected to read out in 2027.
Madrigal Pharmaceuticals sells Rezdiffra (resmetirom), the first medicine approved in the United States and the European Union for MASH (metabolic dysfunction-associated steatohepatitis, formerly called NASH), a liver disease with no prior approved treatment. The drug launched in the US in April 2024 and in Germany in September 2025. Revenue went from zero in 2023, to $180 million in 2024 (a partial launch year), to $958 million in 2025 — with quarterly sales already annualizing above $1 billion by the end of 2025. Management describes current market penetration as still low relative to the diagnosed population, which is the central reason to expect continued growth. The company is not yet profitable. Building a cash-based measure of owner earnings (operating cash flow less the swings in receivables/inventory/payables, less stock compensation, less the small amount of ongoing capital spending — this is an asset-light business that outsources manufacturing, so capital spending is immaterial), the loss per share widened steadily from about $13 in 2020 to about $23 in 2024 as the company built out its salesforce and launched the drug, then narrowed sharply to about $12 in 2025 as revenue caught up with spending. That 2025 improvement is the most recent full year of results and is the basis for this valuation; the years before the 2024 approval describe a pure research company that no longer exists and were excluded as the anchor. Results for the first half of 2026, however, show that pace of improvement stalling rather than continuing — for two identifiable, dated reasons: the company took on a new $350 million secured loan in July 2025 (part of a $500 million facility with lenders managed by Blue Owl Capital, secured by substantially all of the company's assets, with a minimum-cash covenant), so the first half of 2026 carries a full six months of interest expense that wasn't present a year earlier; and the company is still investing heavily in the German launch and in preparing for further growth. The first year of our forecast is set conservatively to reflect that, rather than assuming last year's dramatic improvement simply continues. The base case assumes the improvement resumes from there: continued US uptake, full (non-accelerated) FDA approval expected around 2027 once the confirmatory trial reads out, an expansion of the approved population into compensated cirrhosis (a large, currently untreated group) if the company's ongoing outcomes trial succeeds as its own interim data suggest, and a broader European rollout building on the Germany launch. Under this path, the shares are worth roughly $185 today. The bull case assumes those same company-controlled levers land on the better end of plausible — faster international expansion and quicker uptake of the cirrhosis label — valuing the shares around $295. The bear case reflects specific, named risks already visible in the filings, not invented catastrophes: Rezdiffra's US approval is still "accelerated," conditioned on confirmatory trial results not yet in hand; Novo Nordisk's semaglutide (Wegovy) is already FDA-approved for an overlapping MASH population and brings a far larger commercial organization and an established GLP-1 franchise; four specialty pharmacy customers account for 83% of gross product revenue; and the new secured borrowing adds real financial leverage and covenant constraints if growth slows. Under a case where the cirrhosis expansion doesn't materialize, international growth stays limited, and competitive and financing pressure persist, we still estimate the shares are worth a modest but positive $27 — the commercial success already achieved provides a real floor, even in a disappointing outcome. Given how much of the value depends on two binary events over the next couple of years (confirmatory trial data and the pace of the cirrhosis and international rollout), the margin-of-safety price is set at a large discount to our base-case estimate — near $80 per share, which still sits comfortably above even our bear-case estimate. If the confirmatory trial data or the cirrhosis-trial results come in positively, that uncertainty would be resolved in the company's favor and would support a higher margin-of-safety price. One item we could not fully reconcile from the filings: in 2024, cash used in operations was modestly higher (by about 5%) than what net loss, depreciation, stock compensation and working-capital changes alone would suggest, likely a small unitemized non-cash item; it does not change the conclusions above.
