Business condition attached to the margin of safety Owner earnings stop deteriorating and narrow for two consecutive quarters relative to the fiscal 2026 trend, without a dilutive capital raise beyond ordinary employee equity grants -- confirming the recent revenue softness and higher cash burn have stabilized rather than continued to worsen.
SideChannel provides outsourced cybersecurity services to mid-market and emerging companies -- virtual Chief Information Security Officer (vCISO) engagements, cyber program strategy, compliance readiness, third-party risk management, cloud security and privacy advisory -- and is building a software product called Enclave, which uses zero-trust network access and certificate management to simplify network segmentation for its customers. The business in its current form is young: the public company (originally a 1990s water-treatment business, later an encryption-technology shell called Cipherloc) completed a reverse merger with the private SideChannel consulting firm in July 2022, so only about four fiscal years of results describe the business as it exists today. No client accounted for more than 10% of revenue in the two most recent fiscal years, which limits single-customer risk. The company carries no debt. Since the 2022 merger, revenue grew from roughly $4.8 million to $7.4 million, but cash generation has not kept pace: after removing the swings from customer collections and deferred billings, stripping out stock-based compensation, and deducting the small amount of equipment spending the business needs to keep running, the business has consumed cash in three of the last four fiscal years, including the most recently completed one. The most recent nine months of data available show this trend getting worse, not better -- revenue is down versus the prior-year period and cash consumption has increased. We found nothing in the filings describing a specific, dated reason (a signed contract, a completed product launch, a cost-cutting plan) that would reverse this, so our near-term assumptions track the recent trend rather than assume a turnaround. Our bear case assumes the softness continues: client spending stays constrained, the company is not able to grow into its overhead, and it has to issue additional shares over the next few years to keep funding operations, diluting existing holders considerably before the business (if it survives) settles into a marginal, roughly breakeven state. On this path, the value of a share today is close to zero and plausibly slightly negative -- not because the company owes more than it's worth (it has no debt), but because a persistently cash-consuming, equity-funded business can end up transferring most of its value to whoever supplies the next round of capital rather than to today's shareholders. Our base case assumes a slower, harder grind toward breakeven: revenue stabilizes and the company gradually gets its costs in line over the next several years, crossing into modest profitability around the middle of the forecast period and settling into a small, sustainable margin by year ten, with only ordinary, modest share growth from employee equity grants. Our bull case assumes Enclave gains real commercial traction as a differentiated product rather than pure consulting labor, and continuing regulatory pressure on mid-market companies to formalize cybersecurity programs drives faster, more profitable growth, allowing the company to fund its own expansion without needing to raise dilutive capital. Because the near-term picture is weak in every case, most of what these estimates are worth rests on a view of what the business becomes several years out, once (if) it reaches a stable level of profitability -- that estimate is necessarily more uncertain than the next year or two, and readers should treat it as a judgment call rather than a precise figure. Putting this together, our base case value is around $0.47 per share, with a bear case near -$0.30 per share and a bull case near $2.20 per share -- a wide range that reflects a small, unproven, currently loss-making business rather than a stable one. Given that width, the margin-of-safety price is around $0.20 per share, and it applies only once the recent deterioration actually stabilizes -- two consecutive quarters where losses narrow rather than widen, without another dilutive raise. One accounting judgment worth noting: the company completed a large reverse stock split in 2026 (roughly 1-for-52, evident from its share counts rather than stated outright in the filings we reviewed). We restated all historical per-share figures onto the post-split basis so the numbers are comparable to today's share count. We also excluded the company's pre-2022 financial history entirely, since those results belonged to a different, unrelated business before the 2022 merger and would otherwise distort the picture.
