Rezolute, Inc. (RZLT) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.00 ComplexityHigh Updated
Business condition attached to the margin of safety An approved product with revenue and owner earnings that are positive after the cost of running the business, shown in the company's filings.
Business. Rezolute is a clinical-stage biotechnology company focused on hypoglycemia caused by hyperinsulinism. Its lead asset, ersodetug, is an intravenously administered antibody. The pivotal Phase 3 sunRIZE study in congenital hyperinsulinism completed enrollment in May 2025, and the Phase 3 upLIFT study in tumor hyperinsulinism began in mid-2025. Ersodetug holds Orphan Drug Designation in the U.S. and European Union and Breakthrough Therapy Designation from the FDA. Nothing has been approved, and the company has no product revenue. What the numbers show. Cash flow from operations was a loss of about $20.4 million in fiscal 2021, $39.6 million in 2022, $44.5 million in 2023, $57.4 million in 2024 and $69.1 million in 2025 (fiscal years end June 30). After subtracting stock-based compensation of $7.1 million in 2025, and with negligible capital spending, owner earnings were about negative $76 million, or roughly negative $1.00 per diluted share, in fiscal 2025. The per-share loss for the five years from fiscal 2021 to fiscal 2025 ranged from about negative $3.18 to negative $1.00. We used that five-year window because it covers the period of the company's current single-asset focus that we could verify in the filings. Working-capital swings were small, at a few million dollars or less each year, and were not separated from operating cash flow. How we value it. We credit only earnings that are secured or produced by a proven, repeatable process. Rezolute has no signed commercial contract, no approved product and no revenue history. The Phase 3 readouts and any future approval have not happened yet, so we do not credit them in any case. Because there is no evidenced earnings stream, the bear, base and bull cases are each valued at $0 per share, using a 6% discount rate. Following our method, we do not add cash on hand to these values, and we do not subtract debt. That leaves each case at $0 rather than a positive number. Bear case. Operating cash burn keeps rising, as it did in each of the last five years, and nothing evidenced produces earnings. Value is $0. Base case. Same as bear on the evidence available today: value is $0, because approval and sales are not yet in evidence. Bull case. If the studies succeed, the company's own levers could produce value, but success, approval and launch have not yet occurred, so we cannot credit them. Value is $0. What could make this wrong. A positive Phase 3 result and regulatory approval for ersodetug would create a real earnings stream, and our approach would then need to be redone. The disclosed addressable population in congenital hyperinsulinism is more than 1,500 individuals in the U.S. alone. The company states its existing capital resources are expected to be sufficient for at least 12 months from the issuance date of the fiscal 2025 financial statements; a funding need beyond that would mean dilution for shareholders. On today's evidence the margin-of-safety price is $0. It would change only if the business showed an approved product with earnings that are positive after all costs.
