Business condition attached to the margin of safety At least two more quarters of revenue and profitability at or above the levels the company reported for the first nine months of 2024.
Reflect Scientific designs and sells specialized cold-storage and cryogenic equipment - most notably its patented Cryometrix line of liquid-nitrogen-powered ultra-low-temperature and blast freezers, used by hospitals, biotech and pharmaceutical companies, and cold-chain logistics operators to store and transport vaccines, blood, DNA/RNA and other biological materials, alongside a smaller line of solvent chillers and OEM chemical-detection components. It outsources most manufacturing, so it carries almost no factory or equipment spending of its own - essentially all of the cash it generates from operations is available to its owners, none needs to be reinvested just to keep the lights on. The business is small and its results are lumpy: individual large equipment orders, and the capital budgets of a small number of customers, drive most of the swings. In the most recent year (2023), revenue fell 47% as customers pulled back on capital spending; a handful of customers have accounted for roughly a third to half of revenue in recent years. That concentration and order-by-order lumpiness, not a loss of technology or a specific customer, is the main risk we can point to in the filings. On the positive side, the company holds 32 U.S. patents covering the Cryometrix line, with protection running from 2028 out to 2041, well beyond our valuation horizon, and it carries no debt. We based the three cases on the company's own demonstrated results since it cleared a period of financial distress: an auditor's going-concern doubt present in its 2018 and 2019 annual reports (tied to accumulated losses) was gone by the report covering 2020-2021, coinciding with a surge in demand for ultra-cold vaccine-storage freezers during the pandemic. Since then, per-share owner earnings have ranged from roughly 1 cent in the strongest year (2021) to a loss of about half a cent in the weakest (2023). Our base case uses the middle of that demonstrated range, continuing indefinitely since nothing in the filings points to it changing; our bull case assumes results return to and hold near the best year actually achieved; our bear case assumes a repeat of the weaker, capital-spending-pullback years seen both in 2023 and in 2016-2019. We did not assume any recovery beyond what the company has already shown it can do - in fact, a Form 10-Q the company filed in November 2024 shows revenue for the first nine months of that year already up 72% from a year earlier, with a swing back to a profit, which is dated evidence (not a hope) that the 2023 slump was not the new normal. On this basis, the bear case comes out modestly negative on a per-share basis and the base and bull cases modestly positive - all in the range of a few cents to under twenty cents per share, reflecting how small this company's earnings power is relative to its roughly 85 million shares outstanding. Because the bear case is not just weak but negative, we've applied a full margin of safety, putting the margin-of-safety price well below the base-case value. A few accounting notes: the company's cash flow from operations has bounced around far more than its earnings, largely because of customer deposits and inventory swings tied to the timing of large orders; we removed those swings to focus on repeatable earning power. We also treated all stock-based pay and stock issued for services as a real cost, subtracting it even though it doesn't use cash. Capital spending has been essentially zero every year but one, so no material adjustment was needed there. The most recent financial detail available to us is the quarter ended September 30, 2024; we have not seen anything filed since, which limits how current this analysis can be.
