RGC Resources is the parent of Roanoke Gas Company, a regulated natural gas distribution utility that has served the Roanoke, Virginia area for more than a century, plus a small (1%) ownership stake in the Mountain Valley Pipeline, a large interstate gas pipeline that finally entered commercial service in 2024 after years of legal and permitting delays. We based our estimate of what the company can generate for shareholders on adjusted operating cash flow: cash from operations, with the swings caused by non-cash accounting items and short-term working-capital timing removed, and a charge for the capital spending needed to keep the existing pipeline system in good repair. One judgment call matters here: like most regulated utilities, Roanoke Gas funds most of its capital program with a mix of borrowed money and periodic stock issuance rather than out of its own retained cash flow, and its total revenue is heavily influenced by the wholesale price of natural gas it simply passes through to customers. Because of that, we treated the portion of capital spending roughly equal to depreciation as the ongoing cost of maintaining the system, and did not additionally charge owner earnings for the balance of the capital program, since that portion is financed externally. On that basis, owner earnings have run in a fairly narrow $0.62-$1.39 per share band over the last decade. We also add back a one-time item: in fiscal 2022, the company recorded a $55 million non-cash write-down of its Mountain Valley Pipeline investment, driven by construction delays and legal uncertainty at the time, which produced a large reported net loss that year even though cash generation from the core gas utility was unaffected. We treat that write-down as a sunk, non-recurring accounting charge that doesn't reduce the cash-generating power of the business going forward, and that pipeline is now built and operating. Using the middle of the last seven years of results as our starting point (about $0.91 per share), we built three scenarios for how the business plays out over the next decade and beyond. Our bear case assumes the Virginia utility regulator sets a less favorable return on the company's next rate review, a period of persistently higher interest rates raises the cost of refinancing the company's debt (which has grown roughly fivefold over the past decade to fund its capital program), and customer growth in the Roanoke area stays modest. Under this case, owner earnings barely grow for several years before settling into a slow, low-single-digit pace, and we assign no further growth beyond the ten-year forecast. This produces a value of roughly $16.48 per share. Our base case assumes the current, generally constructive relationship with regulators continues, the company keeps recovering its infrastructure investment through periodic rate cases and dedicated pipe-replacement riders, and grows owner earnings per share at a mid-single-digit rate, gradually moderating over the decade. Because a local gas utility's exclusive franchise doesn't expire the way a patent does, and its infrastructure is continuously replaced through spending already excluded from our maintenance charge, we treated the years beyond the ten-year forecast as continuing indefinitely at a modest 2% annual growth rate. This produces a value of roughly $28.56 per share. We should note plainly that under this approach, the value attributable to years beyond year ten is a large share (roughly 70%) of the total estimate. We think that's appropriate for a business with a century-old regulated monopoly franchise, but it does mean the valuation leans heavily on regulation staying constructive indefinitely. Our bull case assumes rate case outcomes remain favorable, interest rates ease somewhat, the Mountain Valley Pipeline stake begins contributing more meaningful cash distributions now that it's operating rather than under construction, and customer growth picks up modestly. This produces a value of roughly $31.02 per share. Given that the bear case comes in noticeably below the base case, reflecting a stable but leveraged, rate-and-financing-sensitive business, the margin-of-safety price is set at a meaningful discount to our base-case estimate, at roughly $20.60 per share. One thing we couldn't fully reconcile from the filings: the company doesn't separately report the usual accounts-receivable and accounts-payable swings in its cash flow statement, so we estimated the net effect of those working-capital movements as a residual rather than from itemized figures. This didn't materially affect the result, but it's worth noting for transparency.
