UGI is four businesses under one roof. The regulated gas and electric utilities in Pennsylvania, West Virginia and Maryland earned $403 million before interest and taxes in fiscal 2025 and are the steady core: they grow by investing in pipe replacement and new connections that regulators allow them to earn a return on, and a $70 million annual base-rate increase for the Pennsylvania gas utility took effect on 28 October 2025. Midstream and Marketing (pipelines, gathering and storage in Appalachia) earned $293 million and has been flat at roughly $290-313 million for three years. UGI International, the European liquefied petroleum gas business, earned $314 million and has been shrinking as the company exits markets. AmeriGas, the US residential and commercial propane distributor, earned $166 million, down from $268 million two years earlier; it loses customers every year to natural gas and electrification, retail gallons fell again in 2025 despite colder weather, and $851 million of its goodwill was written off in 2023 and 2024. How we measured earnings. Reported earnings per share are close to meaningless here, swinging from -$7.16 to +$6.92 in five years, because paper gains and losses on commodity hedges run through the income statement. We instead start from cash generated by operations, strip out the swings in working capital, charge stock compensation as a cost, and deduct the capital spending needed to keep the business in place. We then add back interest so that we value the whole business first and subtract what it owes afterwards. On that basis the business produced between $599 million (fiscal 2023, a warm winter after the European energy crisis) and $1,030 million (fiscal 2022) a year over fiscal 2020-2025, with a median of about $815 million, or about $3.68 per share on today's 221.8 million diluted shares. We use 2020 onward because UGI bought out the AmeriGas public unitholders in August 2019 and added Mountaineer Gas in 2021, so earlier years describe a different company. One important judgement: almost all of UGI's capital spending is charged against earnings here, including the utility's rate-base expansion ($556 million in 2025 against $178 million of utility depreciation). That understates today's cash earnings, but it is offset by crediting the utility with earnings growth on that investment in each case below. Goodwill write-offs were added back as non-cash, but the shrinkage they signal at AmeriGas is carried in every case as a declining earnings path. Fiscal 2025 business cash flow fell about 5% from 2024. Our base case starts year one about 1% below the anchor, a little better than that trend, because the $70 million Pennsylvania rate increase effective October 2025 is already approved and in effect. Base case: the utilities grow earnings about 5% a year for ten years on the approved pipe-replacement program, then 2% for another ten as that program matures, then flat; Midstream holds level for ten years then erodes 1% a year as Appalachian contracts roll; the European LPG business shrinks 2% a year and then 3%; AmeriGas shrinks 4% a year and then 5%, consistent with its customer attrition. Business value is about $13.9 billion. Against that the company owes about $7.0 billion: $6.65 billion of long-term debt (including the $700 million convertible notes due June 2028, which we treat as debt), $486 million of short-term borrowings and a small minority interest, less about $235 million of cash beyond operating needs, plus about $100 million for the AmeriGas 9.375% notes due 2028 and 9.50% notes due 2030 carrying far more than a normal borrowing cost. That leaves about $6.9 billion for shareholders, or $31.22 per share. Bear case: utility growth slows to 3% for ten years and then stops; in year two a repeat of fiscal 2023, when a warm winter, collapsing commodity prices and European volume losses cut the business's cash flow by 42% from the prior year, takes 30% out of the non-utility businesses, with a further 15% shortfall in year three; afterward AmeriGas shrinks 7-8% a year, Europe 4-5% and Midstream 2-4%. The AmeriGas debt maturing in 2026-2030 is refinanced at higher cost, which we charge at about $300 million. Business value about $10.6 billion, owing about $7.3 billion, leaving $14.79 per share. Even in the trough year the business's cash flow (about $635 million) still covers its roughly $410 million of interest. Bull case: the utilities grow 6.5% a year for ten years and 3% for the following ten as the rate base keeps expanding; Midstream grows 1% a year; Europe and AmeriGas shrink more slowly (1% and 2.5% a year). Business value about $16.5 billion, owing about $7.0 billion, leaving $42.82 per share. What we left out: any recovery in AmeriGas customer counts, new Midstream projects not yet under contract, and proceeds from further European sales, since none of these is secured. Margin of safety price: $17. We are reasonably confident in the earnings level for the utilities and Midstream, and much less confident in AmeriGas, whose earnings fell 38% in two years and whose decline has no visible floor. The worst plausible outcome is a series of warm winters combined with faster AmeriGas customer losses, forcing a costly refinancing of the $1.7 billion of AmeriGas debt; because that debt sits at AmeriGas and the utilities are separately financed and regulated, the group would survive it, but shareholders would bear the dilution or asset sales. If we are wrong about utility growth (3% instead of 5%) and AmeriGas declines twice as fast as assumed, the shares are worth roughly $20-24. At $17 the current $1.50 annual dividend alone is close to a 9% yield, and it is covered by the roughly $400 million of owner earnings after interest; a move toward the base value over four to five years would then imply roughly 20% a year including dividends, while the bear case value is only modestly below the margin-of-safety price. A previous analysis of UGI was prepared on a different basis and its figures are not comparable.

Sales geography
United States (Pennsylvania, West Virginia and Maryland for the regulated utilities; South, Midwest, Northeast and West for AmeriGas propane across all 50 states; Northeast Appalachian region for midstream), Europe (France, Belgium, Netherlands, Luxembourg, Austria, Czech Republic, Slovakia, Poland, Hungary, Denmark, Norway, Switzerland, United Kingdom)
Historical growth strategy
Grew for decades by acquisition: buying AmeriGas (1990s) and then its public units (2019), assembling the European LPG business through Antargaz, Flaga and Finagaz, and adding Columbia Midstream (2019) and Mountaineer Gas (2021), while steadily expanding the regulated Pennsylvania utility rate base through pipe replacement capital approved by regulators. More recently it has shifted to pruning: selling or exiting several European LPG markets and the energy marketing businesses, and harvesting AmeriGas for cash.
Chart analysis
A chartist would describe a long, broken uptrend: the shares peaked in the mid-$50s in 2022, then collapsed through 2023 to a capitulation low near $20 as AmeriGas results deteriorated and the dividend growth stopped. Since then the stock has carved out a base and recovered into the low-to-mid $30s, reclaiming its long-term moving averages, but it remains well below the 2022 highs, with the zone between roughly $40 and $50 a likely area of resistance. The pattern reads as a recovery inside a larger range rather than a new long-term uptrend.
