Q32 Bio is a clinical-stage biotechnology company with no products on the market and no product revenue. Its lead drug candidate, bempikibart, is being tested in alopecia areata (an autoimmune hair-loss disease), and the FDA granted it Fast Track designation in April 2025. In November 2025 the company sold its other program, ADX-097, to Akebia Therapeutics for $7.0 million upfront, $3.0 million six months later and a further $2.0 million due by December 31, 2026 at the latest, plus contingent milestones and royalties. Because the business earns nothing today, our usual earnings measure is negative. Owner earnings (cash from operations, less working-capital swings, less stock compensation, less maintenance capital spending) were about minus $34.8 million in 2025 (minus $2.82 per share on 12.3 million weighted diluted shares) and about minus $62.5 million in 2024 (minus $6.48 per share on 9.7 million weighted shares, a low count because the company was formed by a merger in early 2024). Only these two years describe the current company; results before the merger are those of a different business, so we have no ten-year record and no median to anchor on. Reported 2025 net income of $29.8 million is not earnings: it came from $53.7 million of non-cash revenue booked when the Amgen obligation was settled with 553,695 shares, and an $11.7 million gain on the ADX-097 sale. We removed both. So the value here is cash, less the cost of spending it. We valued the company as its cash today less the present value of what it is likely to burn while developing bempikibart, using a 6% discount rate. The company reported $106.3 million of cash at June 30, 2026 and then raised about $200 million in July 2026 (10,958,905 shares and pre-funded warrants at $18.25). We estimate roughly $188 million net of fees, for about $294 million in total. We estimate about 31 million shares after the offering (20.3 million average in the second quarter plus about 11 million new shares and warrants), before any options or the underwriters' extra-share option. Roughly $9.4 million of bank loan principal (due by July 2027, balance at December 2025) is subtracted, and the $2.0 million Akebia payment is added. The company plans to start a registration-directed Phase 3 program in the first half of 2027 and says its cash is sufficient through topline Phase 3 results. It also announced positive 36-week results from the mid-stage trial (a 35.3% mean reduction in hair loss severity). We credit nothing for a successful drug, a launch, the up-to-$580 million of Akebia milestones or the royalties: none of these has happened, so they are worth $0 in every case. The cases differ only in how much cash the program consumes. Base case ($3.78 per share): spending averages about $48.6 million a year (the midpoint of 2024 and 2025) for four years, with no value credited after that. Bear case ($0.75): spending stays at the 2024 peak of about $62.5 million a year for five years because the Phase 3 program runs longer or larger, and the drug still earns nothing. Bull case ($5.31): spending is held at the 2025 level of about $34.8 million a year for four years. Even the bull case sits well below the roughly $9.40 per share of cash the company holds, because it still spends much of that cash and credits no drug success. The margin-of-safety price is $1.90 per share, roughly half of the base case. Cash burn is certain, the payoff is unproven, and share dilution from further offerings would reduce these figures. The estimate would be wrong if bempikibart succeeds in Phase 3 (which could be worth far more than these figures), or if the company spends more than assumed. We could not confirm the exact post-offering share count or net proceeds from the annual filing; we relied on the company's June 2026 announcements for cash and the July 2026 offering terms.
