Quaint Oak Bancorp owns Quaint Oak Bank, a Pennsylvania savings bank founded in 1926 with about $630 million of assets at June 30, 2026. It takes deposits, mostly certificates of deposit, and lends mainly on commercial and residential real estate in the Lehigh Valley, the Delaware Valley and Philadelphia. It also earns fees from mortgage banking, selling SBA loans, an insurance agency and a title abstract business. Shareholders' equity is about $53 million, or $19.98 a share, across roughly 2.65 million shares. What changed. From 2021 to 2023 results were lifted by a 51% stake in Oakmont Capital Holdings, an equipment-finance lender. That stake was sold on March 29, 2024. We treat the years before the sale as a different business and value only what remains. Since then the bank has earned very little. Net income from continuing operations was $2.4 million in 2024, but that included a one-time $1.5 million pre-tax gain from selling and leasing back its Allentown office. In 2025 net income fell to $322,000 ($0.12 a share). The reasons were thin margins on expensive deposit funding, higher professional, compliance and technology costs, and credit losses. In May 2025 the bank signed consent orders with the FDIC and Pennsylvania regulators over its anti-money-laundering program. The orders carry no fines or activity limits, but they have raised costs. Results improved in the first half of 2026, with net income of $647,000 ($0.24 a share). The bank paid off all of its $56 million of Federal Home Loan Bank borrowings and cut its money-market deposit costs, which lifted its net interest margin to 2.93%. How we measured earnings. We count the cash profit an owner could take out each year. For a lender, provisions for loan losses are a real, recurring cost: net charge-offs ran at about 0.27-0.29% of loans in 2024-2025. So we deduct them rather than adding them back as a non-cash charge. Gains on loans sold count as income because the cash comes in when the loans are sold. We removed one-time items such as the 2024 building-sale gain. On this basis the business earned about $1.22 a share in 2023, $0.26 in 2024 and $0.19 in 2025. We use the middle figure, $0.26, as the starting level. Base case ($8.30 a share). Owner earnings fell about 29% in 2025. We assume they rise to about $0.45 a share in 2026 and hold near $0.50 afterward. Two things support the improvement: two straight quarters of better results, and a funding change that has already happened (the borrowings are repaid and deposit costs are lower). We credit no further growth. Lower certificate-of-deposit rates, an end to the consent orders or cheaper debt would all depend on future events, so none is in this case. The bank's long history supports assuming the business keeps running at that level, discounted at 6%. This is well below book value, because the bank currently earns only about 1-2% a year on its equity. Bear case ($2.50). Several risks are already visible in the filings and the recent results. Non-performing loans rose to $9.8 million, or 1.88% of loans, at June 30, 2026, from 1.36% at year-end, and commercial business loans are still being charged off. Deposits fell 7.8% in the first half of 2026. The parent company also carries heavy debt of its own: $10 million of 11% senior notes due March 2028 and $8 million of subordinated notes due December 2028. Its double-leverage ratio of 128% could draw pressure from regulators. In this case earnings fall back toward 2025 levels. A year of above-normal credit losses follows. Refinancing the 2028 debt, or raising equity to repay it, then holds owner earnings near $0.15 a share. Bull case ($15.80). The bank's own plans work. The full-year benefit of the lower funding costs arrives, and the second-quarter 2026 pace of about $0.72 a share annualized holds. Consent-order compliance spending falls as the work is finished, and the 2028 debt is refinanced at lower cost. Earnings return by 2029 to about $1.00 a share, near what this same business earned in 2023. We credit no balance-sheet growth or gains in market share. What would make this wrong. On the upside, a sale of the bank at or near book value would be worth far more than its earnings suggest, but no sale has been announced, so we give it no value. On the downside, credit losses could run well beyond reserves, or the 2028 debt could force a large share issue at a low price. We could not verify the exact floating rate on the subordinated notes after 2023. The margin-of-safety price carries a wide margin of safety because this is a very small bank whose earnings are only just recovering.
