Business condition attached to the margin of safety A full fiscal year of positive owner earnings (operating cash flow excluding working-capital swings, less stock-based pay and capital spending), confirming that the first-half 2026 improvement holds.
PubMatic, founded in 2006, runs a cloud platform that auctions digital advertising space in real time on behalf of about 1,980 publishers (websites, apps and connected-TV services). Advertisers' buying platforms bid on that space, and PubMatic's revenue depends on how many ad impressions pass through its platform. Revenue was $282.9 million in 2025, down 3% from $291.3 million in 2024. Measured by where publishers are billed, 56% of 2025 revenue came from the United States, 32% from Europe, the Middle East and Africa, 10% from Asia-Pacific and 2% from elsewhere. What the business actually earns for its owners. We start from operating cash flow, strip out swings in receivables and payables (large here, because PubMatic collects from ad buyers and pays publishers), then subtract stock-based pay and the capital spending needed to keep the servers and software current, allowing extra spending only in growth years. On that basis owner earnings were about $50.7 million in 2021, $16.9 million in 2022, $9.8 million in 2023, $8.0 million in 2024 and a loss of $17.2 million in 2025. Two costs explain most of the slide: stock-based pay rose from $14.1 million in 2021 to $38.4 million in 2025 while revenue grew only from $226.9 million to $282.9 million, and capital spending has run at roughly $28 to $49 million a year. For 2023 we also subtracted a $5.7 million loss on a buyer that filed for Chapter 11 on June 30, 2023 ($14.5 million uncollectible, of which $8.8 million was passed back to publishers). We treat that as a real business cost rather than a non-cash item to add back. The normal level. We leave out 2021 as a pandemic-era boom year (revenue up about 53%). The median across 2022 to 2025 is about $0.16 per share, roughly $7.5 million a year. Several things could move that level. 2024 included about $14.2 million of US presidential-election advertising. In both the second half of 2024 and the second half of 2025, a large buying platform changed how it bids, and the company says the most recent change will keep weighing on revenue in the near term. Google and The Trade Desk are two of its largest buyers, and either contract can be ended on 30 days' notice. Recent results are better. In the first half of 2026 revenue rose 4.6% ($141.2 million vs $134.9 million), second-quarter revenue rose 10.5%, the second quarter showed a small operating profit ($0.6 million vs a $5.5 million loss a year earlier), and stock-based pay fell to $16.8 million from $19.5 million. First-half owner earnings were still negative, at about minus $6 million, though better than about minus $13 million a year earlier. The first half of 2026 is the specific reason we assume 2026 comes in well above 2025's minus $0.37 per share. Base case (about $1.49 per share). 2026 comes in around minus $0.10 per share, based on the first-half result and the usually stronger second half. 2027 is slightly positive, at about $0.05 per share. From 2028 the business earns its normal $0.16 per share, which it has already achieved under recent conditions, and holds there through 2040. We give no credit to growth in connected TV, mobile or new AI products, because these depend on markets expanding and share gains that have not yet happened. After 2040 earnings fade to zero over ten years. Ad technology platforms depend on a few large buyers and keep having to reinvest, and we cannot point to evidence that today's position lasts indefinitely. Bear case (about minus $0.58 per share). Another buying-platform change, like those in 2024 and 2025, or the loss of Google or The Trade Desk as a buyer, keeps owner earnings negative: about minus $0.20 per share in 2026, minus $0.30 in 2027 and minus $0.15 in 2028. Cost cuts then bring the business to breakeven with nothing left over for owners. The company had no borrowings at year-end 2025, so a negative figure does not mean it owes more than it is worth. It means operations would use up about $30 million of the company's cash before stabilising. Bull case (about $3.95 per share). The 2026 cost discipline holds and the business gets back to its 2022 per-share level of about $0.30 (roughly $14 million on today's share count) by 2028. Presidential-election years add about $0.20 per share. That figure comes from the 2024 election advertising ($14.2 million of revenue at the company's 64% gross margin). The $0.30 level holds for 20 years and then fades to zero over the following ten. Balance sheet and buybacks. At June 30, 2026 the company held about $137.5 million of cash and marketable securities, and at year-end 2025 it had nothing drawn on its credit facility. Part of that cash is needed to pay publishers: at June 30, 2026 the company owed $390 million in accounts payable and was owed $383 million in receivables. Our valuation counts the cash only through the interest it earns, which is already in owner earnings, and does not add it on top. Buybacks ($59.3 million in 2023, $75.3 million in 2024 and $46.5 million in 2025) cut diluted shares from 56.9 million in 2022 to 47.0 million in 2025. We give no credit for further share-count shrinkage, because the cash that funds buybacks comes from outside the owner earnings we value. All figures are discounted at 6%. What would make this wrong: a lasting return to double-digit growth with stock pay held down would push value toward or above the bull case. Losing a major buyer would push it toward the bear case.
