Business condition attached to the margin of safety Two consecutive quarters in which operating cash flow, before any inventory or payables release, exceeds share-based compensation plus capital spending (roughly $2.5M a quarter), with net sales no longer falling.
CarParts.com sells aftermarket collision, body and mechanical auto parts online, mostly under private-label brands sourced from suppliers in Taiwan and China. It ships from its own distribution centers, including a new one in Las Vegas that opened in 2024. Sales rose from $281M in 2019 to a peak of $676M in 2023. They have since fallen to $589M in 2024 and $548M in 2025, and were down about 11% again in the first half of 2026 ($267.6M against $299.3M). The company cut marketing spend to chase profitability, which lowered sales. How we measure value. We count what the business actually leaves for shareholders. That is cash from operations, less the cash swings from inventory, receivables and payables, less stock compensation (a real cost even though it is non-cash), less the capital spending needed just to stay in business. Over the ten years 2016 to 2025 this figure was positive in only three: about $1.15, $0.93 and $0.25 per share in 2016, 2017 and 2022. Every other year was negative, including -$7.16 in 2024 and -$5.99 in 2025. All figures are adjusted for the 1-for-10 reverse split of May 2026. Since 2020 the company has been a much larger, faster-growing business with its own fulfillment network, so we judged it on 2020 to 2025. Its median in that window is about -$0.77 per share. Inventory swings are stripped out on purpose. In 2023, for example, $50M of operating cash flow came largely from selling down inventory and stretching payables. It did not reflect earning power, and it was followed by two years of losses. Base case: $0. We cannot name any evidenced, already-secured source of positive owner earnings. Net losses were $40.6M in 2024 and $50.4M in 2025. Gross margin slipped from 33.4% to 32.8% while operating costs stayed near 42% of sales. The first half of 2026 improved a lot: net loss was $5.2M against $28.0M a year earlier. But annualised owner earnings for the half-year were still about -$6.4M, or roughly -$13M for a full year. Turnaround progress is not something we credit until it shows up in owner earnings, and sales are still declining. The base case is therefore worth nothing rather than a hopeful number. Bear case: $0. Losses continue, the $25M of convertible notes issued in 2025 and other obligations must be funded, and cash was $25.8M at year-end 2025. Shareholders' losses are limited to their investment, so the value cannot fall below zero. Bull case: about $3.97 per share. Marketing cuts have already narrowed the quarterly loss to $1.9M in the first quarter and $3.2M in the second quarter of 2026. In this case the loss closes by 2027, with owner earnings of about -$6M in 2026, +$3M in 2027, and about $6M a year for 2028 to 2035. After that the story ends, because nothing we can evidence keeps the earnings going. The $6M assumes depreciation of about $20M less maintenance spending of about $11M and about $3M of finance-lease principal payments, and no growth. Discounted at 6% and spread over about 7.6M post-split shares, that is about $3.97 a share. What was left out. We give no credit for a sales recovery, tariff relief or further margin gains, since none is secured. Depreciation of $20.6M in 2025 is well above capital spending of $8.0M because the Las Vegas build-out is now behind the company. We do not assume that gap lasts forever, so we do not treat the higher figure as lasting. What could make this wrong. If the first-half improvement continues into breakeven with stable sales, the bull case becomes the more likely outcome. Against that, sales are still falling and the company has no long-term contracts with its Asian suppliers. Tariffs are also an ongoing cost. The company was under a Nasdaq minimum-price warning until the May 2026 reverse split restored compliance. Two items were not fully reconciled. Working-capital adjustments cover receivables, inventory and payables only; smaller balance-sheet items were left in. The $3.4M of finance-lease principal payments sits outside operating cash flow and is deducted only in the bull case. Margin-of-safety price. The margin-of-safety price is about $1.25 a share, and it applies only once the business shows the two-quarter cash-generation condition. That is well below the bull value to allow for the uncertainty in a small, loss-making, shrinking business.
