Business condition attached to the margin of safety At least one more quarterly report (Q3 2026, expected ~Nov 2026) showing charge-offs on the acquired Cornerstone loan book remaining benign — i.e., that the $6.85 million FY2025 credit-loss provision was mostly the one-time acquisition-accounting charge it appears to be (a $4.97M CECL Day 1 non-PCD allowance plus a $0.35M unfunded-commitment reserve) rather than a sign of hidden credit problems in the acquired portfolio.
Plumas Bancorp is the holding company for Plumas Bank, a community bank serving rural Northern California — from the Sierra Nevada and southern Cascade foothills down through the northern Sacramento Valley — plus a growing presence in northern Nevada (Reno, Carson City). The bank makes its money the traditional way: gathering local deposits and lending them out, mostly in commercial real estate (about two-thirds of the loan book), commercial and industrial loans, and agriculture (roughly 10%). It also runs a specialty government-guaranteed (SBA) lending operation with loan offices as far afield as Chandler, Arizona and Klamath Falls, Oregon. On July 1, 2025 the company closed its acquisition of Cornerstone Community Bancorp, adding four branches in Anderson, Red Bluff and Redding, California. This was a large deal for a bank this size — it added roughly $615 million in assets and grew gross loans by about 49% in a single transaction, following a smaller acquisition (Bank of Feather River) in 2021. Because the deal only closed at mid-year, 2025's results only carry about six months of the combined business, and they were further weighed down by about $7.3 million of one-time costs the company has itemized: legal and advisory fees, an accounting charge required when acquired loans are added to the balance sheet (a "day one" credit-loss allowance that is not a sign of problems with those loans, just a mechanical accounting entry), and a reserve on unfunded loan commitments. Results already reported for the first half of 2026 show net income up sharply from a year earlier, consistent with the acquisition performing as expected once a full period is captured. We value the business using earnings actually converted to cash, after removing stock-based compensation and normal reinvestment in the branch network, and after stripping out the noise from a large swing in loan-sale timing that happened in 2021-2022 (loans built up for sale in 2021 were sold down in 2022, distorting both years in opposite directions). Doing that puts the bank's normalized earning power at roughly $4.93 per share. From there we built three cases. The base case assumes the Cornerstone acquisition's benefits show up fully in 2026 and the one-time costs do not repeat, consistent with what has already been reported for the first half of the year, followed by a few years of continued integration benefit and then a return to slower, steady growth typical of a mature community bank. The bear case assumes the strong first-half 2026 results do not continue at that pace — margins come under pressure as short-term interest rates fall, and credit costs stay elevated because of the bank's real exposure to agriculture (an industry the company itself flags as vulnerable to drought and water restrictions in its home markets) and to commercial real estate. The bull case assumes the acquisition integrates cleanly and the bank continues doing more of what it has already shown it can do — cross-selling its SBA/government-lending capability into the newly acquired branch markets and growing organically at the high end of its historical pace. On these cases, we estimate the shares are worth roughly $86 in the bear case, $163 in the base case, and $267 in the bull case. These figures come from discounting future owner earnings at a fixed, low rate meant to represent a very safe long-term return; they are not the same thing as what a P/E-multiple-based market price would suggest, and readers should expect them to look rich against typical bank trading multiples for that reason — the point of the exercise is to identify a margin-of-safety price consistent with a 20%-a-year target, not to predict tomorrow's quote. Given the added uncertainty from a recently closed, sizable acquisition and the fact that this is a small, thinly traded stock, the margin-of-safety price sits at a meaningful discount to our base-case estimate — roughly $95 — and assumes at least one more quarter's results confirming that credit costs on the newly acquired loan book are behaving normally.
