Progyny sells fertility and family-building benefits to employers. Employees use its network of fertility specialists (its Center of Excellence network), and Progyny also runs a pharmacy benefit business, Progyny Rx. The company has contracts with over 590 U.S. employers, each with at least 1,000 covered lives, across more than 40 industries, and a large share are technology companies. Contracts are generally multi-year. Revenue grew from $500.6 million in 2021 to $1,288.7 million in 2025. How we measure earnings. We start from operating cash flow, remove swings in receivables, payables and other working capital, and deduct stock-based compensation as a real cost. Progyny pays a great deal of stock: $131.9 million in 2025, against operating cash flow of $210.2 million. Capital spending is small, though it rose to $18.4 million in 2025. On this basis owner earnings per share were $0.32 in 2021, $0.24 in 2022, $0.61 in 2023, $0.43 in 2024 and $0.42 in 2025. We use the median of 2021 to 2025, $0.415 per share, as the normal level. 2020 is left out because the business was far smaller, and the years before that predate its IPO. The 2022 figure was held down by very large receivables growth and a step-up in stock compensation; 2023 was helped by that receivables build unwinding. Owner earnings per share were about 4% lower in 2025 than in 2024. In total dollars they fell about 10%, and the per-share decline is smaller because the share count fell from 95.4 million to 89.9 million. The base case assumes no growth in the first year, which sits above that trailing decline only because the 2025 figure already equals our normal level; no rebound is assumed. What we credit and what we leave out. We do not credit revenue growth from new clients, new products or a growing market. None of that is contracted, and growth in owner earnings has been uneven: they went down in 2022 and again in 2025 even as revenue rose. We do not credit share buybacks either. What we do credit is that the existing base of multi-year employer contracts keeps producing the normal level of earnings. No client exceeded 10% of 2025 revenue. That matters because one client that made up 12% of 2024 revenue terminated its agreement effective January 1, 2025, and earnings absorbed the loss. Base case, $4.67 per share. Owner earnings hold at $0.415 a year for 15 years, then fade evenly to zero over the following 10 years. We have no evidence of what keeps employer fertility contracts renewing beyond the first 15 years, so the earning power is allowed to run off rather than continue indefinitely. Bear case, $2.65 per share. The filing warns that clients may terminate or renegotiate pricing at renewal, and the 2025 termination shows this happens. We assume such losses and repricing lower owner earnings about 30% to $0.29 a year, hold that level for 10 years, then fade to zero over the next 10. Bull case, $6.90 per share. Stock compensation has already fallen: $40.2 million in the first half of 2026 versus $64.9 million a year earlier, while first-half net income rose to $52.3 million from $32.2 million. Revenue rose about 3% to $679.0 million. Operating cash flow was lower at $96.4 million versus $105.3 million, and we have not tied that to a cause. We credit that lower stock cost only in the bull case, at $0.55 a year for 20 years, then fading to zero over 10. Two quarters are not enough to move the normal level in the base case. What would make this wrong. Progyny has no material debt burden in our model, and none is subtracted. The main risks are further client losses or price cuts, the concentration in technology employers, and regulation. On the upside, if lower stock compensation persists and contracts keep renewing, the bull case is closer to the truth. Each figure is the value today, discounting owner earnings at 6% a year. The margin-of-safety price is set well below the base case, close to the bear case, because earnings are thin relative to the large stock compensation and client contracts can be lost or repriced. The margin-of-safety price is $2.60 per share.
