PhenixFIN is a small, internally managed business development company (a publicly traded lender and investor). It earns interest on loans to mostly private U.S. companies, plus some equity and fund holdings, funded partly by borrowing. At September 30, 2025 net assets were $160.8 million, or $80.24 per share, on about 2.0 million shares. How we measured earnings. A lender's reported operating cash flow is dominated by the loans it buys and sells (an outflow of $67.3 million in fiscal 2025), so it says nothing about earning power. We instead measured recurring cash earnings as net investment income (interest and fee income less expenses, including interest on its own debt), then removed interest that is added to loan balances rather than paid in cash and the accretion of purchase discounts, and added back non-cash amortization of debt costs. There is no stock-based compensation or meaningful capital spending. Gains and losses on the portfolio are excluded from this measure. On this basis earnings per share were about $1.19 (fiscal 2022), $1.95 (2023), $1.99 (2024) and $2.03 (2025). Fiscal 2021 (about $6.69) is left out of the anchor because net investment income that year was far higher ($6.92 per share against $1.48 the next year) and the filing shows an unusually large share from non-recurring fees. We anchor on the median of fiscal 2022 to 2025, about $1.97 per share. Recent quarters are not used to lift this level: the interim filing data show nine-month fiscal 2026 net investment income of $4.95 million against $3.75 million a year earlier, but that is one period and we could not check how much of it is one-off fee income, so it enters only the bull case. Growth reconciliation. Earnings per share grew about 2% in fiscal 2025. The base case assumes 2% in year one, fading toward zero by year ten. What is credited is the slow shrinking of the share count through repurchases (shares fell from 2.52 million at fiscal 2021 year-end to 2.00 million at fiscal 2025 year-end, though the pace has slowed to under 1% a year recently). What is left out: portfolio growth from new borrowing, higher yields and any recovery in fee income, because none is secured. Use of leverage in fiscal 2025 shows why: average debt rose from $88.5 million to $144.2 million, yet net investment income per share rose only from $2.32 to $2.55. The cases. Bear, about $11 per share: earnings fall back to the fiscal 2022 level of about $1.19 and stay there for ten years, then decline to zero over another ten. Named risks are the debt that sits ahead of shareholders (a credit facility and $57.5 million of 5.25% notes due November 1, 2028) and credit losses. Over fiscal 2021 to 2025 net realized losses on investments totaled about $21.5 per share, against net unrealized gains of about $26.7 per share, so results depend heavily on marks that reverse. Base, about $36 per share: earnings of about $1.97 grow 2% fading to zero, then stay flat, on the strength of a loan book that has been continuously rolled over (portfolio turnover of 35% to 44% in the last three years) and permanent capital. Bull, about $46 per share: earnings start near $2.40, reflecting the fiscal 2026 nine-month improvement holding, grow 3% fading to zero, then stay flat. What the numbers mean. All three cases are below the $80.24 net asset value per share. Recurring earnings of about $2 per share are only about 2.5% of net assets, so on an earnings basis the portfolio is worth less than its stated value. We do not add the portfolio's stated value on top of the earnings, and we do not subtract debt from it, because the earnings are already after interest cost. If management restructured the portfolio to earn considerably more per dollar, or returned capital by selling holdings near their marks, value would be higher than shown here, but neither is something we can point to in the filings today. Net asset value per share has risen from $57.08 to $80.24 over five years, largely through unrealized gains, which we did not count as earnings. What would make this wrong: sustained net investment income above about $3 per share (the fiscal 2026 nine-month pace would imply that) would move value toward or above the bull case; a run of credit losses on the largest loans would move it toward the bear case. Because the company is very small, with roughly 2 million shares, results can swing widely from a few investments. Nothing in the filings shows a going-concern doubt at PhenixFIN itself; the only such language relates to how PhenixFIN's auditors and valuation work treat a portfolio company. Margin-of-safety price. The margin-of-safety price is about $19, roughly half the base case, because earnings are volatile, the entity is small and levered, and the bear case is far below base.
