Gladstone Investment is a business development company. It helps buy out small and mid-sized private companies in the United States and pays for them with a mix of secured loans and preferred and common equity. At March 31, 2026 it held 29 portfolio companies in 16 industries, worth $1.31 billion at fair value against a cost of $1.05 billion. Debt made up 51% of fair value and equity 49%. An external adviser runs the company. It is paid a 2% base fee plus incentive fees, including 20% of cumulative capital gains. Shareholders earn money three ways: interest and dividend income, gains when a portfolio company is sold, and changes in the estimated value of the companies still held. How we measure earnings. For a lender and buyout investor like this, operating cash flow mostly shows money going into and coming out of investments, so it says little about earning power. We use the total return to shareholders from operations instead: net investment income plus realized and unrealized gains and losses. All fees count as costs, including incentive fees accrued on gains not yet realized. Write-downs are treated as the cost of bad investments. We did not add back amortized borrowing costs. There is no stock compensation because the company has no employees. Over the ten fiscal years to March 2026, this measure was $1.48, $1.88, $2.49, -$0.22, $1.28, $3.08, $1.07, $2.47, $1.78 and $4.77 per share. The ten years add up to $20.08. That closely matches the $7.56 rise in net asset value per share (from $9.22 to $16.78) plus the $12.40 of distributions paid over the same period. We use the ten-year median of $1.83 per share. The window covers a full cycle, including the pandemic loss year to March 2020. The latest year needs care. Fiscal 2026 earned $4.77 per share, up 168% from $1.78. Most of that came from one holding. The common stock of SFEG Holdings, a machinery company that had earlier been on non-accrual, was marked up by $153.3 million. That stake is carried at $204.0 million against a cost of $30.7 million. SFEG is now 19.8% of the portfolio, and the five largest holdings are 44.5%. The same year included a $29.9 million realized loss on the restructuring of J.R. Hobbs. The quarter to June 2026 was a loss of $0.30 per share, and net asset value slipped to $16.24. We therefore assume no growth: year one of the base case earns $1.83 per share, not the latest year's rate. Base case ($22.54 per share). The company earns $1.83 per share a year for ten years and pays it out, so net asset value holds at $16.24. That return is roughly what the business has earned on the cost of its investments over the decade. After year ten we assume no returns above our 6% discount rate. Future returns depend on the adviser continuing to pick deals well, which we cannot evidence beyond the record. So the capital is valued at net asset value and nothing more. Bear case ($14.47 per share). Earnings fall to $1.07 a year, the weakest positive year in the record. The SFEG markup reverses. After the 20% incentive fee also reverses, that takes about $3.08 off net asset value. One recession year repeats fiscal 2020: a small loss while the $0.96 regular monthly distribution continues, taking another $1.18 out of capital. Net asset value ends near $11.98. Leverage is why this case is so much lower. At June 30, 2026 borrowings were about $728 million against about $647 million of net assets. Asset coverage was 213.8% at March 31, 2026, above the 150% legal minimum. The $127.9 million of 5.00% notes that matured on May 1, 2026 were repaid, with borrowing on the credit line rising over the quarter. Bull case ($27.25 per share). Earnings run at $2.47 a year, the fiscal 2024 level. That is 15.2% on current net asset value, below the 17.5% median return on beginning net asset value over the decade. Current valuations, including SFEG, are assumed to hold. The named driver is the company's own record of selling companies at a profit, such as the $43.4 million gain on Nth Degree and the $19.8 million gain on Nocturne in fiscal 2025. What would make this estimate wrong. Net asset value rests on the adviser's and board's estimates of what private companies are worth, and those estimates cannot be checked against a market. Much of the value is concentrated in a few holdings, and borrowing magnifies any mistake in those estimates. The fiscal 2026 gain could not be tied to any sale or agreed transaction for SFEG. It rests on better operating results and higher valuation multiples, so we have not counted on it in the base case beyond its effect on current net asset value. The margin-of-safety price is $13.50 per share. That is about 40% below the base case and slightly below the bear case. The margin is this wide because earnings swing widely, the portfolio is concentrated and the company borrows heavily.
