Northern Oil and Gas owns non-operated working interests in producing oil and gas wells across the Bakken/Williston, Permian, and Appalachian basins. It doesn't operate rigs itself; instead it buys a stake in wells that other companies drill and run, and it has grown mainly through a steady stream of these acquisitions over the past several years. The company's reported earnings and operating cash flow have grown sharply since 2018, but a meaningful share of that cash has to be continuously reinvested. Shale wells decline quickly in their first year or two of production, so a business built on them must keep drilling or buying new wells just to hold output flat -- a permanent, structural cost, not a discretionary growth choice. We estimated the cash this business could actually distribute to owners after covering that reinvestment need, and it is considerably smaller and more volatile than net income or operating cash flow alone would suggest -- in some recent years, most of the cash generated has gone right back into the ground. In 2025 the company also recorded a roughly $700 million non-cash write-down of its oil and gas properties after commodity prices weakened; that reduced reported earnings but did not affect the cash actually generated that year. Base case: commodity prices are assumed to stay roughly at recent levels (we are not forecasting a price recovery), and the unusually heavy reinvestment of 2023-2024 -- tied to digesting a wave of large 2022-2024 acquisitions -- continues to ease, a trend already visible in the falling share of revenue spent on capital projects over the last three years. On that path, distributable per-share cash flow grows from around $1.75 today toward roughly $2.50 over several years and then levels off, since the business has no evidenced source of growth beyond continuing to replace its own production decline. That supports a value of roughly $40 per share. Bear case: prices stay soft or weaken further -- something the 2025 write-down shows is already underway -- while the reinvestment burden stays elevated because replacing declining wells isn't optional. The company also carries meaningful borrowings used to fund its acquisitions, which narrows what's left for shareholders in a weak stretch. Here, per-share distributable cash flow stays near breakeven for a couple of years before settling around $0.60, supporting a value near $10 per share. Bull case: the company continues its demonstrated record of adding non-operated interests at attractive terms, and its recent trend of falling reinvestment intensity continues further -- its well count grew about 8% in 2025 even as revenue dipped, showing this capital is still expanding the asset base rather than just holding it flat. Per-share cash flow builds toward roughly $3.50 and holds there, supporting a value near $55 per share. The margin-of-safety price sits meaningfully below the base-case estimate, given how much the outcome depends on commodity prices the company does not control and its use of borrowed money. Given the spread between the bear and base cases, that points to a margin-of-safety price near $20 per share. What could prove this wrong: the biggest swing factor is oil and gas prices, which we have deliberately not assumed will recover; a continued decline would push results toward the bear case. On the reinvestment side, this is a business where a large part of what we call capital spending is really acquisitions rather than pure maintenance drilling, so separating the two is inherently imprecise -- a couple of the trailing years' cash-flow figures likely understate the company's true underlying earning power because prices, rather than production, pulled revenue down in those years.

CAVEAT: the 2023 clean-revenue decline was price-driven (industry-wide realized price pullback after 2022's spike), not volume-driven -- NOG's net producing well count kept rising through this period -- so attributing all of 2023 capex to "maintenance" likely understates true owner earnings that year; carried through mechanically per the stated formula and flagged here rather than adjusted.
