Natural Health Trends Corp (NHTC) sells personal care and wellness products through an international network of independent distributors ("members"), primarily in Hong Kong and mainland China, with smaller operations across the Americas, Southeast Asia and other markets. The company carries no debt and holds a meaningful cash and investment cushion, but its business has been shrinking for years. Revenue peaked in 2016 during a Hong Kong/China direct-selling boom (roughly $288 million) before a 2019 regulatory crackdown on the direct-selling industry there cut revenue by nearly 60% in a single year. Revenue has declined every year since, from about $78 million in 2019 to roughly $40 million in 2025, and the erosion has continued into 2026. The core Hong Kong market, which still generates about 82% of revenue, saw its active member count fall roughly 16% in 2025 alone. Because of that history, we measured the company's normal earning power only from 2020 onward, treating 2016-2019 as describing a fundamentally different, larger business that no longer exists. Over 2020-2025, owner earnings per share ran from about $0.34 in 2020 down to essentially breakeven in 2025, with a median of about $0.14 per share - our starting point for value. One accounting item worth flagging: cash flow from operations looked weak in 2022-2025, well below reported net income. That gap is mostly a one-time item - the company was paying down, in installments, a tax liability created by the 2017 U.S. tax reform's one-time charge on foreign earnings, with the final payment made in April 2025. We removed this working-capital swing (along with normal swings in inventory, payables and deferred revenue) from our earnings estimate, since it is not a recurring cost of the business; the company itself confirms operating cash flow was far less negative once that final tax payment is excluded. We valued the shares assuming continued, though moderating, erosion in the core Hong Kong/China business over the next decade, discounted at a flat 6%: Our bear case (roughly a one-in-ten outcome) assumes Hong Kong/China member losses continue at their recent pace for several more years, costs don't shrink fast enough to keep up, and the business runs at a loss for an extended stretch before settling into a much smaller, still-shrinking operation. In this case, the ongoing cost of keeping the business running could modestly exceed what it generates, implying the operating business is worth slightly less than zero on its own - though the company's substantial debt-free cash and investment position (real, but not folded into this earnings-based estimate) would provide a cushion this case doesn't capture. Our base case (the middle of the range) assumes the decline continues for a few more years before moderating as the company rightsizes its cost base - it relocated its corporate headquarters from Hong Kong to California in early 2025, a step consistent with cost discipline - settling into a smaller, roughly stable business by the back half of the decade with owner earnings around $0.10 per share. On this path we estimate the shares are worth around $1.37 today. A significant share of that value (roughly two-thirds) rests on the assumption that the smaller business persists indefinitely at that level rather than continuing to shrink; that is a real assumption given the decline hasn't stopped yet. Our bull case (roughly a one-in-ten better outcome) assumes the Hong Kong/China erosion stabilizes faster than expected, the remaining member base proves loyal and durable, and cost savings from the relocation and other measures lift profitability back toward $0.20+ per share by the mid-2030s. That path is worth around $3.01 per share. Given how wide that range is, and how much of the value depends on the business finding a stable floor it hasn't found yet, the margin-of-safety price is set at a meaningful discount, at about $0.68 per share. What would make us wrong on the upside: faster-than-expected stabilization in Hong Kong/China membership, successful diversification into other markets, or cost cuts landing faster than modeled. What would make us wrong on the downside: continued double-digit membership losses in the core market, a cut to the company's current $0.80/share annual dividend (which exceeds what the business currently earns and is being funded from the cash balance, which fell about $15 million in 2025 alone), or further regulatory pressure on direct selling in China/Hong Kong. We found no indication of going-concern issues, delisting risk, or ties to cannabis or cryptocurrency. The company is a Delaware corporation, now headquartered in California, not a China-controlled entity.
