NEOGENOMICS INC (NEO) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.68 Updated
-$1.83 $5.05
bear -$1.83 base $1.36 bull $5.05 margin of safety $0.68 market price* $16.65
Business condition attached to the margin of safety Owner earnings turning durably positive for at least two consecutive fiscal years (not just narrowing losses), with stock-based compensation and capital spending both declining as a share of revenue for two consecutive years -- confirmation that the 2022-2024 restructuring and the 2025 pruning of underperforming legacy products have structurally improved cash conversion, rather than merely produced one-time savings.
NeoGenomics runs cancer-focused diagnostic testing laboratories, serving oncologists and cancer patients directly (Clinical Services, the large majority of revenue) and biopharmaceutical companies that need genomic testing support for drug trials (Pharma Services). It has grown quickly: revenue has roughly tripled over the past eight years, reaching $727 million in 2025, helped by a 2021 acquisition that added liquid-biopsy (blood-based) cancer testing to its menu. That growth has not yet translated into real cash profit for shareholders. Looking through the swings that come from customers paying faster or slower, and after counting the true cost of the stock the company hands out to employees every year and the capital spending needed just to keep its labs running, NeoGenomics has generated negative owner earnings in each of the last five years -- roughly negative $0.55, $0.67, $0.20, $0.25 and $0.22 per share in 2021 through 2025, respectively. The business has been consuming cash at the owner level even as reported revenue climbs, largely because stock-based compensation has grown to nearly 6% of revenue and the company has needed to keep spending heavily on lab and testing-platform capacity. There are real signs of improvement. The company completed a multi-year restructuring program in 2024, and during 2025 it wrote down and is winding down two underperforming legacy products (an older lung-cancer test and a decision-support software business), moves that should remove a drag on costs going forward rather than just produce one-time charges. It also used cash on hand to pay off $201 million of convertible debt in late 2025, cutting future interest costs. The pace of improvement, however, has been slow and uneven -- the cash shortfall narrowed sharply from 2022 to 2023 but has moved only modestly since, and the cost of employee stock compensation has kept rising as a share of revenue rather than falling. We have assumed the recently completed restructuring and product pruning produce a real, incremental improvement in 2026 beyond the modest pace of the last two years, but we are not assuming the company simply grows its way to profitability on trend, since the trend so far does not clearly show that. Because NeoGenomics is not yet generating owner earnings today, this valuation depends heavily on a view of what the business looks like several years out, once (and if) its testing volumes are large enough, and its stock-compensation and capital-spending habits disciplined enough, to convert growth into real per-share cash. That is a genuine open question, not a formality, and it is the reason the bear, base, and bull cases here are unusually far apart. Bear case (about -$1.83/share): the improvement stalls or partly reverses -- competition from larger diagnostics and testing companies pressures pricing, stock-based compensation stays elevated, and owner earnings remain negative for most of the coming decade before the company is forced to right-size to a bare break-even level. In this case, the business is worth less than nothing to a shareholder once the ongoing cash needs are accounted for -- roughly $1.83 per share less than nothing, by our estimate. Base case (about $1.36/share): the recent restructuring and legacy-product pruning genuinely take hold, losses at the owner-earnings level narrow steadily and the company crosses into modest positive owner earnings within three to four years, then grows at a high-single-digit pace after that as its now-larger revenue base scales more efficiently. Almost all of this case's value comes from what the business is expected to earn beyond the next ten years, once (if) it has become a durably profitable, larger-scale cancer-testing franchise; that is a real assumption resting on continued execution that has only just begun to show up in the numbers, not a settled fact. Bull case (about $5.05/share): the restructuring fully pays off, stock-based compensation meaningfully declines as a share of revenue, and rapid adoption of NeoGenomics's liquid-biopsy and minimal-residual-disease testing (built on the 2021 acquisition) drives strong, profitable growth for an extended period. Given how much of the outcome here depends on execution that has not yet been proven out, the margin-of-safety price carries a large discount -- around $0.68 per share -- and even that price depends on owner earnings actually turning durably positive for a couple of years, with stock compensation and capital spending both shrinking as a share of revenue.
