Navan, Inc. (NAVN) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.00 ComplexityAverage Updated
Business condition attached to the margin of safety Owner earnings turn positive: operating cash flow excluding working-capital swings exceeds stock-based compensation plus maintenance capital spending for at least two consecutive fiscal years, with stock-based compensation no longer growing faster than revenue.
Navan (Nasdaq: NAVN) runs a business travel and expense platform. It books travel for corporate customers and manages their expense spending, and it earns revenue from that activity. The company listed in October 2025, so only three fiscal years (ending January) are available. Revenue grew from $402.3M in fiscal 2024 to $536.8M in fiscal 2025 and $702.3M in fiscal 2026. By geography, fiscal 2026 revenue was 62% United States, 21% United Kingdom and 17% rest of world. How we measure value: we start from cash generated by operations, strip out swings in working capital, then subtract stock-based compensation (a real cost paid in shares rather than cash) and the capital spending needed to keep the platform running, including capitalized software. The result is what owners could take out of the business each year. On that measure Navan has not yet earned anything for owners. Operating cash flow before working-capital swings improved sharply: about -$144.9M in fiscal 2024, -$33.0M in fiscal 2025 and +$41.1M in fiscal 2026. That is real progress. But stock-based compensation was $75.9M, $77.0M and $182.1M in those years, and the company spent $17.3M, $16.3M and $18.9M a year on equipment and capitalized software. After those costs, owner earnings were about -$238.1M in fiscal 2024, -$121.8M in fiscal 2025 and -$154.3M in fiscal 2026. Per weighted diluted share that is -$5.34, -$2.69 and -$1.58. The per-share figures flatter the recent trend, because the share count jumped after the listing: weighted diluted shares were 97.8M in fiscal 2026, but 256.4M in the quarter ended July 2026. The most recent half-year does not change the picture. In the six months to July 31, 2026, revenue rose about 37.5% to $453.0M and operating cash flow was $18.4M, but stock-based compensation was $79.2M and capital spending about $11.1M. Before working-capital effects, owner earnings were roughly -$72M, against roughly -$40M a year earlier. Stock-based compensation ran at about 17.5% of revenue, versus 14.3% in fiscal 2025 and 25.9% in fiscal 2026, the year of the listing. Our three cases: we credit only what is secured or a proven, repeatable process. Navan's revenue growth of about 31 to 33% a year is a three-year record, but it is a young company that has not been through a downturn, has funded its growth with outside capital, and has not yet produced positive owner earnings. Growth from a larger market, share gains and profit margins improving are not credited. Holding today's cost structure, even 30% growth in revenue leaves owner earnings negative for years, because stock-based compensation alone is larger than the entire operating cash flow. Nothing named and evidenced today produces positive owner earnings, so the bear, base and bull cases are all valued at $0 per share. That is not a claim the company is worthless if it keeps improving. It is a statement that its current profitability cannot yet be supported by the filings on our measure. Bear is the same $0: continued heavy share issuance to employees would keep owner earnings negative. We did not subtract debt, and we did not add the cash raised in the listing, since it is not an earnings stream. What would make this wrong: if operating cash flow keeps growing while stock-based compensation stops growing, owner earnings could turn positive within a few years, and this valuation would then be too low. Operating cash flow swung by about $75M between fiscal 2025 and fiscal 2026, so this is plausible, but it has not happened yet. Fiscal 2026 filings also record a loss on extinguishment of debt of $118.0M and other non-cash charges linked to the listing, which we did not treat as recurring; they do not affect our measure because it starts from cash flow. There is no earlier analysis of this company to compare against.
