Business condition attached to the margin of safety Termination of the pending Brink's acquisition (shareholder-approved, expected to close Q1 2027 for $30.00 cash + 0.1574 Brink's shares per share).
NCR Atleos operates the self-service banking infrastructure that used to sit inside NCR Corporation until its October 2023 spin-off: automated teller machines (ATMs) and interactive teller machines, the software that runs them, and the Allpoint network - the largest retail, surcharge-free independent ATM network in the country, spanning roughly 78,000 locations. Revenue comes from three segments - Self-Service Banking, Network, and Telecommunications & Technology - and about 70% of it is recurring, multi-year service and network revenue rather than one-time hardware sales. Since the spin-off, the company has been shifting toward a subscription-style 'ATM as a Service' model, which management says roughly doubles the recurring revenue of a comparable traditional hardware-and-maintenance contract. Revenue from that model has grown quickly - from $153 million in 2023 to $194 million in 2024 to $258 million in 2025 - and overall EBITDA margin has expanded from 17.6% to 19.1% over the same two years as the mix shifts and cost programs take hold. The business also carries meaningful debt taken on at the spin-off: roughly $2.8 billion, including $1.35 billion of 9.5% senior notes, and a bank facility that caps leverage at 3.5 times EBITDA. At 2025 year-end the company was running close to that limit, around 3.4 times, so there isn't much room for earnings to soften before the terms of that facility become a real constraint. The company has been paying debt down, and interest expense fell from $309 million in 2024 to $270 million in 2025 - a trend that, if it continues, is a genuine tailwind for the per-share figures below even without any operating improvement. One accounting judgment worth flagging: owner earnings is built from operating cash flow with stock-based compensation, working-capital swings, and maintenance-level capital spending removed. 2023 - the year the spin-off actually happened - included a one-time $170 million pension-funding outflow and other transition-related working-capital swings that pulled that year's figure down to a fraction of a normal year. We treated 2023 as a distorted transition year and anchored the valuation on the two clean post-spin-off years, 2024 and 2025, which landed close together at about $3.35-3.38 per share - a level also broadly consistent with the two years before the spin-off (2021-2022, $3.60-3.65 per share, albeit under a different, unlevered capital structure). Owner earnings grew roughly 1% in 2025 on an aggregate basis, but per share it was essentially flat to slightly down once new shares issued for employee compensation are counted; the base case starts from flat per-share growth in year one, assuming scheduled debt paydown continues to offset that dilution, before resuming modest growth. Three cases: Bear: recurring revenue's share of total revenue actually slipped in 2025, from 72.6% to 70.6%, and the number of ATMs the company manages under the Network business is still below its 2023 level - both already-visible signs the mix-shift story could stall rather than continue. Combined with the thin headroom on that 9.5% debt covenant, this case assumes owner earnings fall by roughly a quarter over the first several years before leveling off, with no further margin gains or deleveraging benefit. That path is worth roughly $42 per share today. Base: revenue keeps growing at the low-single-digit pace it has shown since the spin-off (1-3% a year), margin keeps expanding but at a slower pace than the last two years as the ATM-as-a-Service shift matures, and scheduled debt paydown keeps trimming interest costs. That path is worth roughly $61-62 per share today. Bull: the ATM-as-a-Service growth of the last two years continues at a healthy clip, margin expansion runs at the high end of its recent trend, and the Allpoint network keeps growing as banks close branches but still need to give customers a way to get cash - a trend the company itself points to and one that is visible in the data. That path is worth roughly $85-86 per share today. These three cases are not a market discount rate loaded up for risk - risk is expressed entirely through how much worse the bear case is than the bull case, not through the discount rate, so the figures should be read as a spread of plausible outcomes rather than three equally-likely point estimates. An important qualifier: NCR Atleos agreed in February 2026 to be acquired by The Brink's Company for $30.00 in cash plus 0.1574 Brink's shares per NCR Atleos share, a deal shareholders have already approved and which is expected to close in the first quarter of 2027; Brink's has been taking preparatory steps, including extending its own credit facility, consistent with the deal proceeding on schedule. Because of this, the standalone figures above are best read as a reference for what the underlying business is worth - useful for judging whether the agreed price is fair, or for what happens if the deal were to fall through - rather than a forecast of where the shares will trade between now and closing, since the shares should track the deal terms rather than standalone value in the meantime. Given the leverage, the short two-year standalone track record, and the broader secular pressure on cash usage, a substantial margin of safety - around 40% below the base case - sets the margin-of-safety price near $37 per share. While the Brink's merger remains pending, that figure is a standalone reference to be weighed against the deal's cash-and-stock consideration.
