Business condition attached to the margin of safety Core revenue (instruments, processing assemblies, licenses and assay services) grows year over year for two consecutive quarters while the quarterly decline in cash and investments stays at or below about $7 million.
What the business is. MaxCyte, based in Rockville, Maryland, makes Flow Electroporation equipment used to engineer cells for cell and gene therapies. It sells ExPERT instruments, single-use processing assemblies and annual research and clinical licenses to drug developers and research centers, and since buying SeQure Dx in January 2025 it also sells gene-editing safety testing services. It has 31 to 32 Strategic Platform License agreements under which partners pay milestones as their therapies move through trials and, in almost all cases, sales-based payments once a therapy is approved. One partner's therapy, engineered using MaxCyte's technology, became the first FDA-approved ex-vivo gene-edited cell therapy in December 2023. Gross margins are high, about 81%. What it has actually earned. MaxCyte has never made money for its owners. After charging stock compensation as a real cost, its owner earnings were about -$41 million in 2023, -$42 million in 2024 and -$40 million in 2025, roughly -$0.40 per share each year. Revenue peaked at $44.3 million in 2022 and has fallen every year since, to $33.0 million in 2025. Core revenue (everything except partner milestones) fell 9% to $29.6 million, mostly because processing assembly sales fell 15% and license revenue fell 13%. Revenue in the first half of 2026 was $16.9 million, down from $18.9 million a year earlier. Milestone revenue is small and uneven: the company has received a little over $30 million in milestones since it started signing these deals. What changed. On September 22, 2025 the company began cutting its workforce, and by year-end headcount was down about 34%. The savings show up in the numbers. Operating cash use fell to $12.8 million in the first half of 2026 from $24.3 million a year earlier, and the operating business now loses roughly $28 to $29 million a year before interest income, compared with about $45 million in 2025. Because two straight quarters confirm the lower cost base, we start every case from that level rather than the 2023-2025 average. Management expects to end 2026 with at least $136 million in cash and investments. That implies a smaller second-half burn than the first half actually delivered, so we have not relied on it. How we valued it. The company has no debt and held $141.9 million in cash and investments on June 30, 2026, about $1.33 per share. The real question is how much of that cash is left by the time the business pays for itself, if it ever does. So we value the operating business without its interest income and add the cash at face value. All cash flows are discounted at 6%. On about 106.8 million shares: Bear case, $0.13 per share. Core revenue keeps shrinking, as it has for three years and again in the first half of 2026. Losses stay near $28 to $29 million a year through 2030 before further cuts bring the business to roughly breakeven in 2032, with nothing of value beyond that. Total cash burned is about $147 million, which uses up all the cash and would need a small, dilutive share sale to finish. The January 2025 SeQure purchase supports a pessimistic view of how capital gets spent: $3.6 million of the goodwill from that deal was written off within the year. Base case, $0.62 per share. The cost cuts hold and revenue stops falling. Management keeps trimming costs, as it showed it would in 2025. Losses shrink from about $28 million in 2027 to breakeven by 2034, with about $135 million burned along the way, which leaves only a small cushion. After that, recurring sales of processing assemblies and licenses to the installed base of instruments, plus partner payments, support modest owner earnings of about $4 million a year. Bull case, $2.30 per share. Revenue grows again at about 10% a year. The company has done better before, doubling revenue from $21.6 million in 2019 to $44.3 million in 2022. Growth comes from partner programs advancing: 13 partner programs were in clinical trials at the end of 2025, with more than $130 million of pre-approval milestones if all were approved, plus sales-based payments on approved therapies. The business breaks even in 2031 and earns about $15 million a year by 2035. That level holds after 2035 because of recurring installed-base revenue, partner royalties and patents running to about 2048. What we left out. The company says its partner agreements carry more than $2 billion of possible pre-approval milestones. That figure is a contractual maximum that includes programs not yet in the clinic, and the company's own history (about $30 million received in total) gives no basis for counting it. We have also not assigned a specific value to sales-based payments on the approved therapy, because the filings do not disclose their size. Accounting judgements. We charged stock compensation as a cost ($9.2 million in 2025, $13.1 million in 2024). We treated lease payments as ordinary rent. We added back the SeQure goodwill write-off as a non-cash charge but counted it against the bear case. The $18.5 million spent in 2022 building out the new facility is a one-time outlier that does not affect the recent years we rely on. Intangible amortization is immaterial. Listing. On March 16, 2026 Nasdaq notified the company that its share price had closed below $1.00 for 30 trading days. The first compliance deadline was September 14, 2026. The company can ask for another 180 days by moving to the Nasdaq Capital Market, or it can do a reverse split. With no debt and about $159 million of shareholders' equity, this is a share-price issue rather than a solvency issue, but the filings we reviewed do not show whether compliance has been regained. What would make this wrong. On the downside: revenue falls another 10% or more a year, or losses creep back above $30 million. On the upside: the approved partner therapy or other partner programs produce much larger sales-based payments than the company's history shows. Because the base value is only about half the cash on hand, and depends on management stopping the burn, the margin-of-safety price sits at a deep discount and applies only once core revenue is clearly growing again.
