Mitek sells software that banks use to read and verify images of checks and identity documents. About half of revenue (fiscal 2025: $89.8 million of $179.7 million) is check verification, led by Mobile Deposit, the engine behind phone-camera check deposits at many US banks, plus Check Fraud Defender. The other half ($89.9 million) is fraud and identity products such as Mobile Verify, MiVIP, HooYu and the ID R&D biometric and deepfake-detection tools. The check side is a mature licensing annuity: its software licence revenue fell from $93.5 million in 2023 to $84.1 million in 2025 as multi-year Mobile Deposit renewals came in lower, and paper check volumes are in long-term decline. The identity side is growing, with identity SaaS revenue up from $55.8 million to $72.4 million over the same two years, but it competes with many larger and better-funded vendors. Owner earnings, meaning operating cash flow with working-capital swings removed, less stock compensation and the capital spending needed to stand still, have been: fiscal 2020 $0.41 a share, 2021 $0.50, 2022 $0.39, 2023 $0.68, 2024 $0.34 and 2025 $0.52. Two accounting judgements matter. First, stock compensation is treated as a real cost; at $16.8 million in fiscal 2025 it consumes roughly 40% of what the business would otherwise generate. Second, working-capital timing is stripped out. Fiscal 2025 reported operating cash flow of $55.3 million, but $13.3 million of that came from tax-payment timing, accrued payroll and deferred revenue; fiscal 2023 was flattered the other way because upfront term-licence revenue built up uncollected contract assets. Amortization of acquired intangibles (about $14 million a year) is added back as a sunk acquisition cost, but because those acquired technologies wear out, none of the cases assumes the identity business grows without continuing spending. Interest is small: the 0.75% convertible notes were repaid in February 2026, partly with a new term loan. We measure from fiscal 2021, when the identity acquisitions began to shape the business, and take a normal level of about $23 million a year before interest, roughly $0.47 a share. Fiscal 2024 (heavy restatement audit and executive transition costs) and 2023 (contract-asset timing) sit at either end of that range. Owner earnings rose 49% in fiscal 2025, but mostly as a recovery from the depressed 2024; the base case starts year one at a slight decline, not a continuation of that jump. The first nine months of fiscal 2026 show revenue of $153.1 million against $134.9 million a year earlier and net income of $20.7 million, which supports the normal level but is not yet enough to raise it. Base case: the check business keeps shrinking slowly as renewals reprice and checks decline, while identity SaaS growth roughly offsets it after paying for the R&D and sales effort it needs. Owner earnings stay near $23 million, easing about 1% a year for ten years, then fade over fifteen more years as check deposit volumes keep falling and no named driver sustains the identity products beyond that. Business value about $224 million. Bear case: modelled on the 2023-2024 experience, when Mobile Deposit renewals and legacy identity licence sales fell together, plus the open patent risk. USAA has sued several banks over mobile deposit patents, and Mitek's customers have asked it for indemnification; the bear case charges roughly $20 million for a settlement or indemnity in year two, and owner earnings drop to about $12 million and decline 5% a year as larger identity competitors take share, fading out over ten years after year ten. Business value about $83 million. Bull case: identity SaaS keeps growing near its recent pace and Check Fraud Defender's bank data network widens, lifting owner earnings from $28 million by 5% a year for five years and 2% for five more, then fading over twenty years. Business value about $388 million. Not credited in any case: management's growth targets, new products not yet selling, or margin expansion beyond what has been demonstrated. At June 30, 2026 Mitek held about $100 million of cash and investments against about $49 million of debt (a term loan with Silicon Valley Bank maturing May 2030 at a floating rate, plus small low-rate Spanish government loans). Allowing about $20 million of cash to run the business, net cash is about $31 million, comfortably inside the 2.5 times net leverage covenant. Per share on 48.7 million diluted shares: bear $114 million total, $2.35; base $255 million, $5.24; bull $419 million, $8.59. The warrants sold alongside the 2026 notes, with a $26.53 strike, expired between May and August 2026 and are not counted. The earnings level is only moderately reliable: the series swings widely year to year, the company filed two annual reports very late and restated results, and it disclosed several internal-control weaknesses that were only reported as fixed in fiscal 2025. The worst plausible outcome is a USAA patent ruling against Mobile Deposit users combined with an accelerated decline in renewal pricing; the business carries little debt, so it would survive, but the check annuity that funds everything could shrink fast. If we are wrong about the identity business covering the check decline, value falls toward the bear figure; if we are wrong about stock compensation staying near $17 million, it falls further. Mitek pays no dividend, although it has bought back stock steadily ($19.8 million in the first nine months of fiscal 2026). The margin-of-safety price is $3.00, close to the bear value with net cash of about $0.64 a share as a cushion, and a return to the base value within about three years implies roughly 20% a year; above that price, the thin base value leaves too little room for the litigation and control risks. Our previous estimates are not comparable: they were built on a different method. In the business itself, the convertible notes have since been repaid, and the strong fiscal 2025 cash flow has proven to be largely timing rather than a higher run rate.

Sales geography
United States (about 76% of revenue, mostly US banks and credit unions); United Kingdom (about 12%); Europe including France, Spain and the Netherlands, and other countries (about 12%).
Historical growth strategy
Organic licensing of its Mobile Deposit check-capture software to banks, extended by acquisitions in identity verification and fraud (A2iA in 2018, ICAR in 2017, ID R&D and HooYu in 2021-2022), with a recent shift from upfront term licences toward recurring SaaS and per-transaction pricing.
Chart analysis
A chartist would see a stock that ran from low single digits in 2016 to a spike near the low twenties in 2021 alongside the convertible-note issue, then fell back into a long sideways-to-down channel roughly between $7 and $14 through 2023-2025 as late filings and restatements weighed on it. Recent action has been a base-building range near the bottom of that channel; a break above the prior range highs would be read as a trend change, while the multi-year lows mark key support.
