Business condition attached to the margin of safety The FDA lifts the partial clinical hold on the LINNET study of lorigerlimab without a safety finding that ends the program, confirming the company still has a viable wholly owned clinical asset beyond its licensed royalty stream.
MacroGenics is a clinical-stage biotechnology company that designs antibody-based cancer therapies (including its own "DART" bispecific-antibody and antibody-drug-conjugate technology) and licenses the resulting drugs to larger pharmaceutical partners in exchange for upfront payments, development and sales milestones, and royalties. It does not currently sell any product itself: in 2024 it sold its one marketed drug, MARGENZA, to TerSera, and in 2025 it sold its near-term royalty stream on Incyte's approved drug ZYNYZ to an investor called Sagard for $70 million upfront (MacroGenics resumes collecting those royalties in full once Sagard has received $140 million, a cap that is likely still some years away). The company has not produced positive owner earnings in any of the last eight years; the cash cost of running its pipeline has consistently exceeded the cash it collects from partners and from ZYNYZ. That gap has narrowed meaningfully, however: on a cash basis (operating cash flow, less the swings in working capital, less stock-based compensation, less the capital spending needed just to keep the business running - our definition of owner earnings), the shortfall was roughly $151.7 million in 2023, $101.0 million in 2024 and $68.7 million in 2025. Some of that improvement reflects real cost discipline (stock-based compensation fell from $29.4 million to $14.3 million as the company's commercial team was shed along with MARGENZA), and some reflects the winding-down of its most expensive trial: vobramitamab duocarmazine, a former lead prostate-cancer candidate, was discontinued in 2025 after disappointing results in its pivotal (TAMARACK) study, and related spending fell by more than half in 2025 even as a new program (MGC030) ramped up. We have used the median of the last three fiscal years, on a per-share basis, as our starting point, and assumed the pace of improvement slows from its recent rate rather than continuing at the same speed, since results through the first half of 2026 show a more modest year-over-year improvement than 2025 did on its own. The company also disclosed in February 2026 that the FDA placed a partial clinical hold on a study (LINNET) of its lead proprietary drug candidate, lorigerlimab, after several patients experienced serious side effects; no new patients can enroll until that hold is lifted. A separate 2025 study of lorigerlimab in prostate cancer was also discontinued for lack of efficacy. Combined with the earlier vobramitamab duocarmazine failure, this leaves the company's wholly-owned pipeline - two early-stage antibody-drug conjugates (MGC026 and MGC028) and a third about to enter human testing (MGC030) - carrying a track record of setbacks rather than one of the successes that would justify assuming a near-term approval. Our bear case assumes the LINNET hold is not favorably resolved, the newer antibody-drug conjugates fail to differentiate in early testing, and the company must fund its continuing losses mostly through dilutive stock sales as its cash (expected, by the company's own estimate, to last into late 2027) runs down; on that path, the shares are worth little more than a shrinking claim on the company's cash and modest continuing royalty income. Our base case assumes the recent, real cost discipline continues at a more gradual pace, the company keeps collecting occasional milestone payments of the kind it has repeatedly earned from Incyte, Sanofi and Gilead in the past (nearly $600 million in cumulative milestones and upfronts across the company's history), and it eventually resumes full royalties on ZYNYZ, an approved, patent-protected drug (patent life into 2036), without assuming any of the earlier-stage pipeline reaches approval. Our bull case assumes the LINNET hold is lifted without a lasting safety problem, at least one of the newer antibody-drug conjugates shows data strong enough to attract the kind of well-funded partner MacroGenics has repeatedly attracted before, and ZYNYZ royalties resume on a more favorable timeline. Across all three cases, we have not assumed that any of the earlier-stage pipeline will ultimately reach the market, since none of it has yet produced the kind of data that would let us name a specific, evidenced reason to expect that; where we could not point to a specific fact supporting a scenario, we left it out rather than including it as a hedge. We also note that an earlier securities class action and two related shareholder lawsuits concerning the vobramitamab duocarmazine trial were filed in late 2024 and voluntarily dismissed by early 2025, so we have not treated ongoing litigation as a material risk. Given the size of the gap between our bear and bull cases and the binary nature of the near-term clinical catalysts, the margin-of-safety price sits at a substantial discount to our base-case estimate, and confidence in the estimate would require confirmation that the LINNET hold is resolved without ending the lorigerlimab program.
