Morgan Group Holding Co. is the parent of G.research, a small institutional research and brokerage firm based in Rye, New York. G.research earns commissions, underwriting fees, and research fees from institutional clients, executing trades and providing research mainly on behalf of asset managers. A notable feature of the business: more than half of its commission revenue (55–61% in recent years) comes from investment funds managed by GAMCO Investors and other affiliated Gabelli entities under common ownership — in effect, a captive client relationship that has persisted for years but is not contractually guaranteed to continue at any particular level. The company took its current form in October 2019, when it combined with G.research. In the years immediately afterward, both the firm's revenue and its cost base shrank sharply — institutional research and commission revenue fell from roughly $9 million in 2019 to about $2 million by 2022 as the firm reduced headcount and scaled back research services — and the company recorded a net loss every year during that stretch. One earlier year, 2018, showed an outsized $20 million-plus loss, but that was driven almost entirely by a one-time $22 million mark-to-market loss on investments the firm held at the time; those investments were transferred out of the company at the end of 2018 and are not part of the ongoing business, so that year is excluded from our normalized earnings base. More recently, the trend has turned. The loss narrowed in 2023, and continued narrowing through 2024 and 2025: for the first nine months of 2025 the company reported a net loss of only about $40,000, versus $183,000 in the same period of 2024, and the third quarter of 2025 was the company's first profitable quarter since it took its current form. Revenue has stabilized and grown modestly (roughly $2.0–2.1 million a year) while expenses have held roughly flat around $3 million, so continued modest revenue growth would flow mostly to the bottom line. Worth noting for transparency: Morgan Group voluntarily stopped filing periodic reports with the SEC in January 2024, though it continues to publish quarterly and annual financial results on its own initiative; the most recent trend data therefore comes from company-issued releases rather than audited SEC filings, and could not be independently verified the way the 2019–2022 figures could. The business carries no debt and holds essentially all its value in cash, receivables, and securities — book value was about $2 per share as of the most recent results we could confirm. Because it is a services business with almost no equipment, capital spending is negligible, so what the company earns in cash flows through almost directly to shareholders once you back out the swings in receivables and payables. Our base case assumes the recent improvement continues at a measured pace: the company reaches roughly breakeven in the near term and settles into modest, sustained profitability of a few hundred thousand dollars a year, reflecting the stable (if not growing) affiliated brokerage relationship. That produces a value of about $3.50 per share, not far above current book value — appropriate for a business just emerging from years of losses. Our bear case takes seriously the company's own disclosed risk: that its largest client relationship is discretionary, not contractual, and revenue could revert to the depressed levels seen in 2020–2021 — something that has already happened once before. Given the company's thin capital cushion, a repeat of that pattern for even a year or two would consume most of its equity, and we value the shares at roughly -$2.75, reflecting that in this scenario the business would likely need new capital or a wind-down rather than continuing to create value for existing shareholders. Our bull case assumes the 2025 recovery holds and the firm sustains profitability near its best recent quarterly run-rate, aided by occasional larger fee engagements of the kind it has executed before (a $500,000 placement-agent fee in 2021, for example). That produces a value of roughly $8.90 per share. Given the wide range between these outcomes, the small size and thin trading of the stock, and the fact that the company no longer files with the SEC, the margin-of-safety price is set at a substantial discount to our base-case estimate — around $1.15 per share — and assumes the 2025 profitability is confirmed by at least one more solid quarter.

EXCLUDED FROM ANCHOR (distorted + inconsistent share basis). OE = NI + D&A - maintenance capex (no SBC ever reported for this filer; CFO reconciles exactly to NI+D&A+ΔWC with no other non-cash items in any year, so this reduced form is exact, not an approximation). NI=$(20,292,903) [recast on reverse-merger basis, G.research LLC as accounting predecessor]; this reflects a $22.3M mark-to-market net loss on principal transactions (proprietary securities/investments held by G.research that were distributed to parent Associated Capital Group as a return of capital in Dec 2018) plus a much larger pre-downsizing cost base (~$14.3M total expenses vs ~$3.0M by 2022); D&A=$9,614; capex=$60,255 (revenue for the recast comparative was effectively negative due to the trading loss, so growth capex=$0 per formula, maintenance capex=full capex=$60,255); OE=$(20,343,544). Diluted shares originally reported were 54,542,617 (filing predates the June 10, 2020 1-for-100 reverse split); split-adjusted to 545,426 for comparability -> OE/sh=$(37.30).
