Moody's Corporation runs two businesses under one roof. Moody's Investors Service (MIS) rates debt issued by companies, governments and structured-finance vehicles, and is paid by issuers each time they come to market. Moody's Analytics (MA) sells subscription-based data, risk-modeling software and analytics -- including catastrophe-risk modeling (RMS) and company/ownership data (Bureau van Dijk) -- to banks, insurers and corporates, and is paid recurring subscription fees. MIS is cyclical: its revenue rises and falls with the volume of debt issued globally, which in turn moves with interest rates and credit-market conditions. MA is much steadier, with recurring, subscription-based revenue that in 2025 grew annualized recurring revenue (ARR) by 7-15% depending on the business line, per the company's own disclosures. We estimate the cash the business actually generates for owners (operating cash flow, less the swings from working capital, less stock-based compensation, less the capital spending needed just to maintain the current business) at roughly $9.66 per share, using the median of the eight fiscal years 2018 through 2025. We excluded 2016 and 2017 from this calculation because both years were distorted by a roughly $864 million legacy litigation settlement with the U.S. Department of Justice and state attorneys general over pre-2008 ratings conduct -- accrued in 2016 and paid out in 2017 -- which is not representative of the ongoing business. The remaining eight years span a full issuance cycle: strong years like 2020-2021 and 2024-2025, and a sharp 2022 downturn when rising rates cut debt issuance and owner earnings fell by roughly 30% in a single year. Using the median across that cycle, rather than the most recent (strong) year, keeps the valuation from chasing a cyclical peak. Owner earnings actually grew about 22% in fiscal year 2025 versus 2024, but that was a cyclically strong year for debt issuance and should not be extrapolated. Our base case assumes growth moderates to roughly 6% in the near term -- broadly in line with the mid-to-high-single-digit recurring-revenue growth Moody's Analytics has been reporting -- before settling into a more moderate long-run pace. We modeled three cases for how the next ten years, and the years beyond, might unfold: Our base case assumes MIS transaction revenue normalizes from the current cyclically strong environment while Moody's Analytics continues compounding its subscription revenue at a high-single-digit rate, similar to what the company has been reporting. Owner earnings grow roughly 6-7% a year through the forecast period. Beyond year ten, we assume the combined business -- protected by MIS's position in a global two-and-a-half-player ratings market with high regulatory barriers to entry, and MA's recurring, renewing subscription base -- continues to grow modestly (about 1.5% a year) indefinitely, since neither the ratings franchise nor the analytics subscription base has any dated expiration the way a patent or a single customer contract would. This produces a value of roughly $318 per share. Our bear case assumes a more severe and prolonged version of the 2022 downturn: elevated interest rates or a credit-market disruption depresses debt issuance for several years, Moody's Analytics' growth slows as corporate technology budgets tighten, and we assume some renewed legal or regulatory cost pressure, echoing the industry's litigation history. Owner earnings fall by roughly 20% in year one and stay roughly flat for the next two years before a slow recovery. We assume no growth in the value of the business beyond year ten in this case. This produces a value of roughly $141 per share. Our bull case assumes debt markets stay active for longer, Moody's Analytics' newer AI-enabled products and cross-selling continue to lift ARR growth into the low double digits, and operating leverage improves margins as technology spending growth moderates relative to revenue. This produces a value of roughly $414 per share. In all three cases, more than two-thirds of the estimated value comes from what the business is expected to earn beyond the ten-year forecast window, rather than from the next decade alone. That is a reflection of how durable and capital-light both segments are -- neither requires large ongoing reinvestment beyond what is already charged against owner earnings -- but it also means the valuation leans heavily on our judgment that neither business has a natural expiration date, which is inherently less certain than a ten-year forecast. A few accounting judgments materially affect this estimate. We calculated the capital spending required just to sustain the current business (as opposed to spending to grow it) using the ten-year average ratio of capital spending to revenue. Since that spending ratio has roughly doubled since 2022 (likely reflecting increased technology and data-platform investment), this approach is conservative for recent years -- it likely treats some genuine growth spending as maintenance spending, which understates owner earnings somewhat in 2022-2025. We also excluded stock-based compensation from owner earnings, since operating cash flow already adds it back as a non-cash expense. Given the roughly 40%-of-base gap between our bear and base cases, reflecting real cyclicality in the ratings business, the margin-of-safety price carries a meaningful discount -- around $196 per share -- set against the downside case.
