Business condition attached to the margin of safety The Justice Department/state antitrust case against Live Nation and Ticketmaster (S.D.N.Y., trial set March 2026) is resolved by judgment or settlement, as disclosed in a filing, without a required divestiture of Ticketmaster or cancellation of its venue ticketing contracts.
Live Nation Entertainment runs three linked businesses: Concerts (promoting tours and festivals and operating venues), Ticketing (Ticketmaster), and Sponsorship & Advertising. In 2025 revenue reached $25.2 billion. About 159 million fans attended its shows and Ticketmaster sold 346 million fee-bearing tickets. Concerts brings in most of the revenue on thin margins. Ticketing brings in only $3.1 billion of revenue but earned about $1.1 billion of the company's roughly $2.4 billion in segment operating profit, so the ticketing franchise carries much of the value. How we measured earnings. We start from cash generated by operations. We strip out swings in working capital, which are large here because the company holds fans' ticket money for future shows. We then subtract stock compensation, maintenance spending, the running cost of the advances Ticketmaster pays venues to win contracts, bad-debt provisions, and the cash paid out to minority partners in jointly owned promoters and venues. We deduct only the capital spending the company itself classifies as maintenance (about $125-133 million a year). The venue-building program (revenue-generating capital spending of $926 million in 2025) is charged directly inside each case instead. On this basis owner earnings were $851 million in 2023 and $1,032 million in 2025. 2024 came in at $495 million after a $455 million accrual for the Astroworld festival lawsuits, which have all been resolved since early 2025. We exclude 2024, and 2020-2021 because of the pandemic. Our starting level is the median of 2022, 2023 and 2025: $3.68 per share, or about $851 million. We spread that over roughly 244 million diluted shares, a count that includes shares issuable on the company's convertible notes. We add back no debt and subtract no debt from the result. Interest is already paid out of these cash flows, and leverage is handled in the bear case. Two items shape every case. First, the first quarter of 2026 carried about $474 million of extra corporate expense compared with a year earlier, which pushed the first half to a net loss. The annual filings do not explain it. It arrived as the Justice Department antitrust trial was scheduled to begin in March 2026, but we could not confirm its nature, so we treat it as a one-time cash cost in all three cases. Second, the company owes about $8.3 billion of debt, including $2.2 billion due in 2027. Its partners also hold put options on minority stakes, which were carried at $924 million at year-end 2025, and the company spent about $856 million buying out such stakes in 2025. Base case ($80.63 per share). Owner earnings grow 8% a year for three years, 6% for four and 4% for the last three. That first-year rate sits just below the 8.7% growth in 2025 once the Astroworld charge is removed. The drivers are all in the filings: 2025 fan growth of 5%, led by Europe, Mexico and Asia; event-related deferred revenue up 21% to $4.0 billion at year-end; 2026 ticket sales running 10% ahead in February; and first-half 2026 revenue up 10%. New venues add to this, including Rogers Stadium in Toronto (about 700,000 fans in its first summer) and the Vive Claro stadium in Bogota. Continued venue building costs $500 million a year for five years and $250 million a year for the next five. After year ten, earnings hold flat rather than grow. That rests on the company's scale in promotion and its base of venue ticketing contracts, which has lasted two decades. Bear case ($18.66 per share). US revenue has been flat at about $14.2-14.4 billion since 2023, so growth slows to 3%. The antitrust suits then take hold. The Justice Department and 39 states seek remedies up to divesting Ticketmaster and cancelling ticketing contracts, 24 states are claiming damages, a consumer class was certified in December 2025, and the FTC sued in September 2025. We model ticketing profits cut by about $250 million a year from 2028 plus $1 billion in damages. Refinancing the 2027-2028 maturities at higher rates costs about $90 million a year. We also assume true upkeep spending is higher than the company's maintenance figure: depreciation has run at 1.5 to 3 times reported maintenance spending over the past decade. After year ten, earnings shrink 3% a year. Bull case ($124.00 per share). The 2026 order book converts: growth runs 12% for three years, 9% for four and 6% for three. More stadiums and amphitheaters are funded at $600 million a year for five years. The litigation costs nothing beyond the 2026 charge, and growth continues at 3% a year through year twenty. What would make this wrong. The value rests heavily on Ticketmaster keeping its contracts and fees, and a court remedy could change that. Live events can also stop outright, as they did in 2020, when revenue fell to $1.9 billion. The company does not own every business it consolidates, and put options held by partners let those partners take a growing share of the value as earnings rise.
