Sphere Entertainment Co. owns and operates the Sphere, the large spherical entertainment venue on the Las Vegas Strip that opened in September 2023, and MSG Networks, the regional cable sports networks that carry New York Knicks, Rangers, Islanders, Sabres and Devils games. The Sphere is now the larger of the two businesses, generating about 64% of consolidated revenue in 2025. The Sphere's economics rest on filling a 20,000-capacity venue with a mix of original immersive productions (currently Postcard from Earth, the U2 concert film, and The Wizard of Oz at Sphere, which debuted in August 2025 and has been both a critical and a commercial success), large one-off events (UFC 306 in September 2024 was the highest-grossing UFC event ever held), corporate events, advertising and sponsorship. The Wizard of Oz's debut lifted the Sphere segment's operating results meaningfully in 2025, but because it only ran for four months of the year, part of that lift will simply repeat as a full year in 2026 rather than reflecting an ongoing growth rate - we've been careful not to extrapolate that one-time step-up forward as if it were a permanent growth trend. MSG Networks, by contrast, is a business in structural decline as cable and satellite subscribers continue to shift away from traditional pay-television bundles. The company has recorded a non-cash write-down of this business's carrying value in each of the last two years it has tested for impairment, reflecting management's own lowered expectations for it. In June 2025, the company completed a significant restructuring of MSG Networks' debt - cutting the balance owed from roughly $1.1 billion to about $210 million (since paid down further to $153.5 million as of January 2026) - and also reduced the fees MSG Networks pays the Knicks and Rangers for game broadcast rights. That restructuring materially reduced the financial risk this segment carries, even though the underlying subscriber decline continues. Because Sphere only opened a little over two years ago, we have limited operating history to draw on, and we've anchored our valuation on 2025 - the first calendar year in which the venue operated for a full twelve months and the business's construction spending had already ended. In that year, the combined business generated owner earnings (cash generated by the business after real, ongoing costs including maintenance spending, but before growth investment) of just under $2.00 per diluted share. The prior year's comparable figure was lower, but that comparison is misleading on its own: it reflects a partial year of Sphere operations layered on top of the tail end of the venue's construction, so we have not simply extended that improvement rate forward. Our base case assumes Sphere's content and events slate keeps generating solid but decelerating growth over the next few years as the current productions mature, while MSG Networks continues its gradual, previously-disclosed decline; combined, we estimate the shares are worth about $32 today. Our bear case assumes the Sphere content slate goes quiet the way it briefly did once before, and that MSG Networks' decline accelerates - even so, we estimate the business is worth a little over $16 per share, because the 2025 debt restructuring already removed much of the leverage risk that would otherwise make a downside scenario far worse. Our bull case credits Sphere with continuing to produce hit content at the pace it has managed so far, a slower MSG Networks decline aided by its newer streaming product, and successful completion of the planned Sphere venue in Abu Dhabi (which, under the current agreement, would be built with the partner's capital rather than Sphere Entertainment's own money) - in that case we estimate the shares are worth roughly $48. Given the still-short track record of the core Sphere business and the structural pressure on MSG Networks, a meaningful discount to our base-case estimate is warranted, and the margin-of-safety price is around $18 per share.
Fiscal yearOwner's earningsMethodology
2025 $1.98 ▼
OE = CFO - ΔWC - SBC - maintenance capex, continuing-operations basis (Sphere + MSG Networks segments only; Tao Group Hospitality and the MSG Entertainment live-events business were disposed/spun off in 2023 and are excluded). Calendar fiscal year ended December 31, 2025 (the company changed its fiscal year end from June 30 to December 31 during 2024-2025; this is the first full 12-month period on the new calendar-year basis and the first full year with Sphere Las Vegas operating the entire period). CFO=$243,346K; working-capital movement (change in accounts receivable, related-party receivables/payables, prepaid and other assets, accounts payable, accrued liabilities, deferred revenue and operating lease assets/liabilities, net) = +$42,242K (net source of cash); SBC=$59,005K; capital expenditures=$52,347K. Sphere's venue construction was already complete when this period began (venue opened September 2023), so this is the first clean post-construction year and its capex is treated in full as maintenance capex (no growth-capex carve-out). OE = 243,346 - 42,242 - 59,005 - 52,347 = $89,752K. Diluted shares=45,298K (includes approximately 9.2 million shares of if-converted dilution from the 3.50% Convertible Senior Notes due 2028, included because the year was GAAP-profitable; basic weighted-average shares were 36,069K). OE/sh=$1.98. A $360,155K non-cash gain on extinguishment of debt (from the June 27, 2025 MSG Networks debt restructuring that cut its term loan from $1.1 billion to $210 million) and a $69,781K non-cash impairment charge (mainly a $65,400K MSG Networks goodwill impairment) both flow through the CFO reconciliation and are correctly excluded from owner earnings since they have no operating cash effect; independently reconciling net income, D&A and all other non-cash items to CFO ties out exactly (0% gap). Source: FY2025 10-K (calendar year ended December 31, 2025), accession 0001628280-26-007760. CORRECTION (same day): this year alone is the anchor used for the corresponding Analysis record - FY2025 is the only complete fiscal year reflecting the current, fully-operational combined business (Sphere open the entire year, no residual construction capex), so it is used directly as the base-case starting level rather than averaged with FY2024, which still contained a partial Sphere year and residual construction spend; an earlier version of this note incorrectly referred to a median of FY2024 and FY2025.
2024 $1.35 ▼
OE = CFO - ΔWC - SBC - maintenance capex, continuing-operations basis (Sphere + MSG Networks segments only; Tao Group Hospitality and the MSG Entertainment live-events business were disposed/spun off in 2023 and are excluded from all periods). Fiscal year ended June 30, 2024, the first full fiscal year including Sphere Las Vegas, which opened September 29, 2023 (so this year reflects a partial-year Sphere contribution). CFO=$(19,658)K; working-capital movement (change in accounts receivable, related-party receivables/payables, prepaid and other assets, accounts payable, accrued liabilities, deferred revenue and operating lease assets/liabilities, net) = $(159,511)K (net use of cash); SBC=$48,010K; capital expenditures=$264,700K. This period still contains the final months of Sphere's venue construction blended with the first months of operations - total revenue grew 79.0% year over year purely because Sphere went from non-operating to operating, not from steady per-dollar-of-capex growth, so the standard growth-capex-ratio formula cannot be applied to this year's own numbers. Maintenance capex is instead estimated by applying the following fiscal year's (FY2025, the first full post-construction year) capex/revenue ratio of 4.29% (52,347/1,220,045) to this year's revenue ($1,026,889K), giving estimated maintenance capex of $44,060K; the remaining $220,640K is treated as one-time construction/opening cost, not a recurring cost of the business. OE = (19,658) - (159,511) - 48,010 - 44,060 = $47,783K. Diluted shares=35,301K. OE/sh=$1.35. Source: FY2024 10-K (fiscal year ended June 30, 2024), accession 0001795250-24-000026; cash-flow line items cross-checked against the identical comparative column in the FY2025 10-K, accession 0001628280-26-007760. Fiscal years 2022 and 2023 (ended June 30, 2022 and June 30, 2023) are not recorded: Sphere had not yet opened, capex in those years ($756,717K and $1,058,978K respectively) was almost entirely one-time venue construction rather than maintenance or growth capex of an operating business, and the mechanical formula produces results that do not describe the business as it exists today (e.g., for FY2023 it would imply owner earnings of roughly -$30/share, driven entirely by treating over a billion dollars of one-time construction spend as an annual maintenance cost). Per the instruction to exclude years distorted by non-recurring events and say so, those two years are omitted rather than recorded with a number known to be non-representative.

Sales geography
United States - West (Las Vegas, Nevada: Sphere venue ticket sales, sponsorship, suite licenses, corporate/special events) and Northeast (New York, New Jersey and Connecticut: MSG Networks regional sports territory distribution and advertising revenue); a small and growing amount of service, franchise and content-licensing fee revenue from the United Arab Emirates (Abu Dhabi) related to a planned international Sphere venue.
