LANTRONIX INC (LTRX) stock intrinsic value fair value estimate & owner earnings analysis

bear -$0.05 base $0.68 bull $2.00 margin of safety $0.40 market price* $5.61
Business condition attached to the margin of safety A second consecutive fiscal year of growth in the Embedded IoT Solutions product line (particularly the drone, aerospace and defense embedded-compute portion that grew in fiscal 2026), confirmed in the fiscal 2027 10-K, without a repeat of a large single-customer program disappearing the way the Gridspertise smart-grid contract did between fiscal 2025 and fiscal 2026.
Lantronix makes hardware and software that lets machines connect securely to networks and to each other — embedded modules and gateways used in industrial equipment, medical devices, video surveillance, smart-city infrastructure, and increasingly drones and defense systems. The business has three parts: Embedded IoT Solutions (connectivity modules and compute boards), IoT System Solutions (gateways, routers and telematics units, including products from the 2021 Transition Networks acquisition and the 2025 Netcomm acquisition), and Software & Services. Revenue has been volatile. It roughly doubled in fiscal 2022 as a full year of the Transition Networks acquisition came into the results, kept climbing to $160 million in fiscal 2024, then fell 23% in fiscal 2025 and another 2% in fiscal 2026, landing at $121 million. Most of that decline traces to one customer: an Italian smart-grid program (Gridspertise) that contributed roughly $11 million of lower-margin revenue in fiscal 2025 and none in fiscal 2026. Losing it actually helped gross margin, since the shed revenue was low-margin, but it is a reminder of how much a single program can swing this business. The key finding of this analysis is that Lantronix's cash flow statement looks considerably better than its underlying cash-generating power. Reported operating cash flow has been positive in most recent years, but a large part of that reflects one-time working-capital swings — building up and drawing down inventory, and the timing of payments to vendors and to employees — rather than durable profit. After removing those swings, removing the cost of stock-based compensation (which has run 5-7% of revenue every year, a real and recurring cost to shareholders even though it isn't a cash outlay), and setting aside only the capital spending needed to maintain the existing business rather than fund growth, owner earnings have swung between roughly breakeven and modestly negative in four of the last five fiscal years, with one strong year (fiscal 2024, roughly $0.13 per share) in between. The five-year median, which anchors this valuation, comes out to essentially zero per share. That is a sobering number for a company whose revenue has grown substantially since 2021, and it is the reason the estimated value below is well under what the reported growth story alone might suggest. Looking forward, the most credible source of durable growth is the embedded-compute business serving drones and aerospace/defense customers, which grew faster than the rest of the portfolio in fiscal 2026. That segment has one year of demonstrated momentum, not a long record, so the base case gives it modest, not dramatic, credit: owner earnings starting a little above the recent anchor and growing at a high single-digit rate for the next decade before leveling off, since there is no long enough track record to assume the growth compounds indefinitely. On that basis, the shares are worth on the order of $0.70 today. A bull case is built on that same driver playing out well — the aerospace/defense/drone franchise continuing to grow at something close to its fiscal 2026 pace for several more years, alongside a continued shift away from lower-margin legacy products — which would put fair value near $2 per share. A bear case reflects the risks that are already visible in the filings: legacy connectivity products (network interface cards, optics) have been shrinking for two years running in multiple regions, roughly a third of revenue moves through a handful of distributors, and the loss of one program (Gridspertise) shows how quickly a large piece of System Solutions revenue can vanish. If legacy erosion continues and nothing of similar size replaces a lost program, owner earnings stay near zero to modestly negative through the decade, and the estimated per-share value is close to zero, and arguably slightly negative on a pure cash-flow basis. In practice the company's downside is cushioned by a debt-free balance sheet with about $60 million of cash (bolstered by an equity raise this past year that was used to pay off its term loan), which is not double-counted in the figures above but is worth knowing about. Given how thin the demonstrated owner earnings have been and how much of the recent growth still depends on one relatively new product trend, the margin-of-safety price carries a large discount to the base-case estimate; greater confidence in the base case would follow if the aerospace/defense growth shows up for a second year without another customer-concentration surprise.
