Business condition attached to the margin of safety Fiscal 2026 revenue growth stabilizes at a mid-single-digit rate or better (rather than continuing to decelerate toward flat), confirming the sharp slowdown seen in the nine months through June 2026 is normal transaction-volume variation rather than a deeper loss of momentum.
Liquidity Services operates online marketplaces that turn other organizations' surplus, returned, and used assets into cash. GovDeals is the leading marketplace for government and municipal surplus (vehicles, equipment, real estate); Retail Supply Chain Group (RSCG) resells retail returns and overstock, including multiple vendor agreements with Amazon.com; Capital Assets Group (CAG) handles industrial and heavy-equipment surplus for commercial sellers worldwide; and Machinio operates a global listings and search marketplace for used industrial equipment, alongside a smaller private-label auction software business. About 91% of revenue is booked in the United States, with the rest from international buyers and sellers, mainly through CAG and Machinio. The company carries no debt and is consistently cash-generative, which removes a source of downside risk common to many small-cap marketplace businesses. The CAG and Machinio teams have some operational presence in China and rely on global supply chains, but this is a US-headquartered, overwhelmingly US-revenue business, not a China-controlled one. Owner earnings - cash the business generates after removing working-capital swings, stock-based compensation, and the ongoing cost of simply maintaining the business - grew steadily from about $0.88 per share in fiscal 2021 to $1.14 in fiscal 2025 (fiscal 2020 was a net-loss year, as COVID-19 disrupted government surplus sales and retail returns volumes; we treat that as a one-off and exclude it from the anchor). We set the current level at the median of fiscal 2021-2025, about $0.97 per share, rather than simply using the latest year, since any single year's cash flow can be distorted by working-capital timing. In building owner earnings, we treated stock-based compensation as a real cost, since it dilutes shareholders even though it uses no cash, and added back non-cash items such as depreciation, deferred taxes, an acquisition earn-out fair-value adjustment, and asset impairments, since none of these are ongoing cash costs of running the business. One thing worth flagging: revenue grew 31% in fiscal 2025, but a meaningful part of that came from a shift toward the 'purchase' transaction model, where the company buys and resells inventory itself at the full sale price, rather than a proportional rise in profit - the lower-margin, agent-model 'consignment' share of revenue fell from about 38% to 29% of the total over the last two years. In the nine months through June 2026, revenue growth slowed sharply to roughly 4% year over year even as profit kept growing, telling us the fiscal 2025 growth pace will not simply continue. Base case: owner earnings grow about 10% in the coming year - below fiscal 2025's actual pace, reflecting the slowdown already visible in the most recent quarters - decelerating to a mid-single-digit rate by around year five, then a low-single-digit rate through year ten, in line with the long-running growth in e-commerce returns volume and government outsourcing of surplus sales that the company's own decades-long operating history supports. Beyond year ten we assume a modest 2% annual growth tied to that same structural trend, since we found no further specific driver to name. Bear case: the shift toward lower-margin purchase transactions continues to squeeze profitability even as revenue rises, and reliance on a small number of large retail vendors, including Amazon.com, exposes the business to the loss or renegotiation of a major contract. Owner earnings decline modestly for two years and then hold flat near $0.89 per share for the rest of the ten-year period, with no assumed recovery. Bull case: the company's structural growth drivers execute well - continued growth in e-commerce returns and government outsourcing, the newer Machinio and software-subscription businesses scaling further, and continued share buybacks (the board authorized a new $15 million repurchase program in November 2025) shrinking the share count and lifting per-share value. Owner earnings grow in the mid-teens for the next few years before decelerating, with 3% growth assumed beyond year ten. Discounting these paths at a flat 6% - the rate we use for every company, so that risk shows up in the spread between the cases rather than in the discount rate - produces a bear case of about $15 per share, a base case of about $35 per share, and a bull case of about $56 per share. Given that spread, and the open question of whether the recent growth slowdown is temporary or a new normal, the margin-of-safety price sits at a substantial discount to the base case and assumes fiscal 2026 revenue growth stabilizes rather than continuing to decelerate toward flat - which would confirm the slowdown reflects normal swings in transaction volume rather than a deeper erosion of the business. The margin-of-safety price is $22 per share.
