LPL Financial is the largest US platform for independent financial advisors. About 32,000 advisors, serving roughly 8 million Americans, use LPL as their broker-dealer, investment adviser, custodian and technology provider, with $2.6 trillion of client assets at mid-2026. Most of the advisory fees and commissions LPL collects are paid straight back out to the advisors. LPL's own profit comes from the spread it earns on clients' uninvested cash swept into partner bank accounts and money funds, from platform, custody and sponsor fees, and from the scale of the platform. Client cash is the single biggest profit driver: $457 million of revenue in the second quarter of 2026 on about $57 billion of balances. That makes earnings highly sensitive to short-term interest rates. How we measured earnings. We start from operating cash flow and remove short-term swings in receivables, payables and client balances. These are large and erratic for a broker-dealer, but over 2016-2025 they net to about a $0.5 billion outflow, small next to roughly $6.5 billion of earnings over the same years. We also subtract stock compensation and the capital spending needed to keep the platform running. The key judgement concerns the forgivable loans LPL gives advisors to move their practices to it ($1.75 billion advanced in 2025). We treat these like capital spending. The yearly forgiveness charge ($431 million in 2025) is counted as the ongoing cost of recruiting and keeping advisors. The advances above that level are treated as investment in growth, and we charge that cost explicitly whenever we credit growth. Amortization of acquired intangibles is added back, because it is sunk acquisition cost. The loss of acquired advisors over time is instead captured in net asset flows, which are reported after attrition. On this basis owner earnings per share were $1.88 in 2016, $5.42 in 2018, $7.00 in 2021, $13.38 in 2023, $12.81 in 2024 and $14.72 in 2025. The jump from 2022 came mostly from higher interest rates on client cash. 2025 carried about $740 million of pre-tax costs, largely from acquiring and integrating Commonwealth Financial Network (closed August 2025, about $2.7 billion). Starting level. Commonwealth changed the size of the business, so earlier years understate it. In the first half of 2026, the first full period including Commonwealth, owner earnings were about $10.20 a share, or roughly $20 a year, and both quarters were similar. We start at $19 a share. That allows for about 10% of Commonwealth assets expected to leave at the fourth-quarter 2026 platform conversion, and for client cash falling from 2.5% to 2.2% of assets during the second quarter. We did not add back the remaining integration costs, because LPL buys practices and firms continually. Base case ($360 a share). Short-term rates stay near today's level (federal funds about 3.9%). We credit organic asset growth of 4% a year, tapering to 2% by year 10. That is at or below what LPL has actually delivered: organic net new assets grew 10.4% in 2024 and 8.4% in 2025, and ran at a 4% annualized pace in the second quarter of 2026. Recruiting has added assets every year for more than a decade, including through 2020 and 2022, and it is funded from LPL's own cash one practice at a time. Each year we deduct about $5 a share of recruiting advances beyond forgiveness, which is what it has cost to buy that growth. After year 10, earnings are held flat, with no further growth. The support for that is a long-established platform whose advisors are expensive to move and whose fees recur. Owner earnings grew 14.9% in 2025, and year one of this case assumes 4%. Market appreciation, further large acquisitions and promised Commonwealth cost savings are not credited. Bear case ($200). Short-term rates fall to around 2% over three years. The Fed has already cut from 5.3%, and rates sat near zero in 2020-2021. On the rate sensitivity the filings show, and with pressure on sweep pricing (class actions over LPL's cash sweep programs have been pending since July 2024), client-cash profit falls by about $6.90 a share. Recruiting also stalls to no net growth, and Commonwealth attrition runs above plan. Owner earnings settle near $11.60 a share and stay there. LPL carries about $7.5 billion of debt, roughly 1.9 times its operating earnings. In this case leverage would rise to near 3 times, uncomfortable but serviceable. Bull case ($425). The Commonwealth conversion keeps more than 90% of assets and integration costs end. Organic growth runs at 6% a year, still below 2024-2025 levels, tapering to 4%. Rates hold. Growth is again charged its recruiting cost. The main risk is interest rates. A large share of today's profit is the cash spread, and a return to very low rates would cut earnings by roughly a third. The next risks are the cost of recruiting: advances have risen much faster than forgiveness, from $594 million in 2023 to $1.75 billion in 2025, partly because of acquisition retention packages. Last is how well Commonwealth converts. We could not identify from the filings the cause of a $618 million outflow in other liabilities in 2025, following a $336 million inflow in 2024. Like other short-term balance changes, it is excluded from earnings.
