Business condition attached to the margin of safety Positive owner earnings (operating cash flow after working capital changes, and after equipment spending) for at least three consecutive quarters, showing that the core breathalyzer business is again covering its research and overhead costs.
Lifeloc Technologies designs and makes fuel-cell breath alcohol testers at its Wheat Ridge, Colorado headquarters. Its FC Series serves law enforcement and corrections, its Phoenix 6.0 and EV30 workplace testers serve workplace programs, and it also sells components to other manufacturers, calibration stations (EASYCAL), supplies and training. The company sells worldwide through distributors and directly. Revenue was $9.03 million in 2025, up 6% from $8.54 million, and product gross margin has held at 40%. The largest customer was about $761,000 of sales in 2025, roughly 8% of revenue, so concentration is modest. The problem is profitability. Research, development and sustaining engineering cost $2.15 million in 2025, mostly for SpinDetect, a lab-on-a-disk drug-testing analyzer licensed from Sandia that management says it expects to launch commercially in 2026. Together with sales and administrative costs, operating expenses exceeded gross profit of $3.64 million. Before taxes the company lost $1.31 million in 2025. The reported net loss of $2.47 million is larger because the company also wrote off its $1.16 million deferred tax asset, a non-cash charge that we do not treat as an operating cost. How we measure earnings: we start from operating cash flow, remove swings in receivables, inventory and payables, deduct stock compensation (nil or immaterial here) and deduct only the equipment spending needed to keep the business running, not spending tied to growth. On that basis owner earnings per share were positive in 2016 to 2019 (roughly $0.11 to $0.33), turned negative in 2020, were about break-even in 2022 and 2023, and were about minus $0.62 in 2024 and minus $0.47 in 2025. In 2021 we removed a $936,000 non-cash gain from PPP loan forgiveness. The 2025 figure improved by about $0.14 per share from 2024. Because the business changed in 2022 when SpinDetect spending intensified, the recent four years describe the business as it now exists, and their median is negative. Base case: $0 per share. Nothing we can name and evidence today makes the current cost structure profitable. The 2016 to 2019 record shows the core business can earn a profit, but that was with lower research spending, and we cannot assume the spending will fall or that SpinDetect will earn revenue. Under our method we do not subtract debt or add balance-sheet cash to a case value, so a business currently consuming cash is worth nothing to its shares in this case. The first half of 2026 was better than a year earlier: revenue was $4.74 million versus $4.50 million, and the net loss was $287,000 versus $686,000. That is two quarters of improvement, not yet enough to change the base case. Bear case: $0 per share. The company holds $746,000 of cash at the end of 2025 and lost cash from operations in each of the last two years. It carries a $1.35 million term loan on its building (maturing September 2031), plus $825,000 of subordinated debentures issued on December 31, 2024 and March 1, 2025 at 8.25%, with balloon payments due December 31, 2030. It funded 2024 partly by selling stock and by issuing debentures. In this case losses persist, more capital is needed on unfavorable terms, and the shares retain no value after the lenders. We do not find a going-concern warning in the annual report, and management states it believes cash is sufficient for the next twelve months. Bull case: about $2.00 per share. Here SpinDetect development finishes, research spending returns to the level of the 2016 to 2019 period, and the core products earn about $0.20 per share a year, the low end of that record, starting in 2028 with no growth. That is worth about $2 today over roughly twenty years of decaying value. The product lines are long established (FC Series since 2001, DOT approvals maintained) so this is a structural earning power, but the timing of the cost reduction is not secured. Any revenue from SpinDetect itself is left out because there are no sales yet. What changed: the company proposed acquiring Electronic Systems Technology in October 2025, but that company's shareholders did not approve it on February 9, 2026 and the agreement was terminated. We give it no value. What would make this wrong: a durable cut in research spending, or a SpinDetect launch that quickly wins customers, would raise the value. The company's own figures do not yet show either. We could not reconcile the reason for very low equipment purchases in 2023 ($6,811) versus $539,731 in 2024, which we treated as timing. International versus domestic sales shares were not located in the filing sections we reviewed.
