Business condition attached to the margin of safety The remaining company-owned clinics are sold (22 clinics are under a signed purchase agreement) and the franchise business shows several consecutive quarters of positive operating income with franchised clinic openings recovering from the 29 opened in 2025.
The Joint Corp. franchises chiropractic clinics under The Joint brand. At the end of 2025 there were 885 franchised clinics and 75 company-owned clinics across 43 states. The company has decided to sell every clinic it owns and become a pure franchisor. It sold 41 clinics in 2025 and has signed an agreement to sell 22 more. That change matters most for this valuation: the company's older cash flows mixed the franchise business with a clinic-operating business that is being sold, so they overstate what is left. What remains is a royalty business. In 2025 it had revenue of $54.9 million, up 5.2%: royalties $33.2 million, advertising-fund revenue $10.5 million, software fees $6.0 million, franchise fees $3.4 million. After its own marketing, technology and corporate costs, it roughly broke even: an operating loss of $0.9 million and a net loss of $0.3 million from continuing operations. On our owner-earnings basis (operating cash flow, less working-capital swings, less stock compensation, less the capital spending needed to stay in business) the continuing franchise business earned close to nothing in 2025. Stock compensation of about $1.3 million a year is treated as a real cost. How we set the earnings level. The reported history (owner earnings of $0.10 to $0.53 per share from 2018 to 2025) includes the clinics, so we did not use its median of $0.23 for 2021-2025. We measured from the transformation into a franchisor. Operating income was positive in three of the last four reported quarters (about $1.4 million combined), and in the first half of 2026 revenue was $30.0 million against $26.3 million a year earlier, with operating income of $0.5 million against a loss of $1.8 million. That supports a small positive level but is not yet a long record, so we set the base level at about $1.1 million a year, or roughly $0.075 per share. In 2025, owner earnings per share were $0.23 against $0.12 in 2024, but that jump reflects the clinics and swings in accrued expenses (a large 2024 build-up reversed in 2025, tied to a medical injury claim settled in early 2025). We start the base case at 2% growth, well below that reported figure. One judgement: we treated payments on operating leases as rent, a real cost, not as working capital. Base case, about $0.80 per share. Royalties are contractual and rest on 885 franchised clinics that have operated through many years, including the 2020 shutdowns. Royalty revenue grew 3.3% in 2025 while same-clinic sales were flat, which came from adding clinics. We credit 2% a year for ten years because the company reports 82 clinic licenses already sold but not yet opened. We then fade earnings to zero over the following ten years, since we can point to no specific evidence that extends further. We give no credit for margin expansion, new products, or a rebound in patient counts. Bear case, about $0 per share. The evidence for this case is in the 2025 filing. Franchisee openings fell to 29 from 57 in 2024, 34 franchise agreements were terminated (24 in 2024), new patients fell to 797,100 from 957,000, and system-wide sales were essentially flat at $532.4 million. If those trends persist, growing marketing spending simply absorbs royalty growth, and the franchise business earns roughly what it did in 2025, which is nothing. On that path the earnings stream has no value. Bull case, about $1.90 per share. If the first-half 2026 operating improvement holds and the company executes on the pipeline it already has (82 licenses sold, plus the 10 additional clinics the Arizona and New Mexico buyer committed to open), earnings could reach about $2.3 million (about $0.16 per share) and grow 4% a year for ten years before fading to zero over the next ten. That is a franchisor whose costs stop growing as fast as its royalties, which the first half of 2026 begins to show but does not yet prove. The balance sheet. The company held $23.6 million in cash at the end of 2025 (about $22.2 million at June 30, 2026), with no borrowings outstanding. The valuation counts the interest that cash earns as part of earnings but does not add the cash itself as a separate amount. Readers should be aware that cash is a meaningful share of the company's total worth, although $11.3 million of it was spent on share repurchases in 2025 and further cash is used to run the business. The credit facility is technically in breach of a covenant because of those buybacks, which blocks drawing the $20 million revolver; the company expects to amend it in the first half of 2026 and has not drawn on it. What could make this wrong. The valuation is low because it credits only what the franchise business has demonstrated. If the sales of the remaining clinics bring in meaningful cash, if the franchise cost structure proves leaner than 2025 suggests, or if clinic openings return to 2024 levels, the value would be higher. If patient counts keep falling and terminations continue to exceed openings, it would be lower. We could not fully reconcile some of the older reported cash flows (restatements in 2022 and reclassifications in 2017) and used the latest filed figures.
