Business condition attached to the margin of safety The New York Attorney General inquiry (open since December 2024) is resolved without material liability beyond what is already accrued, and system-wide studio openings return to exceeding closures for at least two consecutive quarters.
Xponential Fitness franchises a portfolio of boutique fitness studio brands -- Club Pilates, Pure Barre, CycleBar, StretchLab, Row House, Rumble, STRIDE and BFT -- and, since a 2024 acquisition, Lindora, a medical weight-management clinic brand. The company itself does not run most studios; it collects royalties, franchise fees and equipment/merchandise sales from roughly 3,100 franchised locations, which makes the underlying royalty stream capital-light and high-margin once a studio is open. Growth has stalled. System-wide same-store sales were flat in 2025, and while franchisees opened 341 new studios during the year, 349 were closed or had their licenses terminated -- a net decline. Revenue was essentially flat from 2023 to 2024 and slipped slightly in 2025, and the most recently reported six months of 2026 showed a further, larger revenue decline versus the prior year. Part of that recent decline reflects the deliberate divestiture of the underperforming AKT brand (wound down starting in late 2024 and sold in September 2025); the filings available to us do not fully break out how much of the rest reflects softer demand at the remaining brands, and we flag that plainly rather than assume it away. The portfolio has also gone through real strain: goodwill or trademark impairments were recorded in 2023, 2024 and 2025 tied to several of the smaller brands (BFT, CycleBar, Rumble, AKT and, in its first full year, Lindora), and at the end of 2025 the company disclosed that the estimated value of its largest brand, Pure Barre, exceeded its book value by only about 6% -- a thin cushion that leaves it exposed to a further write-down if that brand's performance doesn't hold up. None of these impairments are a cash cost by themselves, but the pattern of repeated write-downs across acquired brands is a real signal about capital allocation that we have built into the more cautious cases rather than the optimistic one. Separately, the company has been cooperating with an inquiry from the New York Attorney General's office since December 2024 and has booked an accrual toward a possible settlement; the matter is not yet resolved. The business also carries meaningful debt: $525 million of term debt (plus an undrawn $25 million revolving line) put in place in mid-2025, maturing in December 2030, priced well above what we'd consider a normal cost of long-term money -- a sign that lenders are charging a real risk premium for this credit. Shareholders are paid only after this debt, so we valued the underlying business first and then subtracted what it owes (adjusted upward for the extra cost of that above-market debt) to get to a per-share figure; in our most cautious case, the debt is large enough relative to the business's worth that the result comes out modestly negative -- meaning that in a bad-but-plausible outcome, the equity could be worth less than nothing once the debt is accounted for. We built three cases. The cautious case assumes the recent softness continues for a couple of years before leveling off, with no further growth credited beyond what's already secured, and it comes out to roughly negative $2.50 per share once debt is subtracted -- reflecting genuine risk that this heavily-indebted, currently-shrinking business could be worth less than it owes. Our middle-of-the-road case assumes a modest near-term dip consistent with the trend we've actually seen, stabilizing and then growing only as fast as the still-expanding international franchise footprint (which has a real multi-year track record and existing signed agreements) can plausibly carry it, and comes out to roughly $3.70 per share. Our optimistic case assumes the recent revenue softness is short-lived, the newer Lindora brand becomes a genuine second growth engine rather than another write-down, and unit growth resumes at a pace the company has actually demonstrated before -- that comes out to roughly $6.05 per share. We did not credit any case with a full recovery to the faster growth of 2022-2023, because nothing in the current filings supports assuming that pace resumes; if it did, the shares would be worth meaningfully more than any of our cases show. Given the size of the debt relative to the business, the unresolved legal matter, and a brand base with a demonstrated history of write-downs, the margin-of-safety price is set at a wide discount to our middle estimate -- around $1.85 per share -- and assumes the legal matter is resolved without a large surprise and studio growth turns positive again. For this estimate to be wrong, either the international expansion or the Lindora brand would need to disappoint further than our cautious case already assumes, or the debt would need to be refinanced on materially worse terms when it comes due in 2030.
