GEE Group is a small U.S. staffing company (brands include Access Data Consulting, Agile Resources, Paladin, SNI Technology, SNI Financial and General Employment) that places IT, engineering, finance and accounting, and healthcare professionals on contract assignments and in permanent (direct hire) roles. It sold its small industrial staffing business in fiscal 2025 (years end September 30), so what remains is professional staffing. Revenue has shrunk for four years: $165M in fiscal 2022, $152M in 2023, $107M in 2024 (restated without the industrial business), $96.5M in 2025, and $60.8M in the first nine months of fiscal 2026, down 17%. The decline led to $51.5M of goodwill and intangible write-downs in fiscal 2024-25 on businesses the company had bought, chiefly the 2017 SNI acquisition. How we measure earnings. We measure the cash the business produces for its owners: operating cash flow with working-capital timing swings removed, less stock compensation (treated as a real cost) and the capital spending needed to stay in business, which is tiny for a staffing firm. Before 2022 the company carried heavy acquisition debt, so to see what the business itself produced we add back cash interest paid; since 2022 it has had no borrowings, and its small credit-line fees are treated as an operating cost. We also remove interest earned on its cash, because we count that cash separately. Over fiscal 2016-2025, a full staffing cycle covering the pre-pandemic years, the pandemic trough, the 2021-22 hiring boom and the 2023-25 downturn, this business cash flow ranged from -$4.0M (2024) to +$10.3M (2021), with a median of about $3.6M, or about 3.1% of revenue. We do not use that $3.6M directly because it was earned on $130-165M of revenue that no longer exists. The more relevant evidence is fiscal 2016, when revenue was about $83M, close to today's pace, and the business produced about $2.6M. The recent turn. Management cut overhead: cost reductions lowered selling, general and administrative expense by about $3.5M over the nine months to June 30, 2026, and the June 2026 quarter showed operating income of $0.38M and net income of $0.57M on revenue of $20.8M, down 15% from a year earlier but up from about $20.0M a quarter in the first half. Over the full nine months the business was still roughly breakeven before working-capital swings, and operating cash flow was -$0.8M. One profitable quarter is not yet a proven earnings level, so the cases lean on it only partly. Balance sheet. At June 30, 2026 the company held $20.3M of cash, had no borrowings and an undrawn $5.2M credit line. We treat about $3M as needed to fund payroll ahead of customer collections and count the remaining $17.3M, about $0.16 per share on 110.2M diluted shares, as surplus. In every case much of the value per share is this cash. Base case, $0.28 per share. The cost cuts hold and revenue steadies near today's roughly $80M annual pace. Business cash flow is $1.0M in the coming year (versus -$2.5M in fiscal 2025; the step-up rests on savings already achieved and the June-quarter profit), then $1.5M a year, about the June-quarter pace, through year 10, fading to zero over the following decade because a staffing firm has no contract or hard asset that keeps clients and recruiters in place. The operations are worth about $13.6M, the company owes nothing, and adding $17.3M of surplus cash gives $30.9M. Bear case, $0.12 per share. Revenue keeps falling at recent rates and gross profit again fails to cover overhead, as in fiscal 2024 and 2025, burning $2.0M, $1.5M, $1.0M and $0.5M over the next four years before the business reaches breakeven or winds down with nothing further to show. The operations are worth about -$4.5M, which uses up part of the cash and leaves $12.8M. This case also reflects the company's history of paying for acquisitions that were later written down. Bull case, $0.37 per share. The leaner cost base holds, revenue steadies at around the June-quarter pace of about $83M a year, and the business earns $1.5M next year and then about $2.6M a year through year 10, equal to the cycle-median 3.1% margin and to what it earned in fiscal 2016 at a similar size, fading to zero over the following decade. The operations are worth about $23.4M; with $17.3M of surplus cash and no debt that is $40.7M. We do not credit a hiring-market recovery that returns revenue to the $150M-plus level, because that depends on the economy rather than on anything the company controls. What changed. Our August 2026 estimate was $0.12, $0.30 and $0.60. The bear case is unchanged. The base case is slightly lower because we now measure from the cycle's evidence at today's smaller size, partly offset by the June-quarter return to profit after the cost cuts. The bull case is lower because it no longer assumes a hiring-cycle recovery back to peak earnings. What could make this wrong. Management has engaged Roth Capital Partners to review strategic options and has filed a $100M shelf registration. An acquisition paid for with the cash, or an issue of new shares, could move the per-share value either way, and the company's record (over $50M of acquired value written off, and a share count that went from about 10M in 2016 to 110M after the 2021-22 debt restructuring) argues for caution. A sale of the company at a premium to its cash would lift value. The company has large accumulated tax losses that should shelter future profits; we assigned them no separate value. The margin-of-safety price of $0.12 sits at the bear case because most of the value is cash that management could spend, revenue is still shrinking, and the company is very small.

Sales geography
United States only: South (Florida, Texas, Georgia, Virginia), Northeast (Massachusetts, Connecticut, New Jersey), Midwest (Ohio, Illinois) and West (Colorado).
Historical growth strategy
Growth has come mainly from acquiring other staffing firms (Access Data Consulting, Agile Resources, Paladin, and the 2017 SNI Companies purchase financed with heavy debt and later restructured into equity), supplemented by organic growth of branch offices; most acquired goodwill has since been written off and the company is now cutting costs and reviewing strategic options.
Chart analysis
A chartist would see a long-term downtrend: after a brief spike during the 2021 small-cap rally the shares have made a series of lower highs and lower lows, sliding into a sub-dollar range and spending recent years basing near multi-year lows. Any reversal would need a break above the most recent swing high; until then the trend remains down to sideways.
