Jazz Pharmaceuticals is a global biopharmaceutical company built around two core franchises: sleep medicine (Xywav and Xyrem, oxybate therapies for narcolepsy and idiopathic hypersomnia) and a growing oncology and rare-disease portfolio (Zepzelca for small-cell lung cancer, Rylaze for leukemia, Ziihera for bile duct cancer, and Modeyso, a rare pediatric brain tumor treatment added through the April 2025 acquisition of Chimerix). The company also sells Epidiolex/Epidyolex, an FDA-approved prescription medicine derived from cannabidiol, gained through its 2021 acquisition of GW Pharmaceuticals; this is a regulated pharmaceutical product, not a dispensary or recreational cannabis business. We valued Jazz on its cash-generating power rather than its reported accounting profit. Jazz reported a net loss for 2025, but that was driven almost entirely by a single, well-disclosed non-cash accounting charge tied to the $944 million cash purchase of Chimerix: under the accounting rules for this kind of deal, nearly the whole purchase price had to be expensed immediately even though the cash itself was spent on a real, productive asset (Modeyso, now FDA-approved) and shows up as an investing outflow, not an operating one. Stripping that out, the underlying business generated over $1.3 billion of operating cash flow in 2025, consistent with the prior two years, while product revenue grew almost 5%. We measured owner earnings as operating cash flow less the swings from working-capital timing, less stock-based compensation, less only the capital spending needed to maintain (not grow) the business. We anchored on the five years since the 2021 GW Pharmaceuticals deal reshaped the company (2021-2025), because earlier years describe a smaller, different business. Across that window, per-share owner earnings ran from roughly $10 to $18, with a median of about $16.22, which is our starting point for value today. A large part of Jazz's amortization expense reflects intangible assets acquired in past deals; we add this back as a non-cash item, as intended, but because those assets are wasting (the underlying products will eventually face patent expiry or generic competition), we do not assume today's earnings simply continue growing forever - we built each case around what specifically supports earning power over time, and let it fade where nothing does. Base case ($178/share): modest continued growth over the next several years as Xywav and Epidiolex/Epidyolex keep expanding their patient bases and the newer oncology products ramp, tempered by rising overhead costs and a gradual slowdown as the core neuroscience franchise approaches an eventual patent cliff. Beyond ten years, we only credit continuing value to the newer oncology and rare-disease portfolio, which does not currently face disclosed patent challenges; we do not assume the older franchise's earnings persist indefinitely once its patents are contested. Bear case ($106/share): Xywav, Jazz's single largest product at 41% of 2025 sales, is currently being challenged in patent litigation by four separate generic applicants, most recently Tris Pharma in January 2026, which is also targeting Xyrem. Jazz has sued each filer and expects the standard regulatory delays this triggers, but the ultimate outcome is unresolved. Our bear case models Xywav facing an erosion path similar to what already happened to Xyrem, whose sales fell from roughly $1.5 billion to $146 million after generic competition actually arrived a few years ago, with the decline beginning around year three of the forecast, alongside pressure on Epidiolex/Epidyolex from a disclosed generic threat. Even here, the newer oncology and rare-disease products cushion the fall. Bull case ($250/share): Jazz continues to successfully defend its oxybate patent estate, as it has through prior litigation cycles; Zepzelca's newly approved first-line lung cancer combination and Modeyso's ongoing confirmatory trial both succeed; and international expansion of Epidiolex/Epidyolex and Rylaze continues. Given that the company's largest product is in live, multi-party patent litigation with a genuinely uncertain outcome, we think a wide margin of safety is warranted. The margin-of-safety price of $95/share is set below even our bear-case estimate, so that it already assumes a meaningfully worse outcome than we expect. One item we could not fully verify from the filings: a single consolidated table of revenue by geography was not disclosed; based on the products' regulatory approval footprints, we believe sales are heavily concentrated in the United States with a meaningful minority from Europe and a few other markets.
