InTest Corporation designs and builds specialized test and process equipment used across a wide range of industrial and electronics manufacturing — from semiconductor test interface hardware to induction heating, dispensing, and vision-inspection systems used in electric vehicle, defense, medical, and industrial production. Historically the business was heavily tied to the semiconductor equipment cycle, but a series of acquisitions completed between 2020 and 2022 diversified it into automotive/EV, life sciences, defense, and industrial end markets, which today account for roughly three-quarters of order volume. We measure the value of this business by what it actually generates in cash for owners after covering the spending needed to keep the existing business running — not accounting earnings, and not the spending used to grow into new markets. On that basis, InTest's owner earnings have swung a lot from year to year, mostly because of large moves in inventory and receivables tied to the semiconductor order cycle (2022, for example, saw a large cash-consuming inventory build as customers ordered heavily, which then reversed in 2023). Looking at the five years since the diversifying acquisitions were substantially completed (2021-2025), a window that spans both a cyclical peak (2022-2023) and the current downturn (2025), the middle year of owner earnings was about $0.91 per share. We use that figure, rather than the most recent depressed year, as our starting point, because a single trough year understates what the business can normally produce. 2025 was a weak year: revenue fell 13% as semiconductor, automotive, and defense customers grew cautious about committing to capital projects amid a prolonged semiconductor downturn and tariff-related uncertainty, and owner earnings per share fell to about $0.17, the lowest since 2020. However, the same annual filing shows order intake actually grew 19% year-over-year to $128 million (more orders than revenue booked, a healthy sign) and backlog reached a record $54 million, up from $40 million a year earlier — led by automotive/EV customers (orders up 89%), life sciences (up 137%), and industrial (up 53%), even as semiconductor orders themselves kept falling. That is evidence the diversification strategy is working on its own, not dependent on a semiconductor recovery. The first quarter of 2026 showed this beginning to convert into results, with revenue up 27% year-over-year and the company back to profitability after a loss a year earlier. Our base case assumes this recovery continues over the next two to three years, with owner earnings per share climbing back toward the $0.90-$1.00 range by around 2028-2029 as backlog converts to revenue, then growing slowly for the rest of the decade as the broadened end-market mix reduces, without eliminating, the company's dependence on the semiconductor cycle. Our bear case assumes the automotive/EV order surge proves partly temporary, semiconductor capital spending stays depressed for longer, and owner earnings recover only modestly, staying well below the historical mid-cycle level for most of the next decade. Our bull case assumes the semiconductor cycle turns up within the next couple of years on top of continued strength in the newer end markets, taking owner earnings per share above the prior cycle peak (about $1.06, reached in 2022) within four to five years. Beyond the ten-year forecast, we assume in all three cases that the business continues at whatever level it reaches in year ten without further real growth — essentially, that ongoing product development, which is already paid for inside owner earnings, is enough to keep replacing today's products and winning new customers, but we are not assuming the company becomes structurally larger than the ten-year path already builds in. In the base and bull cases this "no further growth" period beyond year ten still accounts for roughly two-thirds of the total estimated value, which is typical for an equipment business whose products have no fixed expiration date, but it does mean the valuation leans heavily on the business continuing to exist and compete in something like its current form. One accounting note: InTest's cash flow includes a meaningful and growing non-cash charge for amortizing the value of past acquisitions (about $3.3 million in 2025). Because it is a non-cash charge tied to deals already completed, it does not reduce our owner-earnings figure directly — but it is a real signal that a portion of the company's current earning power depends on continuing to acquire and integrate businesses successfully, a risk we have weighed in the bear case rather than in the current earnings figure. Putting these cases together, we estimate the shares are worth roughly $5.60 in our bear case, $16.36 in our base case, and $22.57 in our bull case. Given the real cyclicality in this business and the fact that the recent recovery is still only one quarter old, the margin-of-safety price sits meaningfully below our base-case estimate — around $8.73 per share — to leave room for the bear case to play out.
