Immunic is a clinical-stage drug developer with no product revenue. Almost all of its value rides on one molecule, vidofludimus calcium, a once-daily oral pill for relapsing multiple sclerosis (RMS). Two identical Phase 3 trials, ENSURE-1 (1,121 patients) and ENSURE-2 (1,100 patients), compare it with placebo on time to first relapse over 72 weeks. Enrollment finished in June 2025 and the company expects top-line results by the end of 2026. Everything below turns on that readout. What the business has consumed so far. Immunic has spent money every year since it became public through its 2019 merger with Vital Therapies. Measured as the cash the business actually uses (operating cash flow with working-capital swings removed, stock compensation counted as a real cost, and equipment purchases deducted), it used about $93 million in 2023, $94 million in 2024 and $97 million in 2025, and about $66 million in the first half of 2026 as trial and pre-launch work peaked. Two non-cash items in earlier years were added back rather than treated as operating costs: a $33 million goodwill write-off in 2022 and $8.6 million of stock issued in 2021 to buy out a 4.4% royalty owed to 4SC, the drug's original developer. Per-share losses have shrunk only because the share count has multiplied; the dollar burn has not fallen. Balance sheet and share count. Cash was $15 million at the end of 2025 and shareholders' equity was slightly negative. In February 2026 a $200 million private placement led by BVF Partners (about $187 million net) reset the position: cash was $155 million at June 30, 2026, which the company says funds operations beyond twelve months. The shares were consolidated 1-for-10 in mid-2026 after trading below Nasdaq's $1 minimum since mid-2025; all per-share figures here are on the post-consolidation basis. Counting pre-funded warrants there are roughly 42.5 million shares. The February investors also hold warrants for about 22.9 million more shares at about $8.73, which lapse 30 trading days after the Phase 3 announcement, and about 3.6 million Series B warrants remain at $7.50. If the trials succeed we assume both are exercised, bringing in roughly $215 million and taking the share count to about 72 million including employee equity. In February 2026 holders of most Series B warrants swapped them for a 5% royalty on all future vidofludimus sales; that royalty is deducted in every case. Why the trials may work, and why they may not. The drug inhibits DHODH, the same enzyme targeted by teriflunomide (Aubagio), which beat placebo in its own Phase 3 program and became a major MS drug. In Immunic's Phase 2 EMPhASIS trial, the 30 mg dose used in Phase 3 cut new active brain lesions by 70% versus placebo, and patients in the long-term extension, some treated more than five years, have shown no new safety signals. An independent committee reviewed unblinded interim data in October 2024 and let both trials continue unchanged with no increase in size. A separate Phase 2 trial in progressive MS, CALLIPER, showed reduced disability worsening. We judge success in both trials and approval somewhat more likely than not, roughly two chances in three, and that judgement is what places the base case on the success side. Against it: the interim review only ruled out futility; both trials must succeed; and the trials enrolled mostly in India, the Middle East and North Africa, Latin America and Central and Eastern Europe, so U.S. regulators must accept a largely non-U.S. data set. Bear case ($1.37 per share). The Phase 3 program fails. Cash of about $105 million at year-end 2026, less roughly $45 million to close out the trials, wind down and keep the early programs (IMU-856 and izumerogant) running for a time, leaves about $60 million for 42.5 million shares. We assign nothing to the early pipeline because none of it has efficacy data that would support a value. The warrants would lapse unexercised. Base case ($8.70). Both trials succeed at the end of 2026, the drug is approved in the U.S. in 2028 and in Europe in 2029, but it enters a crowded market: generic teriflunomide and other generic oral drugs are cheap, and high-efficacy antibody infusions and injections dominate newly diagnosed patients. Recent late oral entrants show the range, from Ponvory, which stayed small, to Zeposia, which grew large. We assume sales build to about $450 million a year by 2034 and hold there until the core U.S. patents expire in 2041, with 5% cost of goods, the 5% royalty and about $245 million a year of selling, research and administrative spending. The company keeps losing money through 2030, about $120 million in 2027 and $170 million in the launch year, which we count as a cost to shareholders. Accumulated losses shelter taxes until about 2038. After 2041 sales fall to generic levels and the story ends by 2043; we give no credit for later patents that are still only applications. Bull case ($54.35). Both trials succeed with results strong enough to compete for newer patients, the launch is faster, and the CALLIPER data lead to a broader label in progressive MS, so sales reach about $1.3 billion by 2035. Pending formulation and neurodegeneration patents are granted, pushing generic entry to 2044. This is the business's own levers executing well, not a new product. Each value is the present value, at 6% a year, of that case's cash flows, plus today's cash and, in the success cases, the warrant proceeds. The spread is extremely wide because the outcome is binary. A price near $3 is little more than the cash expected to be left at the readout, so the bear case sits not far below it while the success cases sit far above it. What would make this wrong: a failed or mixed Phase 3 result (both trials must hit), a U.S. regulatory demand for more trials or more U.S. patients, a launch that stalls against far cheaper generic teriflunomide, or dilution beyond the warrants if launch spending runs above plan. We could not confirm from the filings reviewed the date Nasdaq confirmed the company had regained compliance with the $1 minimum price; the 1-for-10 consolidation that addresses it has been completed.
