Hawkins (Roseville, Minnesota; founded 1938) formulates, blends, repackages and distributes chemicals and ingredients in three segments. Water Treatment ($543M of fiscal 2026 sales, 27% gross margin) delivers chemicals, filtration media, equipment and service to municipal water and wastewater plants, pools and industrial users from 53 warehouses in 28 states, using route drivers who double as salespeople and technicians. Food and Health Sciences ($321M) supplies processing chemistry, minerals, vitamins and agricultural products; Industrial Solutions ($220M) sells bulk and manufactured chemicals such as caustic soda and acids. Fiscal years end in late March. Owner earnings. We start from operating cash flow, strip out swings in receivables, inventories, payables and other working capital, deduct stock compensation, and deduct the capital spending needed to maintain the business (total capex less the share that funds revenue growth). On this basis owner earnings per share were $1.16 (FY2017), $0.88, $1.66, $1.17, $2.04, $2.53, $2.05, $3.08, $4.14 and $3.64 (FY2026). Three accounting judgements matter: (1) fiscal 2024's $159M of operating cash flow included a one-off $50M release of working capital as chemical prices fell; we exclude it, so that year counts at $3.08, not $5+; (2) amortization of acquired customer relationships ($21.3M in FY2026, about $1 a share) is a non-cash charge and is added back, so the risk that acquired customers drift away is carried in the bear case rather than in the earnings level; (3) fiscal 2026 profit included a $6.2M non-cash gain from cutting the expected earnout on the Water Solutions acquisition, which we exclude. The fiscal 2018 loss came from a non-cash $39M goodwill write-off and did not touch cash. Because Hawkins now carries debt, we value the cash the business produces before paying its lenders (owner earnings plus $13.7M of cash interest in FY2026) and then subtract what it owes. Starting level. We use the median of fiscal 2024-2026, $4.29 per share before interest ($3.30, $4.42, $4.29), because Hawkins spent $338M on water-treatment acquisitions in those three years (including WaterSurplus in April 2025 for $150M plus an earnout of up to $53.7M) and earlier years describe a much smaller business. Cash earnings before interest fell 2.9% in fiscal 2026 as maintenance spending rose to $54M (management expects about $55M of capex in fiscal 2027) and Food and Health Sciences gross profit fell 6% on competitive pricing; the June 2026 quarter showed operating income down 6% despite 8% higher sales. So the base case starts with a 3% decline in year one rather than a rebound. Growth credited. Organic growth is demonstrated: fiscal 2026 sales rose $109M, of which $83M came from acquired businesses and roughly $26M (about 2.7%) from volume and price in the existing business, and the route-based water business has grown through recessions and the pandemic. Acquisition-driven growth is not credited in any case: the businesses bought in fiscal 2026 had about $48M of annual revenue for $167M up front plus earnouts, roughly 3.5 times revenue; at Water Treatment's 27% gross margin that buys perhaps $13M of gross profit, so the return on the money spent is thin and further deals add revenue without clearly adding value. Cases (all discounted at 6%): - Bear ($34.64): Food and Health Sciences pricing pressure continues and recent acquisitions keep underperforming (the Water Solutions earnout has already been cut from $12.6M to $4.5M), pulling cash earnings back to about $3.40 a share, the fiscal 2024 level, by year two; flat through year ten, then shrinking 2% a year as bulk-commodity sales and acquired customer lists erode. Business worth about $48.71 a share ($1.02B), less $14.07 of debt and obligations, leaves $34.64. - Base ($68.24): a 3% dip in year one, then 2.5% annual growth in line with the existing business's demonstrated organic growth, reaching about $5.20 a share by year ten, then held flat; the essential, recurring nature of municipal water treatment and an 88-year operating record support the earnings continuing, but no growth is assumed after year ten. Business worth about $82.31 a share ($1.72B), less $14.07, leaves $68.24. - Bull ($89.73): WaterSurplus and the branch network deliver; cash earnings rise 3% in year one and 5% a year through year ten (below the roughly 10% per-share growth Hawkins achieved from fiscal 2017 to 2023), reaching about $6.86, then held flat. Business worth about $103.80 a share ($2.17B), less $14.07, leaves $89.73. Debt. At June 28, 2026 Hawkins owed $244M on a $400M secured revolving credit facility (U.S. Bank, matures April 25, 2030; effective rate 4.4%, floating), plus about $49.4M of acquisition earnouts at fair value ($44.9M WaterSurplus, $4.5M Water Solutions); cash of $3.9M at fiscal year-end is treated as working cash. Total about $293M, or $14.07 a share. Fiscal 2026 interest of $13.7M is covered more than five times by bear-case cash earnings and borrowings are about 1.4 times operating profit plus depreciation and amortization, so refinancing the 2030 maturity is not a material risk in any case. Because the rate floats close to 6%, no adjustment was made for cost of debt. Change since our August 2026 estimate ($27/$54/$77). The earlier work used different discount rates in each case and did not separate working-capital swings or debt consistently. We now value every case at the same 6% rate and carry risk in each case's assumptions, which raises the values; at the same time we lowered assumed growth (from 3-7% a year to roughly 0-5%), started the base case with a decline, and now deduct the $49M of earnouts owed on acquisitions, which lowers them. The net effect is higher estimates. What would make this wrong: a lasting drop in chemical prices or volumes that compresses gross margin below the roughly 23% of the last two years; continued disappointment from acquired water businesses; or a large debt-funded acquisition at a poor price. Hawkins has made such purchases every year since fiscal 2024, so capital allocation is the main thing to watch.

Sales geography
United States: mainly Midwest (Minnesota, Illinois) and South (including Alabama), plus Northeast; Water Treatment operates 53 warehouses in 28 states across the eastern two-thirds of the United States; WaterSurplus serves customers across the United States including the West.
Historical growth strategy
Organic growth of a route-based Water Treatment business by opening and expanding branches into new geographies, combined with steady tuck-in acquisitions of regional water-treatment distributors (Stauber in fiscal 2016 for health and nutrition, then ADC, Water Solutions, WaterSurplus and others since 2021), increasingly funded with the revolving credit facility; also shifting mix away from bulk commodity chemicals toward higher-margin manufactured, blended and specialty products.
Chart analysis
A chartist would point to a long, persistent uptrend since the 2020 lows, with split-adjusted shares rising several-fold as the stock repeatedly made higher highs and higher lows. The advance turned near-parabolic in 2024, followed by sharp pullbacks and much wider swings than in earlier years, typical of a small-cap momentum name that has re-rated. Chartists would watch whether the price holds its long-term rising moving averages; a decisive break below them would signal the multi-year trend is losing strength, while holding them keeps the primary uptrend intact.
