HealthStream provides cloud-based software that U.S. hospitals and other healthcare organizations use to train, credential, and schedule their workforce — compliance training, provider credentialing (CredentialStream), nurse scheduling (ShiftWizard), and a newer AI-assisted clinical competency product (Competency Suite). About 97% of revenue is recurring subscription revenue from a broad base of healthcare customers, and the company carries no long-term debt. Owner earnings — the cash the business actually generates for shareholders after real reinvestment — have grown steadily since 2021, when the last major acquisition (SumTotal Systems) was fully absorbed: from roughly $0.93 per share in 2021 to $1.61 in 2025. We used the median of that five-year run, about $1.28 per share, as the starting point for this valuation, rather than the most recent year, because 2021-2025 is the period that best reflects the business as it exists today; 2018 and 2019 were set aside because they were distorted by a one-time divestiture and a corporate headquarters relocation, respectively, and 2020 was a COVID/acquisition transition year. Two accounting judgments mattered here. First, HealthStream reports substantial non-cash amortization every year (over $40 million in 2025) from intangible assets built up by two decades of small, folded-in acquisitions; we add this back, as is standard, because it is a sunk cost with no further cash impact — but we account for the fact that some of the underlying products it relates to are gradually losing relevance by building that decline directly into the growth assumptions below (a steady roughly $9 million annual drag from older, legacy modules as customers migrate to newer ones), rather than double-counting it as a second deduction from earnings. Second, we split the cash spent each year on product development and equipment between what's needed just to keep the platform current (roughly 10 cents of every revenue dollar, based on the last five years) and what's funding growth; only the "keep the lights on" portion is charged against owner earnings. Base case: growth starts at about 4.5% next year — in line with the actual growth rate the company just posted — and edges up modestly over the next several years as HealthStream's two most recent acquisitions (Virsys12 and MissionCare, both closed in the final months of 2025) mature and as cross-selling of CredentialStream, ShiftWizard and the new Competency Suite continues, a pattern the company's own 2025 results already show. Growth then tapers toward the mid-single digits as legacy-product declines and rising competition — including from AI-native entrants the company specifically flags as a risk — increasingly offset the gains. On these assumptions the shares are worth roughly $44. Bear case: legacy-product erosion and rising competitive pressure outpace the newer products for a few years, and the cost of running the platform (development spend, equity compensation, and the cash cost of periodic customer bankruptcies — all rising as a share of revenue recently) continues to creep up, leaving owner earnings roughly flat to modestly lower over the next decade rather than growing. Even here the company doesn't run into financial trouble — it holds no debt and stays solidly profitable — but its intrinsic worth is closer to $20 per share. Bull case: the two recent acquisitions ramp up as intended, Competency Suite scales across HealthStream's large existing hospital customer base the way earlier products have, and the company keeps repurchasing stock at a pace similar to 2025's. Under that path, owner earnings compound at a high-single-digit rate for several years before settling into more moderate growth, and the shares would be worth roughly $70. Given how wide the gap is between the bear and base cases, the margin-of-safety price sits meaningfully below our base-case estimate — around $28 per share — to allow for the risk that competition or legacy-product decline plays out worse than expected. One item we couldn't fully trace: a portion of 2016-2018 cash flow tied to a business HealthStream later classified as discontinued operations wasn't broken into its individual components in the filings, so those years (already excluded from this valuation) carry a wider reconciliation gap than the years actually used.
