HNI makes office furniture (HON, Allsteel, Kimball, and since December 10, 2025, Steelcase, Coalesse and related brands) and residential hearth products (Heatilator, Heat & Glo, Quadra-Fire). The Steelcase purchase, valued at about $1.92 billion in cash and stock, roughly doubled the company: pro forma 2025 sales were $5.93 billion, diluted shares rose to about 72.1 million, and borrowings rose to about $1.38 billion. How we measured earnings. We measure owner earnings as operating cash flow, stripped of temporary working-capital swings, minus stock compensation and the capital spending needed to maintain the business. Because the company now carries substantial debt, we value the business before interest and then subtract what it owes. Legacy HNI produced between $92 million and $204 million a year of such pre-interest cash from 2018 to 2025, a median of about 6.25% of sales across a full cycle that includes the 2020 pandemic slump and the 2022-2023 office slowdown. On today's legacy sales base of about $2.65 billion that is roughly $166 million. For Steelcase we used its own last two fiscal years (to February 2025), excluding a $56.7 million non-cash tax benefit and treating a one-time $46 million ERP-type software project as investment: about $116 to $138 million a year before interest, which we normalize at $125 million. Together that is about $291 million, or $4.04 per share, before interest. Purchased customer lists and technology will be amortized, but these are sunk costs and we did not deduct them; Steelcase's ongoing selling and design spending is what keeps those assets alive. Recent results. First-half 2026 operating cash flow was negative $32 million, but this reflects a $31 million inventory valuation step-up, integration costs and seasonal first-quarter payouts; the company then cut net debt by about $100 million in the second quarter. Legacy cash earnings fell about 7% in 2025, mostly because of Steelcase transaction costs, so our first-year figure ($284 million) sits slightly below the normal level. We did not let one weak half-year move the level. Base case ($58.23). The normal level holds with no organic growth. We credit $60 million of annual pre-tax savings by 2028: the Steelcase public-company costs that ended at closing, part of the legacy network-optimization program already under way (management cites nearly $30 million through 2028), and a modest share of integration savings, less about $60 million of one-time costs to achieve them. Management's full target of at least $120 million is a plan, not yet a result, so we did not credit all of it. Steady cash flow of about $336 million a year continues afterward; both companies have sold office furniture profitably through many cycles for decades, which is why we let the earnings run on. Business value is about $5.52 billion ($76.52 per share); net debt is about $1.32 billion ($18.29 per share); the shares are worth about $58.23. Bull case ($85.71). The full synergy program is delivered (at least $120 million from Steelcase plus about $30 million from network optimization, consistent with the more than $70 million of cumulative savings expected in 2027), legacy margins return to their 2024-2025 level, Steelcase returns to its fiscal 2024 cash level, and the long-running practice of small hearth-dealer acquisitions adds about 0.5% a year. Business value is about $7.50 billion ($104.00 per share) less the same $1.32 billion of net debt, leaving $85.71. Bear case ($26.62). Integration delivers only the public-company savings while the costs are still spent, an office-demand downturn cuts cash flow to about 60% of normal in the second year (similar in depth to 2017 and 2020 for legacy HNI), recovery stalls at about $255 million, and hybrid work keeps shrinking office-furniture demand by about 2.5% a year, in line with Steelcase's sales decline from fiscal 2020 to fiscal 2025. Lenders require net leverage at or below 3.5 times from the seventh full quarter after closing (around mid-2027), so a downturn then would likely force costlier refinancing or a dividend cut; we add about $50 million to the debt for that. Business value is about $3.29 billion ($45.61 per share) against about $1.37 billion owed ($18.98 per share), leaving $26.62. Even at the trough, cash flow covers roughly $79 million of annual interest about twice. Debt. Borrowings are about $1.385 billion: a $350 million term loan due 2030, a $500 million term loan due 2032 (both floating rate, at roughly SOFR plus 2%), $450 million of 5.125% notes due January 2029, plus revolver borrowings. Cash beyond operating needs is modest. The notes' below-6% coupon slightly lowers the effective debt burden. The main debt risk is the leverage covenant step-down in 2027, not near-term maturities. What could make this wrong. The Steelcase purchase price allocation is still preliminary. Steelcase's normal cash earnings could not be reconciled line by line because its final standalone years are only partly available to us. Office demand is cyclical and may be in structural decline. On the upside, HNI's record with the Kimball International integration suggests synergies could exceed what we credited. Change from our prior view. Our August 2026 estimate (bear $4.82, base $22.38, bull $46.96) used higher discount rates that varied by case and a lower estimate of combined after-interest earnings. We now discount every case at the same 6% rate, build the combined business from each company's actual cash record, and subtract debt separately. The debt picture is slightly worse than before, but the earnings estimate and the rate change raise all three values. Margin-of-safety price: $34, roughly a 42% discount to the base case, reflecting cyclicality, new leverage and integration risk.

Sales geography
Predominantly the United States (Northeast, Midwest, South and West) and Canada; the Steelcase business adds Mexico, Latin America, Western Europe (France, Germany, Spain, United Kingdom), the Middle East and Asia Pacific (China, India, Japan, Australia).
Historical growth strategy
Growth has come mainly through acquisitions funded with cash flow and debt: a long run of small hearth-dealer and furniture tuck-ins, then two large office-furniture combinations (Kimball International in June 2023 and Steelcase in December 2025), each followed by cost-synergy programs, plant consolidation and a shift of production to its Mexico facility. Organic sales growth has been roughly flat over the past decade.
Chart analysis
A chartist would describe HNI as a long-term range trader: for roughly a decade the shares have oscillated in a wide band between the mid-$20s and the high-$50s without establishing a sustained uptrend, with sharp drawdowns in office-demand scares (2020, 2022-2023) and recoveries that stalled near the top of the range. The 2025 Steelcase announcement brought a gap lower, followed by a rebuild back toward the middle of the range. Until price closes decisively above the prior highs near $58, a chartist would treat the stock as range-bound, with support in the low-to-mid $30s.
