Hilton is mostly a hotel brand owner and manager, not a hotel owner. Its brands (Hilton, Hampton, Embassy Suites, DoubleTree, Conrad, Waldorf Astoria and others) are operated by outside owners under franchise and management contracts, and Hilton is paid fees. In 2025, franchise and licensing fees were $2.78 billion, base and management fees $376 million, and incentive management fees $313 million. Only a small directly owned hotel portfolio is left. The $7.1 billion of reimbursed cost revenue in the reported $12.0 billion total is pass-through and adds little profit. How we measure earnings. We start from operating cash flow and remove the swings in working capital, then subtract stock compensation and the capital spending needed to maintain the business (property and capitalized software, less an allowance for growth spending). Hilton's cash flow has been boosted by $500 million to $880 million a year from growing deferred revenue and guest-loyalty balances in 2023 to 2025. Those are timing items, so we strip them out. That is conservative if the inflows keep recurring. On this basis, owner earnings were about $1.26 billion in 2025 ($5.31 a share), $1.15 billion in 2024 ($4.61), $676 million in 2023 ($2.56) and $1.30 billion in 2022 ($4.69). Total owner earnings grew about 10% in 2025 (about 15% per share, helped by buybacks). The 2020 and 2021 pandemic years are excluded from the baseline. Baseline. Since the January 2017 spin-off of the Park Hotels and Hilton Grand Vacations businesses, Hilton has been a pure fee business. We use six years (2018, 2019 and 2022 to 2025). The median is about $1.02 billion of owner earnings, or roughly $4.30 per share on today's share count. That is below the latest year on purpose. The window includes the 2023 dip and the 2018-2019 years, when the business was smaller. What drives growth. Hilton added 81,100 net rooms in 2025, a net unit growth of 6.7%. Its development pipeline was 520,500 rooms (3,703 hotels) at year-end, with almost half already under construction. Nearly all of these rooms will be franchised or managed with minimal Hilton capital. Because fees are earned on rooms, more rooms mean more fees. We credit room growth only. We do not credit higher room rates or occupancy: system-wide RevPAR rose only 0.4% in 2025, and U.S. RevPAR fell 0.8% on weaker inbound international and business travel. Base case. Owner earnings start from $4.30 a share and grow 5% in year 1, below the 10% actually achieved in 2025 and below the 6.7% pace of room growth, since not every pipeline hotel opens on time. Growth then tapers from 5% to 2% by year 10 as the under-construction portion of the pipeline is delivered. After year 10 we assume no new growth, and earnings decline about 1% a year. Hilton removed about 15,900 rooms in 2025 (97,000 opened, 81,100 net added), and we can name no replacement beyond the pipeline. This gives about $90 a share. Bear case. Hilton carries heavy debt (interest expense was $620 million in 2025, up from $464 million in 2023) and a $5.4 billion stockholders' deficit. RevPAR is soft in the U.S. and in China group and business travel. Here, owner earnings start near $3.00 a share (near the 2018-2019 and 2023 levels), grow 2% for five years as pipeline openings slow, are flat for five more, and then decline 2% a year as owners exit contracts. This gives about $46 a share. Bull case. Owner earnings start at $4.65 a share, the median of 2022 to 2025. Room growth stays close to the 2025 pace of 6.7% for several years, and there is no lasting hit to fees. Growth runs 7% for three years and tapers to 3% by year 10, then earnings decline 1% a year. This gives about $109 a share. The gap to the base case is small because we credit no rate or margin gains. What would make this wrong. Higher: the deferred revenue and loyalty inflows are permanent, which would lift owner earnings well above our level. Lower: a recession cuts fees, as in 2020, when owner earnings turned negative, or the pipeline stalls because owner financing is tight. Open items. We could not read the 2026 second-quarter filing text. Its data show first-half 2026 revenue up 7.6% while operating cash flow was 1.8% lower at $1.09 billion, and stock compensation rose. That does not change our baseline. Cash flow items were reconciled to reported operating cash flow within about 1%.
