Business condition attached to the margin of safety Treasury's final Section 45Z regulations are issued without materially cutting the credits earned at Green Plains' plants, shown by quarterly credit recognition staying near the first-half-2026 pace of roughly $65 million per quarter.
Green Plains makes fuel ethanol, distillers grains, Ultra-High Protein feed and renewable corn oil from corn. It owns nine biorefineries in Illinois, Indiana, Iowa, Minnesota and Nebraska, eight of them running with about 730 million gallons a year of capacity. The Fairmont, Minnesota plant has been idle since January 2025, and the company sold its Rives, Tennessee (Obion) plant in September 2025 for $170 million plus working capital. The money from that sale paid off expensive junior notes. During 2025 the company had to extend those notes twice, at rising rates, and issue warrants priced at one cent a share to get the extensions. It also sells grain and trades commodities. The core business has a poor record. After working-capital swings, stock compensation and the capital spending needed to keep the plants running, the cash left for owners was positive in 2016 and 2017 and negative in every year from 2018 through 2025: -$1.62 a share in 2024 and -$0.63 in 2025. Through 2023 we also deducted the share of profits that belonged to outside unitholders of Green Plains Partners, which the company bought out in January 2024. Our capital-spending method counts most of the 2020-2022 protein-technology build-out as upkeep, which makes those years look worse. Even allowing for that, ethanol by itself has not made money for these owners over a full cycle. What has changed is a federal tax credit. The Section 45Z clean fuel production credit pays producers based on how low their fuel's carbon score is, and it runs through December 31, 2029. Carbon capture began at the three Nebraska plants (York, Central City and Wood River) in late 2025. Those plants send carbon dioxide into Tallgrass's Trailblazer pipeline for permanent storage, which cuts their carbon scores sharply. Six plants earned $54.2 million of credits in 2025. The company sold them to a buyer, and by mid-2026 had collected the $40.3 million still owed at year-end, close to the booked value. All eight plants now qualify. In the first half of 2026 the company booked about $134 million of credits ($65.6 million in the first quarter and $68.4 million in the second). $133.2 million of that was still owed to it on June 30. These credits are the whole value story here. A note on accounting: in 2025 the credit was booked as a non-cash tax benefit, so it does not show up in that year's operating cash flow. In 2026 it is booked in operating results but paid later. We count each year's credits when the cash arrives, and we value them separately from the ethanol business. Base case ($11.20 a share). Credits continue at the first-half-2026 pace of about $268 million a year through 2029, each year's credits being paid in the following year. We set the ethanol business, before credits, at a loss of $30 million a year. That is between the 2024-2025 median (about -$79 million) and the roughly -$10 million annual pace of the first half of 2026. It gives credit for real changes (the Obion sale, the idled Fairmont plant, stock compensation cut by more than half, spending on plants of about $35 million a year) without assuming two quarters make a trend. Losses in 2025 shrank by about 58%; our first-year assumption improves only 30% on 2025. The company must repay about $139 million of Tallgrass carbon-capture financing monthly over 12 years at a 9% return to Tallgrass. After 2029 the Nebraska plants can claim the $85-per-metric-ton carbon storage credit (45Q) for the rest of that 12-year window. The company does not disclose captured tonnage. Our estimate, from the plants' 300 million gallons of capacity, is roughly $40 million a year net of costs, about offsetting the ethanol losses. After 2037 no identifiable source of earnings remains. We assume the company would idle losing plants, as it did at Fairmont, and assign no further value. Bear case ($1.97). Treasury's proposed 45Z rules are still open, and they require the latest carbon-scoring model. In this case the final rules cut credits roughly in half from 2027, leaving mainly the carbon-capture plants. Ethanol losses stay at the 2024-2025 median of about $79 million a year. Refinancing the $60 million of 2027 convertible notes and the revolving credit line that matures in March 2027 costs about $10 million a year more, as 2025 showed can happen. The storage credit after 2029 brings in only $20 million a year. Bull case ($15.19). Credits rise to about $285 million a year as the Nebraska capture operations run for full periods, and ethanol losses hold at the first-half-2026 pace of about $10 million a year. We left out Summit Carbon Solutions' pipeline for the four Iowa and Minnesota plants. Summit expects operations in 2028 but had not started construction. We also left out any sale value for the plants at the end. We counted about 73 million shares. The $200 million of 5.25% convertible notes due 2030 convert at about $15.72, above all three case values, so we treat them as debt. The value depends almost entirely on a tax credit law with a fixed end date and rules not yet final.
