Business condition attached to the margin of safety Evidence that the $601 million term loan due April 2028 can be refinanced without a large rise in cash interest, and that the sharp drop in operating cash flow in the first half of 2026 was temporary (mainly timing of network and equipment spending) rather than a lower earnings level.
WHAT THE BUSINESS IS Gogo sells in-flight internet and related communications services to business jets and to government and military customers. In 2025 revenue was $910 million, of which $774 million (85%) was recurring service revenue and $136 million was equipment. Service revenue splits into satellite broadband ($317 million), Gogo's own air-to-ground network across the United States ($289 million, down from $311 million in 2024) and narrowband and other services ($169 million). About 74% of 2025 revenue came from the United States; no customer was more than 10% of revenue. At the end of 2024 Gogo acquired Satcom Direct, which more than doubled the company's size. Only 2025 shows the combined business, so it is the only year we use as the earnings level. OWNER EARNINGS We measure what the business actually left for shareholders: operating cash flow of $124.5 million, less the swing in working capital, less stock compensation of $24.1 million, less capital spending of $75.2 million. That leaves $32.6 million, or about $0.24 per share. Interest is already deducted in that figure: Gogo paid $77.8 million of cash interest in 2025 on roughly $850 million of term loans. Two things are deliberately left out of the figure. Reimbursements from the FCC for replacing ZTE equipment ($29.3 million received in 2025) and payments from interest-rate hedges ($10.6 million) are booked outside operating cash flow, so we did not count them in the base case. The 2025 figure also carries about $14 million of one-time cash costs from integrating Satcom Direct, which we did not add back. Earlier years on the same basis were $0.55 (2021), $0.59 (2022), $0.72 (2023) and $0.19 (2024); those describe a smaller, less indebted Gogo and, for 2023, are probably flattered by the timing of FCC-related receivables, so we do not use them as the level. Trailing-year comparison: owner earnings per share rose about 24% in 2025 over 2024, but that is an acquisition effect; our base case assumes 0% in the first year, not more. BASE CASE (about $3.00 per share) Owner earnings stay at roughly $0.24 per share for ten years, then decline about 4% a year. What supports this: 85% of revenue is subscription-type service on aircraft already equipped, and the air-to-ground network has produced $289 to $311 million of service revenue in each of the last three years. What we leave out: any growth from the new Galileo low-earth-orbit service (launched in early 2025, with just over 300 antennas shipped by year end), any synergy from Satcom Direct, and any lift from the integration costs ending. None of these has yet shown up in cash flow. The decline after year ten reflects that the air-to-ground network is an older technology facing satellite alternatives. BEAR CASE (about $0.30 per share) Cash flow in the first half of 2026 was weak: operating cash flow was $25.1 million versus $69.2 million a year earlier, revenue was $449 million versus $456 million, and spending on property and equipment was $35.3 million versus $5.9 million. Our bear case assumes this is the start of a lower level: owner earnings of about $0.10 per share in 2026 and 2027, then about $0.02 from 2028, declining after that. The trigger is the $601 million term loan maturing on April 30, 2028, which would have to be refinanced at higher cost, together with a falling air-to-ground revenue line and the interest-rate hedges shrinking (notional $250 million, ending July 31, 2027, strike rising). With about $850 million of debt and a $71.9 million earnout owed to the Satcom Direct sellers, equity is thin in this case; a failed refinancing would leave shareholders with very little. BULL CASE (about $5.50 per share) The company's own identified levers work. The FCC has approved up to about $334 million of reimbursements for replacing ZTE equipment and has said the program is fully funded; we assume $29 million a year continues for three years, matching 2025 receipts, and that the one-time integration costs stop, lifting owner earnings to about $0.55 per share for 2026 to 2028 and about $0.35 afterward, flat for the rest of the decade and declining only 2% a year after year ten. We do not credit Galileo growth or new markets. WHAT COULD MAKE THIS WRONG The first-half 2026 decline may prove to be timing of equipment spending, in which case the base case is too low, or a real reset, in which case even the bear case may be too high. The amounts and timing of remaining FCC reimbursements could not be determined from the filings we have. The company reported a material weakness in internal controls over Satcom Direct's financial reporting, still unremediated at December 31, 2025, so the acquired business's numbers carry some extra uncertainty. Gogo holds about $259 million of federal tax losses, which keep cash taxes low ($3.4 million in 2025); we did not add extra value for them. MARGIN-OF-SAFETY PRICE The margin-of-safety price is about $1.35 per share, a large discount to the base case because of heavy debt, a single year of combined-company history, and the 2028 refinancing. The price also assumes the refinancing risk is reduced and the 2026 cash-flow weakness is explained.
