Genie Energy resells electricity and natural gas to residential and small-business customers in nineteen U.S. states and Washington, D.C. (New York, New Jersey, Pennsylvania, Illinois, Ohio, Texas and others). This retail energy arm earned about 95% of 2025 revenue. It buys power and gas from the wholesale market (a preferred supplier agreement with BP Energy Company runs through November 30, 2026), and keeps the spread between the price it charges and its supply cost. A small renewables arm (Genie Solar, CityCom Solar, Diversegy energy brokerage, and a recycled-plastic pallet maker) supplies the rest and lost money in 2025. How we measure earnings. We use the cash the business generates from continuing operations, remove swings in receivables, inventory and payables, and then deduct stock compensation and the capital spending needed to stay in business (a small allowance for growth spending is separated out). Cash flows from wound-down foreign operations (Orbit in the U.K. and Lumo in Finland/Sweden) are excluded. Owner earnings per share came to about $2.29 in 2022, $1.76 in 2023, $1.13 in 2024 and $1.01 in 2025. We anchor on the 2023 to 2025 median of about $1.13. We leave out 2022 because it was the year the company was still winding down its international arm and margins were unusually strong, and earlier years describe a different business. Cash interest earned on the company's large cash balance (about $7.7 million of interest income in 2025) is already part of these earnings, so we do not add the cash balance again. The company carries almost no debt (a small term loan), so debt does not reduce the value. Why earnings have been falling. Retail energy gross profit fell from $143.4 million in 2023 to $132.1 million in 2024 and $118.5 million in 2025. In 2025 the gross margin dropped from 32.8% to 24.8% because wholesale costs rose more than the rates charged to customers, and because the company added lower-margin aggregation customers. Meters served fell 18% during 2025 to 346,000, as a large customer-aggregation contract that began in September 2024 expired and monthly churn rose to 6.0% from 5.4%. Retail energy operating income fell from $71.9 million (2023) to $56.5 million (2024) to $44.2 million (2025). Solar was hit by the 2025 federal law that shortens the solar tax credit window; the company discontinued several projects and took impairments and write-downs of roughly $3 million. Accounting matters. In March 2026 the company restated 2023 and 2024 after concluding that liabilities it had booked for its captive insurance subsidiary ($45.1 million in 2023, $33.6 million in 2024) should not have been recorded. The restatement did not change operating cash flow, which is what we use, but management reported a material weakness in internal controls at year-end 2025. We could not review the most recent quarterly report's text, so results after December 2025 are not reflected beyond what the annual report says. Base case (about $12.20 per share). 2025 owner earnings fell about 11% from 2024, so we start year one at about $1.00 per share, below the anchor, rather than assuming a rebound. We then hold that level flat for ten years. What supports this: the company has operated retail energy businesses for many years, sells in nineteen states, signed 229,000 new meters in 2025 (326,000 in 2024) against churn, and keeps a sizable cash balance earning interest. We credit no growth: customer growth, margin recovery and solar profits have not been demonstrated on a sustained basis. After year ten we assume a slow 5% annual decline, because a retail book only persists by continually replacing customers. Bear case (about $4.30 per share). Owner earnings drop to about $0.60 per share in year one and decline 8% a year. This follows the named trends: gross margin continues to compress as it did from 32.8% to 24.8%, meter counts keep shrinking as churn runs above new sales, the BP supply agreement expiring November 30, 2026 is renewed on costlier terms, and solar continues to lose money. The restatement and internal-control weakness also raise the chance of added costs or claims. Bull case (about $17.40 per share). Owner earnings rise to about $1.30 per share and hold there for ten years, then decline 3% a year. This requires gross margin to recover partway toward the 2024 level and customer acquisition to return toward 2024's pace (326,000 gross meters), which the company has shown it can do. Customer concentration also fell, with the largest customer at 11.2% of revenue in 2025 versus 20.0% in 2024. What would make this wrong: wholesale cost spikes from weather events (Winter Storm Uri in Texas in 2021 caused large losses), tighter state regulation of retail energy sales, loss of the BP supply arrangement, or continued margin compression. On the other side, a stabilised customer base and margin recovery would put results nearer the bull case. The margin-of-safety price of $7.00 sits well below the base value because earnings have fallen three years running, margins depend on wholesale costs the company cannot control, and the recent restatement and control weakness add uncertainty.
