This is a community bank holding company whose profits come from two engines: ordinary lending funded by deposits, and Small Business Administration 7(a) lending, including hotel financing, where the bank sells the government-guaranteed portion of each loan for a premium and keeps the servicing. The filing states the bank ranked about number 11 nationwide among SBA 7(a) originators. Loan-sale gains were $12.3 million in 2025 and $12.1 million in 2024, a large share of pre-tax profit. Earnings power. Net income was $20.9 million in 2025 ($1.44 per diluted share) and $18.6 million in 2024 ($1.39). We measure cash earnings after stock compensation and equipment spending, leaving the loan-origination and loan-sale cash flows in, because selling loans is the business. That gives $1.58 per diluted share for 2025 and $1.76 for 2024. Cash earnings per share fell about 10% in 2025 even though reported profit rose, mainly because the share count grew about 8% and stock compensation and credit provisions rose (provision $3.9 million versus $2.2 million). We had only these two years of filings to work from, so the normal level is set at $1.60, close to the lower and more recent figure. An $18.3 million increase in other assets in 2025 is excluded as a timing item; the filing does not explain it, and we could not reconcile it further. Year-one growth is assumed at zero, which is above the latest change of about minus 10%, so no reversal of that decline is assumed beyond holding the level flat. Base case, about $26 per share. Earnings stay at about $1.60 per share, with no growth credited, because we only have a two-year record and growth in loans and share count is not yet a proven, self-funded pattern. The deposit franchise and bank charter are structural features that keep this level going, so we capitalise it without a fade. Bear case, about $11 per share. SBA loan-sale premiums, which the filing itself flags as not guaranteed to continue, roughly halve, and credit provisions keep rising as they did from 2024 to 2025. Cash earnings drop to about $1.00 per share and erode about 3% a year. Non-guaranteed portions retained on sold SBA loans carry credit risk. Bull case, about $35 per share. Net loans rose $142.5 million in 2025; if the bank keeps expanding its loan book, earnings grow 3% a year for ten years before levelling off. What would make this wrong: a sustained SBA-market slowdown or credit problems in hotel and commercial loans would push toward the bear case; if the 2025 other-assets increase proves to be an ongoing cost, the base level would be lower. The margin-of-safety price of $15 reflects a wide margin of safety given the short record and the concentration in loan-sale gains.
