FLOTEK INDUSTRIES INC/CN/ (FTK) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$8.75 Updated
$6.24 $28.34
bear $6.24 base $14.52 bull $28.34 margin of safety $8.75 market price* $24.06
Business condition attached to the margin of safety Either a second major Data Analytics/measurement customer is signed, or the ProFrac chemistry and equipment-lease agreements are renewed on favorable terms beyond their current 2029-2030 expirations.
Flotek Industries has transformed from a legacy oilfield specialty-chemicals company into a business built around two closely linked pieces: selling proprietary chemistry to hydraulic fracturing operators, and providing real-time measurement and data-analytics services (through its JP3 technology) that help those operators monitor and optimize the chemistry pumped downhole. Both pieces are now concentrated with a single large customer, ProFrac Services, which is also one of Flotek's largest shareholders and a lender to the company. Chemistry sales and the equipment-lease arrangement for JP3 measurement units together made up about 62% of Flotek's revenue in both 2024 and 2025. The company went through a genuine reinvention in 2022-2023: it sold its former Florida Chemical flavor-and-fragrance business, brought JP3 Measurement fully under its roof, and converted a large pile of high-cost convertible debt into equity alongside a 1-for-6 reverse stock split. We treat 2023 through 2025 - the years since that restructuring settled - as describing the business as it exists today, and set aside the earlier history, which reflects a different, financially distressed company. On that basis we estimate the company's normalized owner earnings - cash the business generates once we strip out the swings from a fast-growing customer's receivables balance, stock-based pay, and the portion of spending needed just to replace worn-out equipment - at roughly $0.60 per share. An important judgment call: a meaningful part of current profitability rests on a fixed-term equipment lease with ProFrac that runs through 2029 and ends by April 2030, with related contract costs finishing amortization by 2032. That income is not guaranteed to continue past 2030 unless renewed or replaced with new customers. We built that into our outlook rather than assuming it simply continues forever: earnings grow through the rest of this decade while the lease is in place, dip around 2030 as it rolls off, and then settle at a lower, more durable level from the ongoing chemistry business plus whatever data-analytics revenue survives with a broader customer base. Because so much of a business like this is about what happens in the distant future, we should flag that roughly two-thirds of our value estimate comes from what we expect Flotek can sustainably earn after the next decade, not from the next ten years themselves - so that long-run judgment carries most of the answer, and we kept its implied multiple conservative given the customer concentration described above. Our base case assumes the ProFrac chemistry relationship continues on broadly similar terms, drilling activity grows at a normal industry pace, and the equipment lease is renewed or gradually replaced by new customer contracts as the measurement technology proves itself elsewhere. Under this case we estimate the shares are worth around $14.50 today. Our bear case (roughly a one-in-ten outcome) assumes a real downturn in drilling activity pressures ProFrac's own spending, chemistry pricing gets renegotiated in ProFrac's favor given how much leverage it has as both customer and lender/shareholder, and the equipment lease is not renewed in 2030 with no replacement customer signed by then. Combined with the company's history of needing to fund a growing receivables balance from its main customer, this produces a much smaller, more fragile business - we estimate the shares would be worth around $6.25. Our bull case (roughly a one-in-ten better outcome) assumes Flotek successfully sells its measurement technology to one or two additional large pressure-pumping customers over the next few years, meaningfully reducing its dependence on ProFrac, with modest margin improvement in the chemistry business. Under this case we estimate the shares could be worth around $28.35. Given the spread between our bear and base cases - reflecting real customer-concentration and cyclicality risk - the margin-of-safety price sits meaningfully below our base-case estimate, at around $8.75. The margin-of-safety price takes full effect once there is evidence that Flotek has begun diversifying its data-analytics customer base beyond ProFrac, or that the ProFrac chemistry and equipment-lease agreements have been renewed on favorable terms. Two items we could not fully reconcile from the filings, noted plainly: the company's pre-2020 results mix in a discontinued flavor-and-fragrance business sold in 2020, making direct comparison to today's business difficult before that point; and 2023's reported net income was heavily influenced by a one-time, non-cash accounting gain as convertible notes converted to equity, which we excluded from our estimate of that year's true cash-generating power.

OE = CFO - WC movement - SBC - maintenance capex. CFO=$7.204M; WC movement=-$24.864M (driven mainly by a $36.634M increase in related-party receivables from ProFrac as revenue scaled); SBC=$2.300M; capex=$1.984M; revenue rose $50.237M so growth capex=$0.346M, maintenance capex=$1.638M; OE = 7.204 + 24.864 - 2.300 - 1.638 = $28.130M; diluted shares=36.156M; OE/sh=$0.778. Reconciliation check: net income $30.528M plus all non-cash adjustments (amortization of contract assets $6.308M, depreciation $1.836M, deferred tax benefit -$11.185M, SBC $2.300M and other smaller items) plus the working-capital movement of -$24.864M ties exactly to reported CFO of $7.204M. OE = CFO - WC movement - SBC - maintenance capex. CFO=$3.361M; WC movement=-$18.436M; SBC=$1.366M; capex=$1.940M; revenue declined slightly ($188.058M to $187.025M) so maintenance capex=capex=$1.940M; OE = 3.361 + 18.436 - 1.366 - 1.940 = $18.491M; diluted shares=30.889M; OE/sh=$0.599. First full year after the 2023 debt-to-equity conversion; ProFrac chemistry sales and the equipment-lease agreement together were 62% of total revenue. In the valuation anchor window (median year). OE = CFO - WC movement - SBC - maintenance capex. CFO=-$11.297M; WC movement=-$16.756M; SBC=-$0.254M (net negative: forfeitures exceeded new grants); capex=$1.081M; capex_ratio=0.689%, revenue rose $51.966M so growth capex=$0.358M, maintenance capex=$0.723M; OE = -11.297 + 16.756 + 0.254 - 0.723 = $4.990M; diluted shares=28.377M; OE/sh=$0.176. Note: reported net income of $24.713M this year was driven mainly by a non-cash $29.969M fair-value gain on contract-consideration convertible notes as they converted to equity (alongside a September 2023 1-for-6 reverse stock split) - a capital-structure event, not operating earnings; the CFO-based formula avoids double-counting it. OE = CFO - WC movement - SBC - maintenance capex. A transition year dominated by one-time convertible-note financing, JP3 consolidation and large working-capital swings; excluded from the valuation anchor as distorted by non-recurring restructuring.
