4D Molecular Therapeutics is a clinical-stage gene therapy company with no products for sale. Its lead candidate, 4D-150, is a gene therapy for retinal disease, being developed for wet age-related macular degeneration (wet AMD) and diabetic macular edema (DME), that aims to cut the number of repeat anti-VEGF eye injections patients need. Because the company carries an accumulated deficit of $716.3 million, our approach is to value only what the filings prove today and to give no credit for outcomes that have not yet happened. Earnings history. On our measure of owner earnings (operating cash flow, less working-capital swings, less stock compensation, less capital spending), the company lost money in every year we reviewed (2019 to 2025). Per diluted share: 2019 -$8.50, 2020 -$8.74, 2021 -$2.76, 2022 -$3.52, 2023 -$2.53, 2024 -$3.06, 2025 -$2.38. The 2025 figure is flattered by the $85 million upfront payment from Otsuka Pharmaceutical, under an agreement signed October 31, 2025, for rights to 4D-150 in Japan, China, Australia and other Asia-Pacific markets; without it, 2025 would have been about -$3.85 per share. Research spending rose 38% in 2025 to $195.7 million. In the first half of 2026, operating cash outflow was $138.1 million, roughly $276 million a year. Since there is no positive earnings level to build on, the cases below are built from cash on hand and the dated events in the filings rather than from an earnings anchor. What the shares have in hand. At June 30, 2026 the company held $70.4 million in cash and $360.3 million in marketable securities (current and long-term), about $430.7 million in total, or roughly $6.13 per share on about 70.3 million diluted shares. That cash is being spent quickly, so what matters is how much is left when the trial results arrive. Key dates. The first Phase 3 trial, 4FRONT-1, finished enrolling in February 2026 (over 500 patients expected) and the company expects its 52-week results in the first half of 2027. The second, 4FRONT-2, is expected to finish enrolling in the second half of 2026 with results in the second half of 2027. Both test whether 4D-150 is at least as good as the standard drug aflibercept at 52 weeks. The Otsuka agreement also lets Otsuka terminate if the trials miss their main goal, for convenience, or for safety reasons. Bear case, $0.99 per share. 4FRONT-1 misses its main goal in the first half of 2027. Spending runs about 20% above the first-half 2026 pace for the 12 months to mid-2027 (the company says research and administrative costs will increase), about $331 million, leaving about $99 million. We deduct about $30 million as our estimate of lease and wind-down obligations (the 2025 balance sheet carried $15.8 million of long-term lease liabilities). That leaves about $69 million, or $0.99 per share. Base case, $1.77 per share. Spending continues at the first-half 2026 pace, about $276 million over the 12 months to mid-2027, leaving about $154.5 million; after the same $30 million allowance, about $124.5 million, or $1.77 per share. We credit nothing for the value of the drug itself. Positive trial results, approval and sales have not happened, and the only payments tied to them are Otsuka milestones (up to $335.5 million) and royalties that depend on that success. This is a deliberately low figure: it reflects what is proven, not what is hoped for. Bull case, $3.80 per share. Both Phase 3 trials succeed on the dates given. The company spends at the current pace through the end of 2027, about 18 months and $414 million, leaving about $16 million. Otsuka's contract milestones of up to $335.5 million are then credited, discounted at 6% over five years to about $251 million (the timing of those payments is our assumption; the contract does not fix it). Total about $267 million, or $3.80 per share. We assume costs after 2027 are covered by the value of the rights the company keeps to market 4D-150 in the United States and Europe, and we give those rights no separate value because there are no sales or prices to base one on. Royalties are also left out. What could make this wrong. Successful trials could be worth far more than the Otsuka milestones, because the company keeps the United States and Europe rights and we have not valued them. Against that, the company said it will need significant additional capital, and further share issuance would dilute existing holders; our cases assume none. Accounting notes. Stock compensation, which is added back in reported operating cash flow, is deducted as a real cost. All capital spending was treated as maintenance because the company has no product sales and its only revenue is lumpy licensing income. Working-capital changes for years before 2024 were built from the reported cash-flow lines and are less thoroughly cross-checked than 2024 and 2025, which reconcile exactly. Margin-of-safety price: $0.90, below even the bear case because the outcome hinges on two trial results and the cash is being consumed.
