VAALCO is a small international oil producer built around the Etame Marin block offshore Gabon, its founding asset, which it has operated for three decades. In August 2023, VAALCO combined with TransGlobe Energy, roughly doubling the share count and adding two more producing countries: Egypt (the Western Desert and Merged Concession areas) and, through Côte d'Ivoire, the offshore Baobab field. A legacy Canadian natural-gas position from that deal is being sold and is not part of the ongoing story. We used the median of 2023-2025 (the three years since the combination) as the anchor for normal earning power, which lands almost exactly on 2024's actual result. 2025 looked weak on paper -- cash generation swung negative -- but the cause is identifiable and largely one-time: the Baobab FPSO, the floating vessel that produces and stores Côte d'Ivoire's oil, went into a planned dry-dock refurbishment starting January 31, 2025, taking that field's output to zero for the year and driving a jump in capital spending to fund the refurbishment. We treated that spending as restoring existing capacity, not growth. The refurbishment was completed in February 2026 and Côte d'Ivoire has resumed production -- a real, dated fact, which is why our near-term outlook expects a rebound rather than a continuation of the decline. The business's producing licenses run for specific, disclosed terms: Gabon's Etame license runs to 2028 with two five-year extension options already secured (potentially to 2038); Egypt's main concession runs to 2035 with a five-year option (to 2040); Côte d'Ivoire's block runs to 2038; a smaller Egyptian legacy concession expires in 2027 with no disclosed renewal option, a modest, real drag built into every case. Because these are the actual boundaries of the business's contractual right to produce, we treated the years beyond them as a fade rather than assuming open-ended growth. Base case (~$8.05/share): Gabon holds roughly steady as new wells offset natural decline, Egypt's active development-drilling program (16 net wells drilled in 2025 alone) continues adding modest volume, Côte d'Ivoire returns to full production through 2026-2027, and the already-secured license extensions are exercised on schedule. Bear case (~$0.55/share): oil prices stay near or below 2025's depressed levels, the Western Desert license lapses on schedule in 2027, and cash is tight enough (VAALCO drew on its credit facility for the first time in 2025, with capacity stepping down starting in 2026) that reinvestment gets rationed and production simply declines without being replaced -- not far from what happened to this business in the 2016 and 2020 downturns. Bull case (~$13.45/share): Gabon's Phase Three wells and Egypt's development program both deliver, Côte d'Ivoire ramps back cleanly, oil realizations return to levels already achieved in 2023-2024, and all disclosed license extensions are exercised in full. Given how skewed this range is toward the downside, a large discount to the base-case estimate is appropriate, putting the margin-of-safety price near $3.50 per share -- a price that already reflects the country, commodity, and reserve-development risk without needing additional confirming news.

OE = CFO − ΔWC − SBC − maintenance capex. CFO=$212.667M; ΔWC=$95.404M; SBC=$6.211M; capex=$252.856M. Revenue fell $479.0M→$359.3M, but the decline was price-driven (realized $56.11 vs $65.64/Boe) plus a planned Côte d'Ivoire FPSO dry-dock outage, not reduced reinvestment need — Gabon and Egypt sales volumes both grew year over year. Applying the mechanical revenue-decline rule would zero out growth capex entirely; instead, using the segment capex disclosure, only the $30.769M attributable to Egypt's stated development-drilling program was treated as growth capex, with the remaining $222.087M (Gabon/Canada/Equatorial Guinea/Corporate maintenance and long-lead items, dominated by the Côte d'Ivoire FPSO refurbishment that restores rather than adds capacity) treated as maintenance capex. OE=$(111.035)M; diluted shares=104.055M; OE/sh=$(1.07). A $67.224M non-cash impairment on Canada assets held for sale is correctly excluded here via the CFO add-back (sunk, non-cash) and instead reflected in the bear case.
