Business condition attached to the margin of safety Confirmation that the transaction completed in Q2 2026 (which added roughly $1.3 billion of assets and roughly $189 million of shareholders' equity, funded mostly through new shares) was completed on reasonable terms and is not lastingly dilutive to per-share earnings power, once a full year of combined results is reported.
Community West Bancshares is a California community bank operating 26 full-service banking offices stretching from the Greater Sacramento area through the San Joaquin/Central Valley (Fresno, Bakersfield, Modesto, Stockton, Merced, Visalia and other Central Valley cities) down to the Central Coast (Santa Barbara, Goleta, Santa Maria, San Luis Obispo, Ventura). It takes deposits and makes commercial, real estate, agribusiness, SBA and consumer loans; it does not offer trust or international banking services. The company as it exists today is the product of a merger. Effective April 1, 2024, Central Valley Community Bancorp (based in Fresno) combined with the former Community West Bancshares (based in Goleta), with the larger Central Valley franchise surviving and then taking the Community West name and CWBC ticker. Because of this, 2024 was a transition year - nine months of combined results plus about $20.5 million of one-time merger costs and an unusually large day-one credit-loss provision required for the acquired loan book. Both are the kind of non-cash and non-recurring items that should not be projected forward, so we have treated 2025, the first full year of the combined company, as the cleanest picture of normal earning power. By 2025, merger costs had fallen to under $1 million and the underlying cost efficiency of the business (expenses as a share of revenue, stripped of merger noise) was essentially unchanged from before the deal, which gives us confidence 2025 is representative rather than still elevated by deal-related distortions. On that basis, the company generated about $42.5 million of owner earnings in 2025 (cash generated by the bank after removing the swings from loan and deposit timing, stock-based compensation, and the modest ongoing cost of maintaining its branch network), or about $2.24 per diluted share. Net interest margin - the spread the bank earns on its loans versus what it pays for deposits - improved from 3.58% in 2023 to 3.76% in 2024 to 4.15% in 2025, helped by the larger, better-funded combined balance sheet. Asset quality is currently very clean: problem loans stood at just 0.19% of total assets at the end of 2025. There is a second, more recent event worth flagging plainly. Between March and June of 2026, the company's balance sheet grew sharply again: total assets rose from about $3.7 billion to roughly $5.0 billion, and shareholders' equity rose by about $189 million, funded mostly through new shares (the diluted share count rose from about 19 million to about 27 million). This is visible in the company's regulatory filings, but the underlying narrative - what was acquired, on what terms, and what it is expected to earn - is not yet available in a complete filing we can rely on for a valuation input. Rather than guess at what this addition will earn, we have valued the pre-2026 business on its own merits and simply added the book value it visibly contributed to shareholders' equity, spread across the now-larger share count, without assuming any profit contribution from it. That is a deliberately cautious treatment: the estimate below could prove too low if the new business performs well, or it could still be at risk if the deal comes with integration costs or credit issues that surface later. We built three cases for what the shares are worth: Bear case ($33.04/share): Credit costs normalize upward from today's unusually low levels, a realistic risk given roughly $1.36 billion of commercial real estate loans on the books, including $318 million of non-owner-occupied office property, a segment under well-documented stress nationally. The bank is also roughly balanced to modestly rate-sensitive on the asset side over the longer term, so continued Federal Reserve rate cuts could erode some of the margin gains achieved since the merger. Owner earnings decline for the first two years before stabilizing at a low, flat growth rate for the remainder of the decade, with no further growth assumed beyond that. Base case ($43.22/share): Owner earnings grow about 6% in the first year - well below the 2024-to-2025 reported growth rate, because that comparison is inflated by 2024's nine-month stub period and one-time merger costs and is not representative of an ordinary year. Growth then tapers gradually to roughly 3% a year as loan growth and the continuing, but slowing, margin and cost benefits from the 2024 merger play out, consistent with a mature, well-run regional bank. Beyond the ten-year forecast, we assume the bank simply continues generating this level of owner earnings indefinitely as a going concern in its markets; we have not assumed further growth after that point because we do not have a specific, evidenced reason to expect it. Bull case ($60.02/share): The margin and efficiency gains realized since the 2024 merger continue a bit longer, loan growth is stronger across the expanded 26-branch footprint, and today's very clean credit quality persists for several more years. Growth starts around 10% in year one and tapers to roughly 4% by year ten, with a modest 1.5% annual growth assumption continuing after that to reflect the larger, more diversified franchise. This is not a bet on a broader market recovery; it is what happens if the business's own already-visible trends keep executing. None of these figures reflect a share price, since we deliberately value the business before looking at what the market is charging for it. Given the real uncertainty introduced by the still-unexplained 2026 transaction, and the bank's history of two transformational deals in roughly two years, the margin-of-safety price sits at a meaningful discount to our base-case estimate - around $27 per share - and it assumes confirmation, once a full year of combined results is reported, that the 2026 transaction was completed on terms that do not turn out to be lastingly dilutive. What would have to be true for this estimate to be wrong: if the 2026 acquisition turns out to have been overpriced, poorly underwritten, or comes with integration costs and credit losses that erode more than the book value we have credited it with, the actual value could be meaningfully below even our bear case. Conversely, if that transaction adds real earning power once a full year of results is visible, the shares could be worth more than our bull case implies - we simply do not have the evidence yet to say so.

VALUATION ANCHOR. First full year of the combined company (Community West Bancshares, formerly Central Valley Community Bancorp, post its April 1, 2024 merger with the former Community West Bancshares). Residual merger costs fell to $798K (from $20,491K in 2024) and the comparable, ex-merger-cost efficiency ratio held stable at ~61% in both 2024 and 2025, supporting FY2025 as a clean, representative year. Transition year: the Central Valley Community Bancorp / Community West Bancshares merger closed April 1, 2024, so this reflects only 9 months of combined operations plus $20,491K of one-time cash merger costs and an elevated day-one CECL provision for acquired loans (both correctly captured within owner earnings via the standard CFO add-back mechanics).
