CVB Financial owns Citizens Business Bank, a California commercial bank serving businesses and professionals. On April 17, 2026 it also took over Heritage Commerce Corp (Heritage Bank of Commerce, San Francisco Bay Area) in an all-stock deal at 0.65 CVB shares per Heritage share. At June 30, 2026 the combined company had about $21.2 billion of assets, $12.0 billion of loans, $16.3 billion of deposits and roughly 176 million shares. The bank's edge is cheap funding: in 2025 noninterest-bearing deposits averaged 59% of CVB's deposits (59.9% in 2024), which keeps funding costs low and loan losses small. Heritage carries more interest-bearing deposits, so the combined figure at June 30, 2026 was 52.8%. WHERE THE EARNINGS LEVEL COMES FROM. CVB's profit per share was $1.48 in 2019, $1.30 in 2020 (pandemic loan-loss provisions of $23.5 million), $1.56 in 2021, $1.67 in 2022, $1.59 in 2023, $1.44 in 2024 and $1.52 in 2025. The 2025 gain over 2024 was 5.6%, helped by buybacks of 4.3 million shares; the first year of our base case assumes no growth, which is below that rate, because profit per share has barely moved since 2019 and the merged company has only one partial quarter of history. The merged bank has no full year yet, so we built its starting level from the parts: CVB's median profit to common shareholders over 2021-2025 ($211.6 million) plus Heritage's recent profit of about $47 million ($47.8 million in 2025, $40.5 million in 2024), or $258.6 million, spread over 176.0 million shares, which is $1.47 per share. The one combined quarter available (second quarter 2026) earned $48.3 million after $31.4 million of merger costs; without those costs it would have earned roughly $70 million after tax, or about $1.60-$1.70 a share annualized. We do not use it as the base level because it holds only about 2.5 months of Heritage, carries no loan-loss provision, and one quarter is not enough to move the level; it informs the bull case. Merger costs ($32.5 million through June) are treated as one-time. Any cost savings from the merger are left out until they show up in several quarters of results. The deal created $1.10 billion of goodwill and $118 million of deposit-relationship intangibles; those are non-cash and we neither add the accounting accretion nor deduct the amortization. Company-reported figures for the second quarter and for 2010 come from CVB's earnings releases; everything else is from its annual and quarterly filings. BASE CASE, worth about $24.24 per share. Earnings stay at $1.47 a share, with two downturn years like 2020 (earnings down 12%) in years 4 and 9, and then continue at $1.47. No growth is credited. The reason it continues: a deposit franchise that kept the bank profitable through the 2008-2010 credit crisis (nine-month 2010 earnings were $53.1 million) and again in 2020. Growth through acquisitions is not repeated in small steady steps, so it is excluded; reinvesting retained earnings at a return we cannot evidence is also excluded. Being a bank, its deposits and borrowings are its raw material and interest is already deducted in earnings, so no debt is subtracted: business worth $24.24, debt deducted $0. (It does have $500 million of Federal Home Loan Bank advances and $39.0 million of subordinated debt assumed from Heritage.) BEAR CASE, worth about $19.19 per share. We replay the California credit cycle of 2008-2010 on today's larger loan book. In 2010 CVB's loan allowance reached 3.12% of loans (it is 1.05% now), nonperforming loans reached $157.0 million at year-end 2010 (about 4% of its roughly $3.9 billion of loans), and net charge-offs were $52.1 million in the first nine months of 2010 (about 1.75% a year). Applied to $12.0 billion of loans, that means loan-loss provisions of $170 million, $270 million and $220 million over three years ($660 million, 5.5% of loans) while profit before provisions slips from about $400 million to $370-380 million. Earnings per share fall to $0.85, $0.40 and $0.61 (assuming a tax rate of about 29%). The bank is exposed through $6.5 billion of commercial real estate loans, including $989.8 million on office buildings (loan-to-value averaging 55% at origination); Heritage's technology-focused Bay Area customers add concentration. We then assume lasting damage: a deposit-cost squeeze like the 14% drop in profit per share from 2022 ($1.67) to 2024 ($1.44) leaves earnings at about $1.27 a share, with a second smaller credit episode in year 9 ($0.87). The dividend ($0.80 a year, about $141 million) exceeds profit in year 2, but total after-tax losses of roughly $470 million are well within about $1.95 billion of tangible equity, so no share issuance is assumed. This bear value is above tangible book value of about $11.07 per share because even in the cycle the bank stays profitable each year and earns about 11.5% on tangible equity afterward, as it did in 2010. Business worth $19.19, debt deducted $0. BULL CASE, worth about $27.36 per share. The second-quarter run rate of about $1.65 holds (Heritage fully included, loan losses staying near today's 0.14% nonperforming loan ratio) with one 2020-style dip in year 6. No growth beyond that is assumed. Business worth $27.36, debt deducted $0. HOW WE ARRIVED AT THE MARGIN-OF-SAFETY PRICE: $14.00. We are fairly sure of the CVB half of the earnings: five years of profit to common shareholders between $199 million and $234 million. We are less sure of the Heritage half and of how the two cultures and deposit bases fit, with only one partial quarter combined. The worst plausible outcomes are a California commercial real estate downturn deeper than 2010, flight of Heritage's technology-company deposits, or events no case models such as a cyber incident or a regulatory action; the bank carries little debt beyond the $539 million noted above, holds capital of 9.78% of tangible assets and has loan losses of only $137 thousand in the latest quarter, so it should survive the bear case without dilution. If we are wrong on the starting level and the merged bank earns $1.30 rather than $1.47, the shares are worth about $21; if the profits simply end after year 10 and the bank only returns its $11.07 of tangible capital, they are worth about $16.75; the full bear case is $19.19. The price assumes a holding period of about three to three and a half years, with a $0.80 annual dividend and buybacks during that period. From $14.00, the base case realized in three and a half years plus $2.80 of dividends implies roughly 20% a year; a higher price would require the gap to close faster than we are willing to count on. Compared with our August 2026 estimate (base about $21 with 3.5% annual growth), this update credits no growth because profit per share has been flat since 2019; the earlier figures were built on a different basis and are not directly comparable.

Bank holding company, so owner earnings = net income available to common shareholders (no preferred stock outstanding; stock-based compensation is already expensed in net income and is NOT subtracted again). Net earnings $209,298K less $1,379K allocated to participating restricted shares = $207,919K net earnings allocated to common shareholders; divided by 137,050,000 weighted-average diluted shares = $1.5171 per share, which ties to reported diluted EPS of $1.52. Sales geography
United States - West: California, including the Inland Empire (San Bernardino and Riverside Counties), Los Angeles County, Orange County, San Diego County, the Central Valley (Fresno and Kern Counties), the Central Coast, and, since the April 2026 Heritage Commerce acquisition, the San Francisco Bay Area (Santa Clara County/San Jose, San Francisco, Alameda and Contra Costa Counties)
Historical growth strategy
Relationship banking to small and mid-sized California businesses, funded by a large base of low-cost noninterest-bearing business deposits, supplemented by periodic whole-bank acquisitions of California banks (most recently Community Bank in 2018 and Heritage Commerce Corp in April 2026) paid for largely in stock, with steady dividends and opportunistic share buybacks.
Chart analysis
A chartist would see a stock that has been range-bound for about a year, with a 52-week range of roughly $17.95 to $23.41 and a horizontal trend. Support sits in the low $22s with resistance in the low-to-mid $22s on the shortest-term view, and the upper end of the yearly range near $23.4 is the level that has capped rallies. Moving-average signals are mixed: short-term averages are positive while the longer-term trend is flat to weak, and a short-term sell signal appeared in late September 2026. Volatility is low. A decisive close above about $23.4 would be read as a breakout from the range; a break below the mid-$21s would point back toward the $18-$20 area where the stock traded and where the company repurchased shares in 2025 (average $18.60).
